Terms of Service

This is a legally binding agreement ("Agreement") between you and Penzu Inc. ("Penzu," "we," "our," or "us"). By accessing, browsing, subscribing to, or otherwise using the Penzu website and services, you agree to comply with these Terms of Service. If you do not agree with any of these terms, please do not use our service.

Acceptance of Terms

By creating an account or using Penzu, you acknowledge that you have read, understood, and agree to be bound by this Agreement and our Privacy Policy. This Agreement contains important information regarding your legal rights, remedies, and obligations, including various limitations and exclusions.

Description of Service

Penzu is a web-based journaling service that allows you to create and maintain a private online diary or journal. Our service is available on web browsers and through our mobile applications for iOS and Android.

Subscription Tiers

Free: Basic journaling features with limited functionality
Penzu Pro: Enhanced features including Encryption Lock, customization, import/export, and more
Penzu Pro+: Premium features with additional capabilities
Lifetime: One-time payment for access to Pro features for as long as the Penzu service remains available

Account Registration

Age Requirements

You must be at least 13 years old to create a Penzu account
If you are between 13 and 18, your parent or legal guardian must review and agree to this Agreement on your behalf
You must be at least 18 years old to make purchases or enter into paid subscriptions

Account Responsibilities

When you register, you agree to:

Provide accurate, current, and complete registration information
Maintain the security and confidentiality of your password
Promptly update your information to keep it accurate
Accept responsibility for all activity that occurs under your account
Notify us immediately of any unauthorized use of your account

Subscription and Payments

Billing

If you subscribe to a paid plan:

You agree to pay all applicable fees as described at the time of purchase
Subscriptions automatically renew unless you disable auto-renewal before the renewal date
We may send a reminder before your subscription renews, but it is your responsibility to manage your subscription settings

Payment Methods

We accept major credit cards and PayPal. Your payment information is processed by secure third-party payment processors. We do not store your complete credit card information.

Automatic Renewal

Unless you disable automatic renewal from your account settings, your subscription will automatically renew at the then-current rate. You can manage your subscription settings from your account page.

Refund Policy

We want you to be satisfied with Penzu. If you're not happy with your purchase:

You may request a full refund within 30 days of payment
To request a refund, click the "Downgrade and Refund" button on your account page, or contact us at refund@penzu.com from the email address associated with your account
Upon refund, your account will be downgraded to the free tier and you will lose access to paid features
Refunds are not available for purchases made through referral discounts

App Store Purchases: If you purchased your subscription through the Apple App Store or Google Play Store, refunds are handled by Apple or Google respectively. Please contact them directly or manage your subscription through your device settings.

User Content and Ownership

You Own Your Content

You retain full ownership of all journal entries, notes, images, and other content you create in Penzu ("User Content"). We do not claim any ownership rights to your User Content.

Limited License to Us

By using Penzu, you grant us a limited license to:

Store, display, and transmit your User Content to provide the service
Create backups of your User Content for data protection
Process your User Content as necessary to operate the service

For content you share publicly or with other users, you grant us additional rights to display and distribute that content as directed by you.

Your Responsibility

You are solely responsible for your User Content. You represent that:

You have all necessary rights to the content you upload
Your content does not violate any third-party rights
Your content complies with this Agreement and applicable laws

Acceptable Use

You agree not to use Penzu to:

Violate any applicable law or regulation
Infringe on the rights of others, including intellectual property rights
Upload content that is harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
Upload viruses, malware, or other harmful code
Attempt to gain unauthorized access to our systems or other users' accounts
Interfere with or disrupt the service
Collect information about other users without their consent
Use automated scripts or bots to access the service
Impersonate any person or entity

We reserve the right to remove content and suspend or terminate accounts that violate these terms.

Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

Key points:

We do not read your journal entries
We do not sell your personal information
We do not use your content for advertising
Pro users can encrypt their entries so even we cannot read them

Encryption and Security

Basic Lock

All users can password-protect specific journal entries using our Basic Lock feature. This password can be recovered by contacting our support team.

Encryption Lock (Pro Feature)

Pro users have access to our Encryption Lock feature, which uses 256-bit AES encryption to secure entries. Important:

Encrypted entries can only be accessed with your encryption password
We cannot recover encrypted data if you lose your password
You assume full responsibility for maintaining your encryption password
We disclaim all liability for data loss resulting from lost encryption passwords

Intellectual Property

Our Property

Penzu, including our website, applications, designs, logos, and content (excluding User Content), are the property of Penzu Inc. and are protected by copyright, trademark, and other intellectual property laws.

Limited License to You

We grant you a limited, non-exclusive, non-transferable license to access and use Penzu for your personal, non-commercial use. You may not:

Copy, modify, or distribute our service or content
Reverse engineer or attempt to extract source code
Use our trademarks without written permission
Sublicense or transfer your rights to others

Third-Party Links

Penzu may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or terms of these third-party sites. Your use of third-party sites is at your own risk.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
UNINTERRUPTED OR ERROR-FREE SERVICE
ACCURACY OR RELIABILITY OF CONTENT
SECURITY OF YOUR DATA (THOUGH WE TAKE REASONABLE MEASURES)

WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT DEFECTS WILL BE CORRECTED.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PENZU AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
LOSS OF DATA, PROFITS, OR GOODWILL
UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
ANY THIRD-PARTY CONDUCT ON THE SERVICE

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow these limitations, so they may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Penzu and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, costs, or expenses (including legal fees) arising from:

Your use of the service
Your User Content
Your violation of this Agreement
Your violation of any third-party rights

Account Termination

By You

You may deactivate your account at any time from your account settings. To permanently delete your account and data, contact support@penzu.com from your registered email address.

By Us

We may suspend or terminate your account at any time, with or without notice, if:

You violate this Agreement or our Privacy Policy
We are required to do so by law
We discontinue the service

Upon termination, your access to the service will end. We may retain your data for up to 90 days to allow for account recovery or to comply with legal obligations, after which it will be permanently deleted.

No Refunds on Termination

If we terminate your account for violating this Agreement, you will not be entitled to a refund of any fees paid.

Governing Law and Disputes

This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, regardless of where you access or use the service. Any disputes arising from this Agreement shall be resolved exclusively in the courts located in Toronto, Ontario, and you consent to the personal jurisdiction of these courts. You agree to attempt to resolve any dispute informally by contacting us before initiating any formal legal action.

Changes to Terms

We may modify this Agreement at any time. When we make changes, we will:

Update the "Effective Date" at the top of this page
Notify you of significant changes by email or through the service

Your continued use of Penzu after changes constitutes your acceptance of the updated terms. If you do not agree to the changes, please stop using the service.
