ASSOCIATION
PREAMBLE
WE the founders of the UGANDA NATIONAL PRIVATE SCHOOLS TEACHERS
ASSOCIATION;
Realising the need for mutual co-operation among private schools’ teachers and various
Government Ministries/Organisation;
Recognising the existence of other associations though they may not have been
representative enough;
Acknowledging the work done by private school teachers, the community, the
government and other stakeholders in the education sector;
Bearing in mind that for sustainable development to take place, private school teachers
should be at the forefront of the programmes, projects and initiatives aimed at achieving
the envisaged development;
Grateful for the opportunity of having attended taught in private schools and having
benefitted in the process;
Aware of the existence of other associations that are not representative enough to
accommodate all teachers in private schools.
Determined to work jointly with government, and all other well meaning, progressive
and constructive individuals and groups for the improvement of the quality of life
through the provision of education;
UNITED therefore under the name, UGANDA NATIONAL PRIVATE SCHOOLS
TEACHERS ASSOCIATION;
WE grant and adopt this constitution unto ourselves
ARTICLE 1
INTERPRETATION
1.1 In these Articles unless the context otherwise requires;
1.2 “Interim Committee” means a committee established under this constitution to
temporarily un the Association until the 1st Annual General meeting.
1.3 “UNPSTA” means UGANDA NATIONAL PRIVATE SCHOOLS TEACHERS
ASSOCIATION.
1.4 ‘The Association’ means UGANDA NATIONAL PRIVATE SCHOOLS TEACHERS
ASSOCIATION.
1.5 ‘The Constitution’ means the Constitution as originally framed or as altered from time to
time by special resolution.
1.6 ‘The Executive Committee” means Committee established under this Constitution.
1.7 “Member” means any teacher in a private school a who has registered and subscribed to
this association.
1.8 “Meeting” means any meeting called and held in accordance with the Constitution.
1.9 “District delegate” means a person ….
1.10 “Regional representative” means…..
1.11 “Interim Committee” means a committee established under this constitution to
temporarily run the association until the first Annual General Meeting;
1.12 “General Assembly” means
ARTICLE 2
NAME
2.1 The name of the Association shall be UGANDA NATIONAL PRIVATE SCHOOLS
TEACHERS ASSOCIATION abbreviated UNPSTA (hereinafter referred to as “The
Association”).
2.2 The Headquarters of the association shall be in Kampala the capital city of Uganda.
2.3 The Association shall open or authorise the opening of branches or contact offices
outside the District of Kampala
2.4 The Association’s Mission Goals and Objectives shall be to support the development of
UNPSTA.
2.5 The official language of the association shall be English.
2.6 The Association may collaborate with the Ministry of Education and Sports of Uganda.
2.7 The motto of the association shall be “Networking through UNPSTA”
2.8 The Association shall use the symbols such as hand shake, book, pen and colours green,
pink and light purple as its logo
ARTICLE 3
MISSION STATEMENT, VISION, COREVALUES AND OBJECTIVES
3.1 The mission statement of the Association shall be “To contribute to the development of
UNPSTA through improvement and development of programs, provision of financial and
material support and enhancing networking and career development among the private
teachers”

The association shall be guided by the following core values-
(a) Transparency. All decision and acts shall be done in open and transparent manner
(b) Efficiency. All Association resources shall be put to optimal use to attain quality and
timely results
(c) Professionalism. All business of the association shall be conducted in a professional
manner.
(d) Integrity. Honest and integrity shall be upheld at all times.
(e) Accountability. All office bearers shall hold in public trust and shall be personally
responsible for actions and inaction.
3.3 AIMS & OBJECTIVES OF THE ASSOCIATION
a) To unite teachers in private schools and give them a voice for effective coordination by
the Ministry of Education and Sports;
b) To operate a teacher a private school teachers’ Sacco;
c) To lobby for support from Government and Non-Governmental Organisation;
d) To address the challenges faced by teachers in private schools and provide a platform for
issues affecting them;
e) To raise financial and material resources for efficient and effective wellbeing of teachers
in Private Schools;
f) To develop and help maintain active interactions and enhance the image of teachers
through self-enrichment, career development and role modelling in the wider society;
a) To improve on Private schools’ teacher’s welfare.
b) To bridge a gap between private school teachers and government school teachers;
c) To improve quality of education;
d) To enhance economic empowerment;
e) Improve academic performance of private school students;
f) To promote professionalism among private school teachers;
g) To create a platform for private school teachers to interact, network, build synergies and
partnerships in their personal endeavours and share opportunities for growth and
development.
h) To provide private school teachers with an open platform to practice social responsibility
by ploughing back to the Private school.
i) To identify and nurture talent in Private School teachers so that they realise their potential
and capacity in them and development of their communities.
ARTICLE 4
POWERS OF THE ASSOCIATION
4.1 In pursuance of its aims and objectives and for the better and proper performance of its
functions under this Constitution, the Association shall have powers to; -
a) Engage in any legal and ethical activities or undertaking for the purpose of mobilizing or
generating financial and other material resources to be applied exclusively to the
fulfilment of the aims and objectives of the Association as set out in this constitution.
b) Solicit donations, gifts and other forms of material aid acceptable to the Association for
the purposes of meeting the financial requirements and other needs of the Association in
furtherance of its aims and objectives.
c) Exercise any other power, perform any other function or do any other activity that may
lawfully be so exercised, performed or done by the Association for carrying out, or giving
effect to, the purpose for which the Association is established; and
d) Make rules prescribing-
I. The rates and mode of payment by individual or institutional member which
shall apply from time to time in respect of membership fees, subscription fees
and other contributions towards the funds of the Association.
II. The circumstances in which and the conditions upon which membership of the
Association may or shall be suspended or terminated; and
III. Such other conditions relating to membership as may be necessary or
desirable to ensure the integrity, independence, honour and dignity of the
Association.
IV. Election of office bearers of the Association.
ARTICLE 5
ORGANS OF THE ASSOCIATION
5.1 The Association shall have the two organs;
a) General Assembly
b) The Executive Committee
5.2 General Assembly
The General assembly shall be the supreme organ of the Association and shall be constituted as
follows:
(a) All paid up members of the Association
(b) The immediate past chairperson and the general secretary as Ex-officials.
5.2.1 The functions of the General Assembly shall be:
(a) Meet once a year BUT not later than December;
(b) Electing of new office bearers to all posts on the board of trustees, and the Executive
Committee in every election and shall fill vacancies on the Executive Committee and
Board of Trusties whenever this becomes necessary;
(c) Receiving and approving the Annual Association reports as well as departmental
reports submitted to it by the Executive Committee or its individual members;
(d) Receiving and approving treasures reports;
(e) Approving the Budget and audit report;
(f) Approving/modifying the action plan for a year-may review, cancel, or rescind work
programmes and projects of the Associations issuing policy guidelines etc.;
(g) Taking up major issues or urgency raised by members;
(h) Setting up any adhoc committee for purposes of carrying out any function assigned to
it by the General assembly;
(i) May adjourn proceeding to a future date and
(j) Decisions and resolutions of the Association shall be passed by a simple majority
vote of the members present and the Chairperson shall have a deliberate/casting vote
in the event of a stalemate.
5.3 Executive Committee
The affairs of the Association (except otherwise provided by these Articles) shall be under the
control of the Executive Committee elected by the General Assembly Meeting of members.
5.3.1 The function of the Executive committee shall be-
a) Serve as a policy and executive group to facilitate the work of the Association between
meetings of the General Assembly, and to take such actions and policies of the General
Assemblies;
b) Serve as an advisory and planning body for the Association of projects and any other
reports submitted to the Executive Committee and issue appropriate directions for
compliance by the competent organs or officers of the Association;
c) Consider and approve proposals by the Chairperson to appoint a committee to perform
special tasks;
d) Consider the budget of the Association before it is presented to the General Assembly;
e) Appoint auditors of the association;
f) Receive and consider auditor’s reports and audited accounts, and financial statements
relating to the accounts of the Association presented by the Treasurer General; and
g) Receive, consider and draft a resolution for any issue or question for determination and in
respect of which this Constitution makes inadequate or no provision for its resolution.
Such a draft resolution shall be presented to the General Assembly for approval.
5.4 The Association shall have an Executive Committee consisting of the following-
a) The Chairperson whose functions shall be-
I. To chair the meetings of the Executive Committee and the General
Assembly.
II. To authorise use of the funding of the Association according to the budget
approved by the General Assembly.
III. To supervise and coordinate the activities of the Executive Committee;
shall have powers to appoint committees to perform special tasks, and to
submit periodic reports to the General Assembly on the activities of the
Association.
b) The Vice Chairperson whose functions shall be-;
I. To coordinate activities of the Private teachers;
II. In the absence of the president, to perform functions of the Chairperson.
c) The Secretary whose function shall be-
I. To act as secretary at the meeting of the Executive Committee;
II. To make minutes during the meeting of the General Assembly;
III. To act as the custodian of all records of the Association;
IV. To monitor fulfilment of activities of the Association and prompt different
offices accordingly; and
V. To publicize income-generating activities of the Association.
d) The Publicity/Wale fare whose functions shall be-
I. To handle issues of publicity for the Association;
II. To be the public relations person of the Association; and
III. To coordinate the production of the newsletter and other publications of
the Association;
e) The Treasurer whose functions shall be-
I. To act as the custodian of the finances of the Association;
II. To act as the custodian of the audit records;
III. To act as the custodian of the inventory of the property of the Association;
IV. To prepare and report to the Executive Committee of the Association
regular financial documents and statements
V. To ensure that the accounts are audited by the auditors of the Association;
and
VI. To make financial transactions on behalf of the Association.
f) Representative of pri- primary and primary-
g) Representative of post primary/Secondary-
h) Representative of tertiary Institutions-
i) Representatives of each region whose function shall be –

j) The Secretariat of the Association shall be based at Kampala the Capital city of
Uganda with a branch office in every district. The responsibility of the secretariat
shall be-
I. To manage positions created by the Executive Committee as deemed
necessary;
II. To oversee the day to day affairs of the Private Teachers Association;
III. To work in close collaboration with members of the Executive Committee
and the Private teachers in the execution of their specific tasks; and
IV. To perform such duties as the Executive Committee may deem necessary
5.5 Elective and appointive offices in the Executive committee
a) Person(s) occupying the following offices of the Executive Committee shall be
elective; -
i. Chairperson
ii. Vice Chairperson
iii. Secretary
iv. Publicity/Wale fare
v. Treasure
vi. Committee member responsible for Private Schools Programs
5.6 Election and appointment of Executive Committee
a) A person shall not be elected to the Executive committee unless they have
subscribed to the Association and been a members of the Association for not less
than 3 years.
b) A person shall not be declared elected as a member of the committee unless the
number of votes cast in favour of that person is more than 50 percent of valid votes
cast.
c) Persons to occupy elective positions in the Executive Committee shall be elected
during the General Assembly;
5.7 Tenure of office of Executive Committee
a) A person elected to the Executive Committee under this constitution shall hold office for
a term of 3 years, subject to re-election for one additional term;
b) Any office of the Executive Committee shall become vacant on the expiration of the
period specified in this article or if any incumbent member dies or resigns or ceases to
hold office under the regulations formed under this constitution.
c) Any position that falls vacant between the Annual General Meeting may be filled by a
majority vote of the Executive Committee until the close of the next Annual General
Meeting.
5.8 Interim Executive committee
a) There shall be established, for the period between the adoption of this constitution
and the first Annual General Meeting of UNPSTA, an Interim Executive
Committee.
b) The interim committee shall be constituted by the founders of UNPSTA and one,
who will be eligible for re-election to the Executive Committee for one more
term.
c) The interim Committee shall occupy all offices of the Executive committee and
carry out all its functions for the time period specified under this article.
d) The Interim Committee shall consider, as it deems useful and advisable, and
report with its conclusion to the General Meeting on the methods to be adopted in
order to give effect to this constitution.
e) In discharging its duties, the Interim Committee shall at all times take into
account the main duties of the Executive committee.
f) The rules of procedure of the Executive Committee shall, so far as they are
applicable govern the proceedings of the interim committee.
g) The interim committee shall however, have authority to adopt such additional
rules of procedure as it deems fit for easy running of its activities.
ARTICLE 6
MEMBERSHIP
VI.1 There shall be three types of membership which are;
a) Individual membership
I. Individual membership shall be open to all people who are teachers in Private
Schools that were registered or licensed by the Ministry of Education and are not
on Government payroll.
II. Individuals seeking membership of the Association shall fill in a membership
form which shall be prepared by the Secretary – General.
b) Ex-official membership
I. UNPSTA shall confer its membership to strategic institutions, corporate
institutions and funding institutions who assist in building the Association’s brand
and institutional capacity.
c) Honorary membership
I. The Association shall confer its membership to individuals who may not be
former teachers of Private School Teachers but have displayed a sterling and
selfless dedication and has scored great achievements in promoting the welfare of
Private Schools Teachers in Uganda. The Association shall honour such an
individual with honorary membership as it draws inspiration from such figures.
II. An honorary member shall have the privilege of attending Executive Committee
meetings as an ex-officio member without the power to vote on decisions and
resolutions of the Committee.
VI.2 There shall be a registration fee for each category of membership, except Ex- official
members and honorary members.
VI.3 Membership and subscription fees shall be determined by the Executive Committee
and ratified by simple majority vote at the Annual General Assembly meeting.
VI.4 All members of the Association shall be bound by the provisions of this Constitution,
and its interpretation as made by the Executive Committee and its members.
VI.5 At any meeting of the Association, when a vote is taken by show of hands or secret
ballot, all paid up members shall be entitled to one vote.
VI.6 Membership of the Association cease if a member;
I. Writes a resignation letter to the Executive Committee;
II. Has been expelled from the Association for any conduct which is deemed by the
Executive Committee to be prejudicial to the good name of the Association.
III. Falls in contribution arrears for a period of six months without providing the
committee with a satisfactory explanation.
IV. Dies or becomes permanently insane.
ARTICLE 7
MEMBERSHIP SUBSCRIPTION
(a) All members shall enjoy the same privileges of the Association under this Constitution.
(b) The amount of each type of ordinary membership subscription shall be such sum as the
Executive Committee shall decide from time to time. Such amount to be decided by the
Executive Committee at the beginning of every calendar year and shall be applicable for
the whole year.
(c) All subscription except for the first subscription for a new ordinary member shall
become due and payable on the 1st day of January each year.
(d) The onus of paying subscription, when it is due, within the prescribed time-limit is vested
with the members, whether or not a demand has been raised by the Executive committee.
ARTICLE 8
GENERAL MEETINGS
8.1 The Association shall in each year hold a general meeting as its annual general meeting
in addition to any other meeting in that year, and shall specify the meeting as an Annual
General Meeting in the notices calling for it.
8.2 The Annual General Meeting shall be attended by-
a) Two delegates from the District Associations
b) Partners and organisations that support the Association who shall be invited to attend by
the Secretary General of the Executive Committee but such delegates shall have no
voting rights.
8.3 The Annual general meeting shall be held at such a place as the Executive Committee
shall determine.
8.4 The Chairperson or the Vice chairperson shall chair the Annual General meeting.
8.5 All general meetings other than annual general meeting shall be called extraordinary
general meeting.
8.6 The Executive Committee may, by two-third vote, may convene an extraordinary general
meeting upon request from more than half of the subscribing members of the Association.
8.7 Voting at the Annual General Meeting shall be by the subscribing members and may be
by show of hands or by secret ballot.
8.8 The preliminary agenda for the Annual General meeting shall be prepared by the
Executive Committee and sent to the Association three months in advance of the Annual
General Meeting and-
a) Subscribing members may propose business to be transacted at the Annual General
meeting;
b) Such proposals shall reach the Executive Committee at least two months before the
Annual General Meeting;
c) The agenda of business to be transacted at the Annual General Meeting shall be
distributed by the Secretary General to delegates at least one month before the
meeting; and
d) No questions that have not been placed on the agenda shall be discussed or put to vote
unless a proposal to that effect by a two-thirds majority vote at the preceding Annual
General Meeting.
8.9 The venue and date of the next Annual General Meeting shall be decided at the preceding
Annual General Meeting.
8.10 The Executive Committee may decide a registration fee or scale of registration fees for
the next Annual General Meeting.
8.11 The Executive Committee may waive registration fees either partly or wholly for
subscribing members of the Association.
8.12 The Annual General Meeting shall have the following functions-
a) On the proposal of the Executive Committee, to decide the subscription rates
b) To determine special projects that shall be financed independently of the general
expenditure;
c) To consider and approve proposals for any short or long term development plan or
activities, and strategies for implementation;
d) To receive, review and evaluate reports on implementation of projects and any other
reports submitted to the Annual General Meeting by the Executive committee, and issue
appropriate directions for compliance by the competent organs or officers of the
Association;
e) To consider and approve proposal by the Executive Committee to appoint a committee
to perform special tasks;
f) To consider and approve the budget of the Association;
g) To consider and approve auditor’s reports, audited accounts and financial statements
relating to the accounts of the Association presented by the treasurer; and
h) To receive and consider draft resolutions from the Executive Committee for any issue or
question of which this Constitution makes inadequate or no provision for it resolution.
8.13 Meetings of the Executive committee shall be held quarterly and all members of the
issues or question of which this Constitution makes inadequate or no provision for its
resolution.
8.14 One third of the Executive Committee shall form a quorum.
ARTICLE 9
RULES OF PROCEDURE AT ALL MEETINGS
Voting
9.1 Subject to the provisions of ARTICLE 7 hereof all questions arising at any meeting shall
be decided by a simple majority of those present and entitled to vote thereat. [In case of
an equality of votes the Chairperson shall have a second or casting vote].
Minutes
9.2 Minute books shall be kept by the Committee and all sub committees and the appropriate
Secretary shall enter therein a record of all proceedings and resolutions.
Quorum
9.3 The quorum at Annual General Meetings of the Association shall be 2/3 of the eligible
members and at meetings of the Committee shall be 2/3 or such other numbers as the
Committee may from time to time determine.
Standing Orders
9.4 The Committee shall have power to adopt and issue Standing Orders and/or Rules for the
Association. Such Standing Orders and/or Rules shall come into operation immediately
PROVIDED ALWAYS THAT they shall be subject to review by the Association in
General Meeting and shall not be inconsistent with this Constitution.
ARTICLE 10
FINANCIAL MATTERS
10.1 The Association shall generate its income from-
a) Membership fees and subscriptions;
b) Contributions by well-wishers;
c) Donations and grants from Government, bilateral donors and non-governmental
organisation; and
d) Fundraising activities taken under the authority of the Executive committee.
10.2 The Executive Committee shall open an account in the name of UGANDA NATIONAL
PRIVATE SCHOOLS TEACHERS ASSOCIATION and all funds of the Association
shall be deposited on that account.
10.3 There shall be three signatories to the Account and these shall be the Treasurer, the
Chairperson and the school representative (Bursar).
10.4 A portion of the Association’s funds shall be allocated for discharging the duties of the
Private teachers.
10.5 Donors shall make donations for specific functions or activities of the Association.
10.6 All accounts, records and documents of the Association shall be open for yearly auditing
by an auditor approved by the Association
ARTICLE 11
PROPERTY RIGHTS
10.1 All movable and fixed Assets of the Association shall be entered in a register, which shall
be reported during the Annual General meeting.
10.2 The income and property of the Association shall be solely towards promotion of the
objectives of the Association as set forth in this Constitution and no portion therefore
shall be paid or transferred directly or indirectly, by way of dividends, bonus or profits to
its members.
ARTICLE 12
TRUST PROPERTY
12.1 The Association may appoint and may terminate the appointment of not less than 3
people and not more than 5 to act as Trustees for the purpose of holding any monies or
property belonging to the Association. The title to all or any such real and/or personal
property which may be required by or for the purposes of the Association shall be vested
in the Trustees who shall hold such property in trust for the Association. The Trustees
shall act under the instructions of the Committee who shall, subject to the approval and
consent of the Association as determined by a General Meeting, have power to fill
vacancies among the Trustees.
ARTICLE 13
AMENDMENTS
13.1 Subscribing members proposing amendments to this Constitution shall inform the
Secretary General of the Executive Committee Six months to the next Annual General
Meeting.
13.2 The Secretary General shall table the proposed amendment during the Executive
Committee meeting.
13.3 Amendment shall be tabled during the Annual General Meeting and a two-thirds majority
vote shall be required to pass an amendment to the Constitution during the Annual
General Meeting.
ARTICLE 14
DISSOLUTION
14.1 If the Committee by a simple majority decides at any time that on the grounds of
expense or otherwise it is necessary or advisable to dissolve the Association, they
shall call a meeting of full members of the Association.
14.2 If such decision shall be confirmed by a simple majority of those present and voting at
such meeting the Committee shall have power to dispose of any assets held by or in the
name of the Association.
14.3 Any assets remaining after the satisfaction of any proper debts and liabilities shall be
given or transferred to such other charitable institution or institutions having objects
similar to the objects of the Association as the Committee may decide
ARTICLE 15
INDEMNITY
15.1 The Association shall indemnify and keep indemnified every officer, member, volunteer
and employee of the Association from and against all claims, demands, actions and proceedings
(and all costs and expenses in connection therewith or arising there from) made or brought
against the Association in connection with its activities, the actions of its officers, members,
volunteers or employees, or in connection with its property and equipment but this indemnity
shall not extend to liabilities arising from wilful and individual fraud, wrongdoing or wrongful
omission on the part of the officer, member, volunteer or employee sought to be made liable. The
Treasurer shall effect a policy of insurance in respect of this indemnity.
This constitution was adopted at General Meeting of the Association on
