THE CONSTITUTION

OF

MARGLEO OLD STUDENTS ASSOCIATION


(MOSA)

PREAMBLE:

We the old students of Margleo International Secondary School, situate in Ihitte-

Uboma, Imo State of the Federal Republic of Nigeria, having firmly and solemnly

resolved to form for ourselves, a body made up of all old students of our esteemed

school dedicated to promoting the good image of our school and her products,

recognizing the need to network, strengthen our unity, concern with our commitment

to serve humanity and to the healthy economic, social justice and equity among

ourselves and our nation Nigeria, do hereby make, enact for and give to ourselves

the following CONSTITUTION:

ARTICLE 1: THE SUPREMACY OF THE CONSTITUTION AND
NAME.

A. Supremacy of the Constitution:

This constitution is supreme and its provisions shall have binding


force on all the members of the association

The Association shall not be run, nor shall any person or group
of persons take control of the administration of the association
thereof, except in accordance with the provisions of this
constitution

If any other rule, regulation or bye-law is inconsistent with the


provisions of this constitution, this constitution shall prevail, and
that other rule, regulation or bye-law shall to the extent of the
inconsistency be void.

This document, as it may from time to time be amended, shall


be known as the

“CONSTITUTION OF THE MARGLEO OLD STUDENTS


ASSOCIATION”

B. The Name of the Association:

The name of the Association shall be MARGLEO OLD


STUDENTS ASSOCIATION
(hereinafter called “the Association”)
C. The Motto of the Association:
WHENEVER, WHEREVER & WHATEVER, WE STAND
TOGETHER.
D. Slogan of the Association: MOSA; Unity Continues.

ARTICLE 2:1 INTERPRETATION
a. Set Year: The Year of Enrolment or Graduation from the
school.
b. Branch of the Association: Alumni resident in a particular
geographical, within or outside Nigeria or resident overseas
in particular country.
c. Diaspora Association: Alumni outside Nigeria.
d. NEC: National Executive Council.
e. BCSA: Branch/Class Sets of the Association
f. BOT: Board of Trustees
g. MEC: MOSA Electoral Committee

ARTICLE 2:2 AIMS AND OBJECTIVES.

The OBJECTIVES of the Association shall be:

i. To seek, project and advance the interests of the members of


the Association, students and staff of the school and the
interests and good image of the School.
ii. To meet, discuss and provide solutions where necessary to all
matters or problems affecting the school, the association.
iii. To secure, through the association, the complete and affective
organization of all old students of the school throughout
Nigeria and abroad.
iv. To seek and ensure the promotion of social and economic
welfare of members of the association through provisions of
assistance, during illnesses, accidents, education, un-
employments, funerals and marriages of such members and
their children as may be determined from time to time by the
NEC for and on behalf of the Association.
v. To co-ordinate all activities and assist all of the Association, in
the attainment of the objects of the Association.
vi. To honour deserving old students for their laudable
achievements in any or all areas of human endeavour and
selfless service to the association, as may be determined or

considered from time to time by the National Executive
Committee.
vii. To do all such other things as are incidental or conducive
to the attainment of the above objects or any of them.
viii. To promote understanding, unity, comradeship among all
members
ix. To promote networking of members in business, skill
acquisition and in all relevant fields.
x. To totally support member (s) who contest for one political
office or the other during election in Nigeria.
xi. To conduct general meeting’s which is targeted at
developing members and strengthen the love among us; which
will be agreed by the association members.

ARTICLE 3: MEMBERSHIP AND MEMBERSHIP OBLIGATIONS:

A. MEMBERSHIP:

There shall be three categories of members

1. Ordinary members 2. Financial Members


3. Honorary members.

1. Ordinary members:

i. All old students who attended the school at any level or class
for at least one academic year shall be eligible to become
ordinary member of the Association.
2. Financial Members:
i. A Financial Member is an ordinary member, who has fulfilled
all his financial obligations. Eg. Registration and duly approved
levies.

ii. Every ordinary member shall complete an enrolment form
obtainable from the National General Secretary of the
Association
iii. Every member shall pay an enrolment fee as may be
determined from time to time by the association upon his
completion of the enrolment fee.
iv. Every member shall pay to the association, an annual
subscription fee as may be determined from time to time by
the association.
v. Every member shall be obliged to pay special levies which
may, from time to time be imposed by the National Executive
Committee of the Association, PROVIDED ALWAYS that
all payment for the enrolment fee, Annual subscription and
special levies shall be collected from members, directly,
through the respective class set or in any such other manner
as the National Executive Committee of the Association may
direct.

3. Honorary Members:

i. All former principals of the school who were not old students
of the school and who served and performed creditably well
during their administration of the school, shall be eligible to
be admitted as Honorary Members of the Association.
ii. Honorary members shall not, except they voluntarily desire
to so do, be required to pay enrolment fee and annual
subscription fees or any special levy or levies to the
association.

iii. Honorary members shall not be entitled to vote at any


meeting or elections of officers of the Association.

B. MEMBERSHIP OBLIGATIONS

i. Every member shall complete an initial enrolment form


obtainable from the National Secretary of the Association,
provided that the National Secretary of the Association

shall deposit sufficient copies of such enrolment forms
with each class set of the Association shall have the right
to reproduce the enrolment form for use of its new
members and shall within thirty (30) days after completion
of the form return the same to the National Secretary for
records purposes.

ii. Every member shall pay enrolment fee and annual


subscription fees and levies as may be determined from
time to time by the National Executive Committee.

iii. All payments for enrolment fee, annual subscription and


special levies shall be collected from members, through
the various class set and in any such other manner as the
National Executive Committee of the Association deems
fit.

iv. A member shall have the right to have his/her complaints


attended to by the Association, provided that the complaint
shall be constructive, objective and shall relate to the
promotion of the aims and objectives of the Association.

v. A member, upon giving 21 days’ notice to the National


General Secretary of the Association, shall, at his expense,
have reasonable access to the books of accounts and
nominal roll of members of the Association, if available at
the time of request, provided that the concerned member
shall have paid all his outstanding dues to the association.
The 21 days’ notice shall be from the date of receipt of the
notice by the office of the General-Secretary.

vi. A member shall pay his/her dues to the Association


regularly; he shall endeavour to participate fully in the
affairs of the Association and refrain from any action
which may bring the Association to disrepute.

vii. All members, leaders and officials of the Association shall
identify themselves with the aims and objectives of the
Association and the ideals of the school.

viii. All members, leaders and officials of the Association shall


advance and protect the unity and solidarity of the
Association and members generally; and shall avoid the
introduction of ethnic, regional, religious bias and other
class segmentations in the conduct of the affairs of the
Association.

ix. A member shall be entitled to a copy of the


CONSTITUTION of the Association at a fee specified,
from time to time, by the National Executive Committee
(NEC).

x. Every member shall uphold and defend the constitution of


the
Association at all times.

xi. A member accepts as an obligation that the Association


shall have the right to take disciplinary action against him
for act(s) which is/are inimical to the progress of the
Association.

ARTICLE 4. TERMINATION OF MEMBERSHIP.

1. Membership of the association shall cease on any of the


following grounds: if the member:

i. Is found guilty by a disciplinary process under


Article 14 hereof;
ii. Is in arrears of his financial obligations to the
association
iii. Voluntarily withdraws his membership of the
association.

2. Any member may be fined, suspended or expelled for conduct


prejudicial to the objects of the Association.

3. No expulsion or suspension shall be valid unless:

i. A notice in writing, of a proposal to suspend or expel such


member must first have been given by the Secretary to the
member concerned and to other members of the National
Executive Committee, at least four weeks, before any
meeting is called to consider the said expulsion or
suspension;
ii. The notice must state the grounds upon which the proposal
to suspend or expel is being considered;
iii. The member concerned shall be given an opportunity to
respond, in writing, to the allegations levelled against him
and shall further be allowed to defend himself, calling such
witnesses as he may choose in his defence, at the meeting
which is being held by the National Executive Committee
to consider the proposal to expel or suspend him;
iv. The decision of the National Executive Committee of the
Association shall be ratified by at least two-thirds (2/3) of
the members of the Association present at the annual
General Meeting of the Association, voting by secret ballot,

provided that the member whose expulsion or suspension is
being considered shall have no vote.
v. The National Secretary shall, in writing, notify any member
who is cleared of any allegation brought against him, of his
vindication, within twenty one (21) days of the decision.
vi. The National Secretary shall, in writing, notify any member
who is suspended or expelled, of the news of his suspension
or expulsion from the association, within twenty-one (21)
days of the decision.
vii. vii. The suspended or expelled member shall have a right to
appeal against his expulsion or suspension to the next annual
or bi- annual General Meeting of the association, provided
that the member gives notice of his intention to so appeal
against the said decision within twenty-one (21) days of the
decision suspending or expelling the member from the
association;
viii. Until the hearing of such appeal the decision of NEC shall
be binding.
ix. Members of the National Executive Committee shall have
the duty to determine appeals
x. Any member whose subscriptions or other lawful
assessments are in arrears for a period exceeding two years
shall automatically cease to be a member, but shall remain
liable for the arrears, the payment of which arrears and
penalty thereto attached, which penalty shall be determined
by the NEC, shall, however, automatically restore his/ her
membership of the Association.
ARTICLE 5: EFFECT OF TERMINATION OF MEMBERS

A member shall, upon ceasing to be a member forfeit all rights to and


claims upon the Association and its property. Such member shall not
attend, vote or be voted for at any meeting of the Association.

Any member who is expelled shall also automatically forfeit his


membership of the respective Branch/Class set of the Association.

ARTICLE 6: FINANCES

a. The Association shall be self-sustaining


b. The sources of income of the association shall be comprise of the
following:
i. Membership fees;
ii. Annual Subscriptions;
iii. Levies;
iv. Donations from members and any other body;
v. Sales of stickers and other items as may be decided by the NEC;
vi. Fines
vii. Etc.
c. Every member shall be required to make a minimum payment of an
annual subscription which shall be fixed from time to time, by the
NEC;
d. The NEC, Annual General Meeting or the BCSA may impose levies
on or demand for donations from members or raise loans from
members for lawful purposes of the association.

ARTICLE 7: THE POLICY MAKING AND ADMINISTRATIVE


ORGANS OF THE ASSOCIATION.

The government of the Association shall be vested in the

ARTICLE 8: OFFICERS OF THE ASSOCIATION.

A. Executive Officers.

i. The Executive Officers of the Association shall be:


a. The President General
b. The Vice-President
c. The Diaspora Coordinator
d. The General Secretary
e. The Assistant General Secretary
f. The Financial Secretary
g. The Treasurer
h. The Public Relations, Media and Communication officer
i. The Social and Event Officer
j. The Auditor
k. The Provost
l. The Ex-officio Member

B. Class Set Officers

i. The Class Set Officers shall be:

a. The President
b. The Vice President
c. The Secretary
d. The Assistant Secretary
e. The Financial Secretary
f. The Treasurer
g. The Public Relations Officer
h. The Social Director
i. The Ex-Officio Member

c. Branch Officers

The Branch Officers shall be:

OPENING OF A BRANCH:
The association shall on appeal inaugurate a branch in any state of Nigeria or aboard,
if and only if the said state or country have 50 members or more of the old student
of Margleo School. And the requirements to grant this appeal is all the branch
members must be registered with (MOSA) before inauguration.

And they must agree to be sole under the association and its constitution; to respect
and to full part of the affairs of the association upon inauguration.

ARTICLE 9: ELECTION OF OFFICERS.

i. The National President, Secretary and Treasurer shall be regarded by the


Constitution as principal officers.
ii. To be elected as National President, a candidate must have been actively
involved in the affairs of the Association at the Branch/Class set level for
a period not less than two years and be knowledgeable in the business of
the Association.
iii. The Officers of the Association shall be elected at the Annual General
Meeting of the Association and shall hold office for a term of 4 years.
Such officers shall be eligible to be re-elected in another office for
another 4 years thereafter, provided that a National President of the
Association shall not hold office as president for more than four years.

iv. Election shall be by secret ballot or any other method adopted by the
MEC.
v. Upon the expiration of Tenure of his office, an outgoing officer shall
cause to be transferred to the incoming officer, all documents, assets,
liabilities and other properties of the Association in his possession. The
handover should be within 30 days of the election by which the incoming
officer is elected.
vi. To be nominated and elected a member of the National Executive
Committee, a candidate must have been actively involved in the affairs
of the Association at the Chapter level for a period of not less than twelve
(12) calendar months and be knowledgeable of the business of the
Association.

ARTICLE 10: DUTIES OF OFFICERS.

i. PRESIDENT GENERAL
The President General shall:
a. Preside over the meetings of the Association and of the National
Executive Committee.
b. Maintain and promote the objectives of the Association.
c. Be one of the signatories to the Association’s Bank Account(s)
d. Have a casting vote on any matter over which the National
Executive Committee has a tied vote.
e. Directing all other officers in the performance of their duties and
supervising the activities of all the branches and class sets of the
association.
f. Providing direction and leadership to all committees established for
the association.
g. Presenting at the AGM, a presidential address in writing to highlight
the accomplishment, problems, prospects and future direction of the
association.
h. Ensuring with the assistance of the secretary general and the
treasurer, the efficient and economic use of the associations asset
and resources through prudent investments, acquisitions and

disposals as maybe necessary from time to time. Subject however
to the overall approval of the Exco.
i. Commissioning of projects that has been decided by the
association.

ii. VICE PRESIDENT.


The Vice President: shall
a. In the absence of the President, perform the duties assigned to the
office of the President
b. Perform such other duties assigned to him by the President or the
National Executive Committee.
c. Shall be responsible for the coordination of the activities of branches
and class sets, as maybe assigned to him or her by the Exco or by
the President.
d. In the unavoidable absence, death, resignation, removal from office
or incapacity to function of the president, the vice president shall
take over the position of the president.

iii. DIASPORA COORDINATOR


The Diaspora Coordinator: shall
a. Shall be responsible for the activities of the diaspora arm
b. Shall serve as focal point to all diaspora members, ensuring there are
carried along and are involved in all the developments, events and
affairs of the association in Nigeria.
c. Perform such other functions as may be assigned from time to time
to him by the National President or the National Executive
Committee.

iv. GENERAL- SECRETARY.


The General Secretary: shall
a. Be responsible for keeping and maintaining a Register of members
and for ensuring that the names of all members (Home and Abroad)
for the time being are entered and retained in the Register.

b. Convene meetings upon the instruction of the president and shall
cause minutes of such meetings to be recorded and circulated
among members or officers entitled to such minutes and shall
further cause such minutes to be kept in appropriate minutes books.
c. Deal with general correspondence of the Association.
d. Carry out all lawful instructions of the President or of the National
Executive Committee.
e. Shall be a signatory to the Association’s Bank Account(s).
f. Shall deputized the president in the absence of both the president
and vice.

v. ASSISTANT GENERAL SECRETARY.


The Assistant Secretary: shall
a. In the absence of the General Secretary, act and perform the
functions of the General Secretary.
b. Shall be in charge of taking attendance in all meetings.
c. Assist the General Secretary whenever the need arises.
d. Perform such other functions as are vested in him by the National
Executive Committee

vi. FINANCIAL SECRETARY.


The Financial Secretary: shall
a. Collect either from each member, or the Branch/Class Set Excos, if
the members had paid such to the said Branch/Class Set Excos, all
subscription and levies due to the national association.
b. Render periodic accounts to the National Executive Committee
c. Issue receipts for all payments made to the Association.
d. Promptly deliver all subscriptions, levies and monies collected on
behalf of the association to the National treasurer.
e. Register and document, names of all members who paid for any
subscriptions, levies etc.

vii. TREASURER.
The Treasurer: shall
a. Pay into the Association’s bank account, promptly, all monies paid
to him by the Financial Secretary.
b. Render periodic reports as and when necessary.
c. Be one of the signatories to the Association‘s Bank Accounts.
d. Keep an accurate account of the Association.
e. Keep custody of all documents relating to the office of treasurer to
the Association.

viii. PUBLIC RELATIONS AND MEDIA OFFICER


The Public Relations and Media Officer shall:
a. Be responsible for the proper functioning of the media, public
relations and all publications of the Association as may be approved
by the National Executive Committee.
b. Counsel the National Executive Committee on media and public
relations program for the Association.
c. Be responsible for the media and public relations activities of the
Association

d. Presenting a good and progressive image of the association to the


public.

e. Managing the Alumni Website contents, and all social media


handles, ensuring the information is verifiable and up to date.

f. Announcing all information as approved by the president to the


general public.

ix. SOCIAL AND EVENT OFFICER


The Social Secretary: shall
a. Be responsible for the execution and planning of all social activities
of the Association.
b. Make necessary arrangements for social, charity programs and
business gatherings of the Association.

c. Ensuring, arranging adequate representation (s) at all functions to
which the association is properly and duly invited.
d. Work with the National Secretary and National Public relations
officer in disseminating information about all social and business
activities of the Association.
e. Liaise with and assist Branch/Class Set Presidents and Social
Secretaries to ensure that all activities during the Annual General
Meetings are effectively coordinated, and act as the Annual General
Meeting Coordinator when none is appointed.

x. AUDITORS.
The auditors: shall
a. Annually audit the accounts of the Association and sign jointly such
audited accounts
b. Present the audited accounts to the National Executive Committee
at the Annual General Meeting.
c. Be responsible for all financial transactions and accounting of the
Association.
d. Be responsible for paying the debts and obligations of the
Association, verifying the accuracy and legitimacy of claims against
the Association, and overseeing all financial operations of the
Association.
e. Prepare the Association’s annual budgets as well as ensure that the
Association does not exceed its budget/appropriations.
f. Prepare the estimated revenues of the Association as well as assist
the several local chapters in determining their estimated revenues.
g. Certify all indebtedness of the Association as well as maintain a
record of the Association’s indebtedness.
xi. EX- OFFICIO MEMBERS.
The Ex-officio Members: shall
a. Be members of the National Executive Committee; and shall
b. Liaise between the respective Branch/Class Set Excos and the
National Executive Committees
c. Perform such other functions and assignments as the National
Executive Committee shall assign to them.

xii. THE PROVOST

The Provost: Shall

a. Be the Chief Custodian of discipline of the association and her


members
b. Maintain orderliness in all AGM, BGM and NEC meetings
c. Have full right to fine defaulters of the law and constitution as
well.
d. Be the chairman of the panel committee at all times.

ARTICLE 11: NATIONAL EXECUTIVE COMMITTEE (NEC).

For the general administration of the business of the Association and


for the Government of the Association between the Annual General
Meeting/Biennial General Meeting, there shall be a National
Executive Committee. The council shall consist of such number of
elected members and honorary members as is provided in the
Constitution.

a. The National Executive Committee shall be constituted of the


following officers of the Association:
i. The National President;
ii. Vice President;
iii. General Secretary
v. Assistant General Secretary;
vi. Financial Secretary;
vii. Treasurer
viii. Auditor
ix. Public Relations Media and
Communications Officer.
x. Social and Events Officer
xi. Ex-Officio Members
xii. Branch/Class Set Presidents and
Secretaries or their duly appointed
representatives who are members of
the association;

xiii. Branch/Class Set Presidents or their
duly appointed representatives who
are members of the association; and
xiv. The school Principal.

b. The Association shall be administered in between Annual General


and Biennial General Meetings by the National Executive
Committee.
c. Members of the National Executive Committee shall be elected and
shall hold office for a period of four (4) years and shall, thereafter
be eligible for re-election in another office.
d. The National Executive Committee shall meet every six months.
e. A special meeting of the Committee may be summoned by the
General Secretary upon the directive of the president.
f. The National Executive Committee shall transact and supervise the
general business of the association.
g. The National Executive Committee shall see that properly prepared
half-yearly and annual statements of accounts relating to all
financial affairs of the Association are presented at its meeting and
it may call for any books, vouchers or documents and order an audit
or examination of the book or finances of the association, any
Branch/Class set.
h. The NEC shall consider all appeals and resolutions addressed to it
from respective Branch/Class Set and other appointed sub-
committees.
i. The National Executive Committee shall have power to fine,
suspend and or dismiss any member.
j. Any member or officer so disciplined shall by giving notice in
writing through the National President, within twenty-one (21)
days, have a right to appeal at the next Annual or Biennial General
Meeting of the Association. Until the hearing of such appeal, the
decision of the Committee shall binding.
k. The National Executive Committee shall decide how the surplus
funds of the Association shall be invested and how such investment
shall be varied. Such funds shall be invested in the names of the

Association in any of the public stocks or funds or Government
securities or other funds as the National Executive committee may
deem fit.
l. The National executives Committee shall have power to raise or
borrow money on any of the properties or securities of the
Association by way of mortgage or otherwise and in such manner
as they may reasonably deem fit.
m. The President shall preside over the meetings of NEC and in his
absence, the Vice President or Secretary, as the case may be.
n. In the absence of the President, Vice President and Secretary, any
other person elected by a majority of the members present shall
preside over the meeting of the NEC.
o. Every question/resolution at meeting of the NEC shall be decided
by a majority vote of members cast in a secret ballot or on a show
of hands.
p. Quorum at the meeting of NEC shall be one third of eligible
members. Except as may be otherwise provided in this constitution,
the NEC shall, in all things, act for and in the name of the
Association.
q. It shall be the duty of the NEC to keep the NEC members informed
as to the general administration of the Association and to exercise
General supervision over the keeping of the accounts and to verify,
from time to time any cash balances in the hands of the Treasurer
or the Financial or General Secretary or any other officer, as the
case may be.
r. The Agenda of the NEC meeting shall be forwarded to members at
least two (2) weeks in advance to all its members.
s. If any vacancy is created in the National Executive Committee
(NEC) by death, resignation or otherwise, a bye election shall be
conducted to fill the vacant position for the remaining part of the
term of office.
t. It shall be the duty of the National Executive Committee (NEC) to:

i. Guide and further the interests of members of the Association;

ii. To ensure the effective implementation of policies determined by
the Annual General Meeting/Biennial Delegated Conference.
iii. Ensure proper and strict observance of the constitution of the
Association by all organs and members.
iv. Perform such other functions as may promote the aims and
objectives of the Association.

u. The National Executive Committee (NEC) shall be dissolved at


either the Annual General Meeting or Biennial General Meeting,
whichever meeting is closer to the termination date of the NEC.
v. Upon the dissolution of the NEC, an election of new officers of
the NEC shall be held.

ARTICLE 12: ANNUAL GENERAL MEETING, BIENNIAL GENERAL


MEETING AND SPECIAL OR EMERGENCY ANNUAL
GENERAL MEETING OF THE ASSOCIATION.

a. The Supreme authority of the Association shall be vested in the annual


and Biennial General Meetings which shall be held yearly and
biennially in the month of January.
b. The annual and Biennial General Meeting shall always be held at the
Margleo International Secondary School Hall, situate in Ihitte -
Uboma, Imo State premises.
c. A special Annual General Meeting may however be held at such time
as the National Executive Committee may decide or by a resolution of
a majority of the Branch/Class Set and forwarded to the General
Secretary and the President of the Association.
d. A special or an emergency Annual General Meeting, just as the Annual
General Meeting and Biennial General Meetings, shall be composed
of members of the National Executive Committee and every financial
member of the Association.
e. A special or an emergency Annual General Meeting shall be convened
for a specific purpose, notice of which purpose must have been given
to all Branch/Class Set and not less than twenty-one (21) days before
the holding of the Special Annual General Meeting.

ARTICLE 13: BUSINESS OF THE ANNUAL OR BIENNIAL GENERAL
MEETING AND POSTPONEMENT OF THE ANNUAL AND
BIENNIAL GENERAL MEETING.

A. BUSINESS OF THE ANNUAL OR BIENNIAL GENERAL


MEETING.

a. The agenda of the Annual or Biennial General Meeting shall be


issued to the respective Branch/Class Set, and all members of the
National Executive Committee at least thirty (30) days before the
holding of the Annual or biennial General Meeting of the
Association and no subject not included therein shall be discussed
without the permission of the annual or Biennial General Meeting,
which permission shall be acquired by a simple majority of the
members present at the Annual or Biennial General Meeting of the
Association.
b. Suggested topics for inclusion on the agenda of the annual or
Biennial General Meeting from Branch/Class Set and shall be
forwarded to the General Secretary to reach him not later than two
weeks before the meeting.
c. The annual or biennial General Meeting shall receive and consider
the address of the President, reports of the NEC by the General
Secretary, reports of Branch/Class Set and reports of Auditor and
reports of Committees.
d. The election of officers of the Association shall take place at only
the Annual or the Biennial General Meeting of the Association.
e. The Annual General Meeting or the Biennial General Meeting shall
have the right to appoint any member as the Returning officer
(MEC) for the purpose of election of officers of the Association.
f. The president shall preside over the Annual or Biennial General
Meetings and in his absence the Vice-president or in the Vice
President’s absence, the Secretary, or in their absence any member

nominated by a majority of the members present and voting in that
order shall act for the president.
g. The annual or biennial General meeting shall have the exclusive
right to consider appeal (s) on fine, suspension and or dismissal of
members and Branch/Class Set.
h. The decision of the Annual or Biennial General Meeting of the
Association on any matter shall be final and binding on all members
Branch/Class Set.
i. Voting at the Annual or Biennial General Meeting shall be by secret
ballot or open ballot as may be decided by the meeting.

B. POSTPONEMENT OF ANNUAL OR BIENNIAL GENERAL


MEETING

e. The National Executive Committee shall, however, reserve the


authority to change the date and the venue of and generally
postpone the holding of the Annual and Biennial General Meetings
on very compelling grounds and shall exercise such power only due
to an unforeseen circumstance and the postponement shall only be
for a period not exceeding four (4) and six (6) months respectively,
only.
f. All the Branch/Class Set shall be duly and adequately notified of
the reasons for the postponement.

ARTICLE 14: DISCIPLINE.

g. The National Executive Committee (NEC) shall have the power to


discipline any member Branch/Class Set of the association for
misconduct and violation of the Association’s constitution.

h. Such member or Branch/Class Set shall within 30 days of any


decision taken against him, appeal to the Annual General
Meeting/Biennial General Meeting, through the National Executive
Committee.
i. While the appeal of such member or Branch/Class Set is pending,
any decision made against such member or Branch/Class Set shall

remain in force, except if such decision is stayed by the National
Executive Committee.

j. The National Executive Committee shall have the power to impose


disciplinary measures on any member, Branch/Class Set or officer
for proven serious misconduct. Misconduct shall among others
includes the followings;

i. Activities deemed to be inimical to the aims and


objectives, interests, progress and unity of the
Association.

ii. Unauthorized operation of finances of the Association.

iii. Embezzlement fraud, dishonesty, falsification of and/or


manipulation of funds of the Association and elections
or conniving to cover all or any of the offences
mentioned herein.

iv. Activities deemed to deliberately undermine the


pursuance or attainment of the decisions of the organs of
the Association, in achieving with the provisions of the
Association’s constitution.

v. Unruly behaviour at meetings of organs of the


Association and behaviour capable of putting the
Association in disrepute.

k. The National Executive Committee (NEC) shall have the powers to


impose the under listed disciplinary measures, for offences
itemized herein:

1. Warning or demand for a written apology

2. Fine

3. Suspension

4. Removal from office

5. Expulsion

Provided that any member or Branch/Class Set to be so disciplined
shall have the right of fair hearing and may appeal to the Annual
General Meeting/Biennial General Meeting.

l. Other lower organs of the Association, at Branch/Class Set and


levels shall have the power to impose disciplinary measures on any
of its members for serious misconduct as itemized in article 14(i-
v).

m. Members or Branch/Class Set suspended or removed from their


posts shall forfeit all the rights and privileges of their positions or
offices.
n. The Annual General Meeting/Biennial General Meeting shall have
power to expel members/ Branch/Class Set on the
recommendations of the National Executive Committee and
members/ Branch/Class Set or officers so expelled shall forfeit all
the rights and privileges of membership.

o. Any officer of the Association whose performance is considered by


the National Executive Committee as grossly inadequate shall
equally be disciplined in such a manner as is considered fit by the
National Executive Committee.

ARTICLE 15: NATIONAL TRUSTEES.

a. There shall be a four-member Board of Trustees.


b. The Board of Trustees shall be appointed by N.E.C and the
appointment shall be ratified by the A.G.M. and they shall hold
office at the pleasure of the Association.
c. The four Trustees for the time being shall have vested in them
all personal estate and whatever belongs to the Association and
they shall deal with it in such ways as the National Executive
Committee may direct, acting in the best interest of the
Association.
d. A Trustee may be removed from office by the National
Executive Committee on the ground of ill-health, unsoundness

of mind, he is no longer domiciled in Nigeria or if for any
reason, whatsoever, he is unable or unsuitable to perform the
duties of his office.
e. In the event of death, resignation or removal of a Trustee from
office, the office shall be filled temporarily by the National
Executive Committee.
f. No Trustee shall dispose of any part of the Assets of the
Association without the express authority of the Association.

ARTICLE 16: BRANCH/CLASS SET/REMOVAL OF BRANCH/CLASS


SET AND NATIONAL OFFICERS.

BRANCH/CLASS SET
a. Branch/Class Set of the association shall be registered with the
National Executive Committee.
b. The Association shall recognize and encourage Branch/Class
Set and when formed.
c. The Branch/Class Set shall ensure that their activities are in
conformity with the main objectives of the Association.
d. The Branch/Class Set shall be at liberty to draw up rules and
regulations for the use of their members, provided such rules
and regulations are not inconsistent with the provisions of this
constitution. Where there is any inconsistency between the
rules and regulations of the Branch/Class Set, the provisions of
this Constitution shall prevail.
e. A Branch/Class Set (where there are rules and regulations)
shall cause a copy of its rules and regulations to be deposited
with the General Secretary of the Association.
f. The list of the members and names of the officers of such
Branch/Class Set and shall be given to the National General
Secretary, by such chapter’s appropriate officers.

A. REMOVAL OF BRANCH/CLASS SET AND
NATIONAL OFFICERS
a. The power to remove Branch/Class Set and National Officers
shall not be exercised except for persistent acts of violation
against the constitution.
b. The National Executive Committee may remove any elected
officer of any Branch/Class Set or of the National Executive
Committee at any time for acts considered a violation of the
constitution and prejudicial to the smooth running of the
Association.
c. Any officer or group of officers so removed shall have the right
of appeal to the Annual General Meeting or Biennial General
Meeting.

ARTICLE 17: PATRONS AND MATRONS.

The Association shall have at least four Patrons and two Matrons.
The Patrons of the Association shall include persons for the time
being, occupying the following offices.

a. The Director of the School


b. The Executive Governor of Imo State.
c. The Commissioner for Education, Imo State
d. Former Principals of the school.

ARTICLE 18: INDEMNITY.

The Association shall repay or fully indemnify any member,


Branch/Class Set of the Association in respect of any reasonable
costs incurred by the said member, Branch/Class Set while
carrying out all lawful acts or directives of the association or the
National Executive, for and on behalf of the Association.

ARTICLE 19: AMENDMENT OF THE CONSTITUTION:

a. The constitution shall be deemed to be the basis of the contract


between the members of the association.

b. No new articles shall be made or any articles altered or amended
or rescinded unless as provided for by the constitution.
c. Any proposal for an amendment of the constitution shall be in
writing and shall be submitted by the National Executive
Committee either on its own initiative or if supported by the
signature of at least 5 ordinary members of the National
Executive Committee.

d. Any constitutionally registered and recognized Branch/Class Set


of the association may also propose an amendment of the
constitution to the National Executive Committee.

e. Any proposal for alterations and amendment by any member,


Branch/Class Set shall be in writing to the National Executive
Committee, through the National Secretary.

f. Similarly, proposal for alteration or amendment by any member,


Branch/Class Set shall be forwarded to the National Secretary at
least four months before the Annual General Meeting shall be
held.

g. The notice of the nature and form of proposed amendments shall


be circulated to all members, Branch/Class Set of the
Association, at least not less than thirty (30) days before the date
of the General Meeting or Special Meeting at which the motion
for the amendment is intended to be moved and passed.

h. The NEC shall submit such proposal for the amendment of the
constitution as it shall receive, to the Annual General Meeting or
at a Special General Meeting called for that purpose.

i. The constitution shall be amended at either an annual General


Meeting or at a Biennial or Special General Meeting of the
association called for the purpose of the amendment;

j. The amendment shall not be passed except by a two–thirds


majority of the members present and voting at the meeting and
which amendment shall be approved by the resolution of not less

than two thirds majority of all the Branch/Class Set for the time
being registered with the association and officially recognized as
a member of the association.

k. Alterations and amendments to the constitution by whatever


process shall become operative immediately and the National
Secretary shall immediately cause the copies of the amended
section of the constitution to be made available to all the
Branch/Class Set of the association.

ARTICLE 20: CONSTITUTION OF AN ELDERS FORUM

The Association recognizes and respects seniority as an enshrined


principle at the Margleo International Secondary School, situate in
Ihitte-Uboma, Imo State. As a way to sustain this principle and to
inculcate it in the minds of the Margleos it is desirable that such an
elders’ forum be created for the association.

a. There shall be an Elders forum for the association.


b. The Elders Forum shall compose of old students who had passed
out of the school for a period not less than twenty (20) years.
c. The Elders’ Forum shall operate in advisory capacity on matters
referred to them by the National Executive Committee, Annual
General Meeting or Biennial General Meeting.
d. Members of the Elders’ Forum shall be at liberty to attend the
Branch/Class Set and National Executive Committee, Annual
General Meeting and Biennial General Meeting.

ARTICLE 21: WELFARE OF MEMBERS


The Association shall identify with her member (s) at ordinations,
professions, weddings, anniversaries and burial ceremonies.
a. A set of persons, branch and class will be delegated to represent
the association at such ceremonies. The president of such class
and branch will be notified at least a month to the date, before
delegation.
b. The celebrant (member), will notify the association in not less
than two months to the occasion, with a notification fee of N1,

000 (one thousand naira only) and official invitation through
the president or the social/event officer.

ARTICLE 21:1 RITE OF MEMBERS, VIS – VERSA


 Burial of Relatives
1. This is in the case of the death of either a father or mother and
the death of a wife or a husband.
2. A member shall notify the association at two months to the
occasion, with N1, 000 (one thousand naira only).
3. The association is entitled to send a condolence message a
month after the notification of the demise to the said member.
4. The member shall provide the following on the day of the
ceremony:
 One crate of malt
 One crate of Guinness
 Rice and sizeable meat that will be enough for those that
attended.
 Bottle water.
The sum of thirty thousand naira (30, 000. 00) shall be given to
the bereaved member
 Wedding, Ordination and Anniversaries
1. A member decides in each of his or her occasions to
invite the association for his rite.
2. The member is entitled to a ceremonial rite once in a
lifetime.
3. The member shall at least give the association one month
notification with an invitation card and a token of 2, 000.
00 (two thousand naira). Through the president or social
event officer.
4. The member shall provide the following on the day of the
occasion:
 Must serve all delegates with delicious rice and
chicken. Salad (optional).
 One carton of Malt
 One carton of Guinness
 One pack of Bottle water
 Sour Vernier (optional).

5. The Social and Event Officer will notify the member the
total number of delegates that are coming, at least a week
to the date. This will enable the provision of the above
listed items, and get rid of excuses.
6. The association shall give the member fifty thousand
naira (50, 000. 00)
 Death of Member
1. It is the function of the public relations and media officer
to notify the general association of the death of any
member.
2. The president of branch and class set must notify the
association the death of her member, within one month of
the incident.
3. The association shall send a delegate of at least three
persons for a condolence visit to the family of the victim.
At least within a month of notification.
4. The association shall send a delegate of a least two to join
the committee of the burial planning of our member.
5. The association shall send a delegate of at least 20 twenty
persons to represent them on the burial date, the delegates
shall be a combination of branch or class sets of the
member, and NEC representatives.
6. A sum of N100, 000. 00 (Hundred thousand naira) and
above shall be given to the bereaved family before the
burial.

ALL FINANCIAL AND ACTIVE MEMBERS ARE ELIGIBLE FOR THE


ABOVE RITE’S
 All outstanding debts of the members must be cleared before any invitation
is tendered.
 It is only in the case of death of member that the outstanding debt will be
deducted from the rite.
 Branches are eligible to carry out their traditions in rites of a member.
 Class set are not eligible anymore to organize special rites for their members
but can make increase in the unit price been paid by the general association.
 Each member of the association is to pay the token of N300 (Three Hundred
Naira) to the financial secretary during any member’s ceremony.

ARTICLE 22: RECRUITMENT OF SS 3 OUTGOING STUDENTS OF THE
SCHOOL
The NEC shall send a committee of at least three for their recruitment a day before
their graduation day.
Outgoing students are to register with five hundred naira (500) while in school, or
one thousand naira (1, 000) after the graduation date.
A Seminal will be conducted for them to educate them on the life after college and
the need to be a registered member of the association.

THIS CONSTITUTION SHALL BE CITED AS THE CONSTITUTION OF


THE MARGLEO OLD STUDENTS ASSOCIATION, OTHER WISE
REFERRED TO AS (MOSA CONSTITUTION) AND SHALL TAKE
EFFECT FROM THE DAY OF LAUNCHING IN JANUARY 2024.
