MEMORANDUM OF AGREEMENT
Know all Men by these presents:
The parties:
Mrs. Diana Edna G.Corda, of legal age, Filipino, married, of Brgy. Tiolas San Joaquin,
Iloilo referred to as the “SPA HOLDER”, and JC Alvin Noble, Noel F. Siasat, Marissa
Seastres, all of legal age and Filipino citizen, hereinafter, referred to as the “AGENT”.
WITNESSETH THAT:
The parties have entered into the agreement on their own free will and agree to the
following:
1. PROPERTY SUBJECT MATTER: The SPA holder has all the right to sell the
property subject matter. The seller hereby grants the AGENT’S exclusive rights
to sell the Property which is a parcel of land situated at Brgy. Tiolas San Joaquin,
Iloilo, with a total area of 615,842 square meters, involving lot no.4309 and
TCT/OCT NO. ( CLOA CO-19006 CARP 2020000114 )
2. RESPONSIBILITY OF THE AGENTS: The agents have experience in selling,
marketing, and advertising real estate properties; and have expressed an interest
to provide these services for the seller. In addition to the duties incumbent on the
AGENTS under this Agreement, AGENTS shall:
a. Obtain the information necessary for the sale of the property
b. Market the property on behalf of the seller
c. Arrange the purchasers to inspect the property
3. PRICE: The total Package Price of the Property is (₱320,000,000.00) Three
Hundred Twenty Million Pesos only...
4. COMMISSION: In the invent that the SELLER enters into a binding contract for
sale with a PURCHASER, through the AGENTS. Then the SELLER is liable to
pay the AGENT’S a commission. The commission shall be divided amongst the
above AGENT into equal parts.
5. SCHEDULE AND MANNER OF PAYMENT: The schedule and manner of
payment of the AGENTS shall be made upon after the payment from the
purchaser has been made.
6. REAL PROPERTY TAXES: Any and all unpaid REAL PROPERTY TAXES shall
be paid by the seller.
7. PAYMENT OF CAPITAL GAIN: The capital Gain Tax for the property shall be
paid by the SELLER.
8. OTHER TAXES AND EXPENSES: The documentary stamp tax, transfer tax,
registration fees, and all other expenses to transfer the title of the property from
the OWNERS name to the BUYER’S name shall be the responsibilities of the
BUYER.
9. AMENDMENT and APPLICABILITY: This agreement may be amended with the
prior consent of the parties. The agreement shall overrule any previous
agreement either verbal or written between the parties prior to entering into this
agreement.

This is in reference to the Land (Coastal Lot Number 4309 under TCT/OCT#
( CLOA CO-19006 CARP 2020000114 ) and TAX Declaration # 35-0078-00001
which is for the sales located in Brgy. Tiolas San Joaquin, Iloilo with a total area of
615,842 square meters, please refer to the land title and vicinity Map.
I, Mrs. Diana Edna G. Corda of Legal age, resident of Brgy. Tiolas San Joaquin, Iloilo
the holder of SPA of the heirs of _____________________. I am in the process
of collecting all the requirements necessary for the issuance of the transfer
certificate of the title and the TAX Declaration.
The property is within Verified Agriculture Zone (AGZ) based on the 2000-2010
comprehensive land use Plan and Zoning Ordinance of the municipality.
However, this lot is also open for conversion to an industrial zone once applied
by the company.
We are offering the property package deal the amount of (₱320,000,000.00)
Three Hundred Twenty Million Pesos only . The capital gain and the Broker’s
Commission shall be at our expense but the Documentary Stamps and the
Registration Fee including the transfer tax shall be at the expense of the buyer.
The payment scheme will be as follows:
a. Fifty percent (50%) shall be the down payment
b. Fifty percent (50%) shall ve payable upon the transfers or the ownership in
favor of the buyer.
Our offer is good for Sixty (60) days upon receipt of the complete documents, if
No confirmation of your acceptance of our offer within the said time, we will
entertain other buyers
