HVAC Contract Agreement
This agreement is made and entered on the 18th July 2020 between:

Area Sayoh 5, Sharjah.

Both Parties have mutually agreed the following terms and conditions of this agreement

Scope of Work and Contract Amount
Following work will be done by first party
1. Provision and installation of decorative and ducted split air conditioners with copper pipe,
copper pipe insulation, duct work, indoor and outdoor units installation etc.
2. All air conditioners will be of Trane Outdoor US and Indoor Thailand made Brand except Maid
room and kitchen.
3. Wire will be Ducab, copper pipe Maksal and PI Pal duct will be used 25 mm.
4. VCD Grill diffuser will be from PAC Vent.
5. Testing and commissioning according to supplier’s recommendations.
Price: FOR COMPLETING WORK ACCORDING TO TERM AND CONDITIONS SPECIFIED IN THIS
CONTRACT FIRST PARTY WILL BE LIABLE TO PAY 118,500AED (ONE HUNDERED AND EIGHTEEN
THOUSAND AND FIVE HUNDERED DIRHAM ONLY).
This amount is divided into four Parts.
i. For equipment total cost will be 91,709 AED. To be paid before purchasing equipment.
ii. For material i.e. copper pipe, cable, Control wiring etc. total cost is 10,000 AED.
iii. PI Duct work with diffusers, grills VCD etc. will cost 10,000 AED.
iv. Testing and commissioning cost is 6,709 AED.

Terms of Payment:
1. Payment against the MATERIAL will be done by the first party before start of work (AED
20,000).
2. Testing and commissioning money after completion of work (AED 6709).
3. Equipment price (Indoors, Outdoors) at the time of purchasing the equipment.
Variation in price:
This price of equipment (air conditioners) can vary according to the time of purchase.
Time of Completion
As per schedule and program of First Party.
Exclusions:
1. Electrical isolators should be within 2 meter of the outdoor unit. More than 2 meter
cable will be charged seperately
2. Any kind of civil and masonry work such as carpentry work, partitioning over ceiling,
wooden frames etc.
3. Conduit pipes in walls to install copper pipes in it.
4. Supply and installation of switch boards, breakers, Sockets, isolators etc.
5. Any type of conducting for electrical or thermostat wiring.
6. Insulation of drain pipes.
7. 3rd Party fire sealant.
8. Any drawing approval from civil defense.
9. Anything not mentioned in quotation.
Extension of Time:
The Second Party shall be entitled to extension of time if delayed in completing the
contract within the period of performance due any obstruction, condition or circumstance or reason
beyond its control and, or where the Second Party for the work exceeded is unable to meet any of
its obligations due to the fault of the First Party.
Variations:
Variations, rework or additional work shall be carried out by the Second Party only upon
written approval and prior agreement, on price or rate including advance payment for such works,
with the First Party and / or Consultant and / or Client.

Obligations of the FIRST PARTY.
• All associated civil works.
• Storage and other amenities at site.
Settlement of Dispute:
In case of any dispute which cannot be resolved amicably shall be referred to court, the laws of
United Arab Emirates shall only apply and the jurisdiction of the agreement is the court of Emirates
of Dubai in United Arab Emirates.
In the witness whereof, the parties here unto set their respective hand seals with the date as first
mentioned above.
