Commercial Contract
This Commercial Contract (“the Contract”) is made by and between
Galaxy Holding Limited, a company duly organized and existing under the laws of [Hong Kong,
China], having its registered office at 502C-5F, Ho King Commercial Centre, No.2-16 Fa Yuen Street,
Mong Kok, Kowloon, Hong Kong and with its registered number of 67976385-000-07-23-2(“Seller”);
And
Julius Berger Nigeria Plc, a company duly established and existing under the laws of [Nigeria] having
its registered office at for the purchase and sale of solar modules (the “Products”).
Seller and Buyer are referred to herein individually as a “Party” and collectively as the “Parties”.

ii. Payment Term
30% of the contract amount of each batch, payment by T/T in advance, no later than [seven (7)]
working days after the Contract is executed; the rest 70% by T/T no later than [seven (7)] working
days against copy of B/L before goods arrive at destination port. If any open amount payment is not
secured, the Buyer shall pay such amount before delivery; otherwise, the Seller may withhold all or
any part of the delivery of the Products.
Availability Good available ex-stock, prior sale. Can be resrved only after receipt of the payment.

The notice: (1) if sent by courier, shall be deemed received on the eighth (8th) day after delivery to
the courier; or
(2) if sent by facsimile, shall be deemed received upon receipt by the recipient’s facsimile machine
or in the sender’s transmission confirmation report as produced electronically by sender’s facsimile
machine; or (3) if sent by email, shall be deemed received upon the email’s arrival to the recipient’s
server.

The above exhibits (each an “Exhibit” and together “Exhibits”) are integral part of the Contract, which
will automatically become binding and effective upon the Buyer, once Buyer sign off on the Contract
here below. The signature of the Buyer is construed that the Buyer fully understands and
acknowledges these Exhibits.
v. Execution
The Contract shall become effective upon being duly signed by Seller and Buyer. This Contract may
be executed in separate counterparts and delivered by facsimile or other means of electronic
transmission, each of which when so executed shall be deemed to be an original and all of which
together shall be deemed to be one and the same instrument.
The terms and conditions herein contained, including the Exhibits attached hereto, constitute the
entire agreement between the Parties hereto. In case of any conflict between the Contract and the
Exhibits, the terms and conditions of this Contract shall prevail.
IN WITNESS WHEREOF, the Parties hereto have caused this Contract to be executed by their duly authorized
representatives on the Signature Date specified below, in the event the signature date by the Parties is not the
same day, the latter date shall be applied.

acknowledge and agree that this Agreement represents the entire agreement between the Parties.
No other representations have been made or relied on in making this Agreement.
The Parties agree to the terms and conditions set forth above as demonstrated by their signatures.
Each party understand the entire Agreement and no duress and/or undue influence has been exerted
by the Parties in connection with this Agreement.
Having read the foregoing, the undersigned Notary Public under the laws of Federal
Government of Nigeria Public Procurement Act, 2007 hereby ratify, approve, confirm and
endorse the Agreement.
