WHEREAS the Promoter being the successful bidder has been allotted on lease hold basie
(Got converted to free hold by the Promoter on taking over possession of the said land from
Meerut Development Authority hereinafter referred to as MDA) approximately 300 Acres of
land by the MDA in Ved Vyas Puri, Meerut (U.P.)vide allotment letter dated 15-Apr-2005 for the
purpose of development of the said land into a colony comprising of Row Housing/ Duplex
Housing /Group Housing / Plotted Development etc. The said colony has been named by the
Promoter as SUSHANT CITY, Meerut, hereinafter referred to as the "Colony".

AND WHEREAS in terms of the Tender Documents, the Promoter has been authorized to allot
the units of different specifications and, sizes developed/ constructed by the Promoter, to
different buyers.

Wherever there are more than one Buyers, the expression Buyer in the agreement shall be
construed as including each of the such buyers, executors assigns etc.

AND WHEREAS the Buyer had applied for allotment of a Plot by way of sale in the said Colony
vide application dated. and the Promoter has agreedto sellthe same tothe Buyer on
terms and conditions stated hereinafter:

c) No. further intimation/call notice regarding payment will be sent and it will be the
responsibility of the Buyer to adhere strictly to the payment schedule opted by the Buyer
and stipulated in Annexure-l/Annexure-IA.

d) The Promoter and the Buyer hereby agree that the amount paid to the former by the
latter either with the application for allotment or thereafter to the extent of 20% of the
sale price of the plot shall constitute Earnest Money for the purpose of this
agreement.This Earnest Money shallstand forfeited in case of default in timely payment
of instalments and non-fulfillment of the terms &conditions of this Agreement.

2 The above price is inclusive of External Development Charges. In case of any upward
revision thereof by the government or other authorities in future, the same would be
recovered on pro-rata basis from the Buyer. The Buyer shall also pay the proportionate
free hold conversion charges, as and when demanded by the Promoter. The free hold
charges of the land have been paid by the Promoter to MDA in addition to the cost of
Land.

3 The Promoter shall have the right to effect suitable and necessary alterations in the
layout plan, if and when found necessary, the alterations may involve all or any of the
following changes namely change in position of the plot, change in location of the plot,
change in the number of the plot, change in its boundaries, change in its dimensions or
change in its area. To implement any or all of the above changes supplementary sale
deed or additional documents if necessary will be executed and got registered. Any
increase or decrease upto15% of the original alloted area shall be adjusted at the booking
rate. However, in case increase / decrease is more than 15% the promoter shall have
the sole discretion to decided the rate. In case the particular plot is omitted or the Promoter
is not able to hand over to the Buyer for any reason other than those mentioned in Clause
'4' below, the Promoter shall be responsible only to refund the actual amount received
by it and shall not liable to pay any compensation or interest whatsoever.

4. At present there is no subsisting notification or order of the State Government or any


other Government or local authority regarding acquisition or requisition or otherwise for
taking over of the area in which the plot is located. In case any such development takes
place hereafter, the same shall be at the cost and risk of the Buyer who will be bound to
carry out and implement all the terms of this Agreement including payment of the
outstanding installments and will also thereafter be entitled to receive the compensation
paid from the Government/Authority in respect of the plot. The Promoter will not be
responsible or liable in any manner whatsoever on account of any such development.

5 The timely payment of installments as stated in Annexure-|/Annexure-IA of the Agreement


and applicable stamp duty, registration fee and other charges payable under the
Agreement is the essence of this contract. In absence of any notice of demand issued
by the Promoter, it shall be incumbent on the Buyer to strictly comply with the terms of
timely payment and the other terms and conditions of this Agreement failing which
allotment shall stand cancelled and the entire amount of earnest money deposited by
him shall be forfeited and he shall be left with no right or lien on the plot. The amount(s).
if any, paid over and above the earnest money shall be refunded to the Buyer without any
interest. In exceptional circumstances, the Promoter may at its absolute discretion
condone the delay in payment by charging an interest @ 18% p.a. on the amount
outstanding.

6. Transfer of the Plot including rights as allottees herein, will be at the sole discretion of
the Promoter and will need its prior written approval. Administrative charges as prescribed
by the Promoter from time to time will be paid by the Transferer, at the time of transfer.
Any change in the name (including additions/deletion) recorded as Buyer with the
Promoter will be deemed as transfer for the purpose. The administrative charges for
the transfer of the plot amongst familymembers (husband/wife and own children/mother/
father and brother/sister) will be 25% of the normal administrative charges. Claims if
any, between Transferor and transferee as a result of subsequent reduction/ increase in
the areaor its location will be settled between themselves i.e. transferor and transferee
and the Promoter will not be a party to it.

7. The Buyer has entered into this Agreement with full Knowledge and subject to all the
laws and notifications and rules applicable in the area.

8. Before signing this Agreement, the Buyer has satisfied himself about the rights, title and
interest of the Promoter in the said land and understands all limitations and obligations
in respect of it and no further investigation is needed by the Buyer.

9 The sale deed Shall be executed and got registered in favour of the Buyer within a
reasonable time after the plot has been finally demarcated at the site and after receipt
from him of full sale consideration and other charges and compliance of all other terms
and conditions of this Agreement. The cost of stamp duty, registration charges, freehold
charges and other incidental charges will be borne by the Buyer in addition to full sale
price of the plot, as and when demanded by the Promoter. The sale deed shall contain
terms and conditions contained herein and such additional terms and conditions as are

Considered proper by the Promoter. The Buyer Shall not object to any such terms. In case the
Government demands any stamp duty/ registration charges and freehold charges on
this Agreement, the same shall be borne by the Buyer.

10. The Buyer shall be bound to start construction of the house with due sanction of the
Competent Authority within a period of 3 years from the date of intimation to take
possession is sent by the Promoter failing which the Promoter will be entitled to resume
the plot without any compensation and to allot the same to somebody else and the sale
price of the plot received by the Promoter shall be refunded to the Buyer without any
interest. In the alternative it shall be in the sole discretion of the Promoter to the extend
the period for commencement of construction, but in that event the Buyer shall be liable
to pay charges for the plot area to the promoter for the extended period as decided by
the Promoter.

11. The Buyer of the plot unconditionally agrees and undertakes to pay necessary charges,
from the date when possession is offered to him, as determined by the Promoter or the
maintenance agency towards water and for maintaining various value added services
until the services are handed over to local body. The Buyer shall deposit with the
Promoter a sum as decided by the Promoter by way of interest free security to ensure
timely payment of maintenance and water charges by him. The amount willl be payable
by the Buyer and will be paid at the time when possession is offered or sale deed is
executed, whichever is earlier, however, the maintenance charges shall become payable
from the date of offer of possession.

12. The above arrangement will be applicable till the maintenance of various services of the
entire colony is handed over to the Local/Civic Body or any other agency. The Buyer
agrees and consents to the above arrangement and further undertakes that he shall not
question the same singly or jointly with other Buyer(s). However, the Promoter or its
appointed Manitenance Agency may withdraw from the management aforesaid at any
time after a general notice in thecolony and give up its residuary rights therein.
13. Alltaxes whether levied or leviable now or in future on the land/or building on this land as
the case may be shall be borne from the date of booking by the Buyer.

The Buyer shall get his complete address registered with the Promoter at the time of booking
and it shallbe his responsibility to inform the Promoter by registered letter about all subsequent

changes, if any, in his address failing which, alldemand notices and letters posted At the firet

should ordinarily reach such address and the Buyer shall be responsible for any default in
payment and other consequences that might occur there from.
15. All letters, receipts, and/or notices issued by the promoter or its appointed Maintenance Agency
and dispatched under a Certificates of Posting or Courier to the last address known to it of
the Buyer shall be sufficient proof of receipt of the same by the Buyer and shall fully and
effectually discharge the Promoter or its nominee.

16. Cost of Electric Service Connection is not included in the aforesaid price and shall be payable
by the Buyer in addition to price of plot. Further the Buyer shall pay on demand to the Promoter
amount to be determined at the time of providing sewer and water connection and any other
connection of a service which the Promoter may provide from the mains laid along the road
serving the plot.

17. The Buyer shall be entitled to possession of the plot only after the amounts payable under
this agreement are fully paid.

18. The Promoter has the right to raise the finance from the Bank / Financial Institutions / Body
Corporate and for this purpose create equitable mortgage (mortgage by deposit of title deed)
of the project land in favour of one or more such institutions and for creation of such a charge
the buyer shall have no objecion, during the development of the project.
Notwithstanding the foregoing, the Promoter shallensure to have any such charge, if created,
cleared and vacated before the conveyance of title deed in favour of the Buyer.
19. The Buyer shall abide by all Laws, Byelaws, Rules and Regulations of Meerut Development
Authority / Local bodies andshall be responsible for all deviations, violations or breach of any
of the conditions of Rules and Regulations.
20. The Promoter shall have the first lien and charge on the said plot in the event of the Buyer
parting with any interest for all its due l and /or that may hereafter become due and payable
by the buyer to the Promoter under this Agreement.

21. The Buyer, if resident outside India, shall be solely responsible to comply with the necessary
formalities as laid down in the Foreign Exchange Management Act and other applicable lawS
including that of remittance of payment(s) for acquisition of property and for submissIon or
any documents / declarations etc. as may be prescribed in the Law.
22. Any disputes arisingout of this Agreement shall be subject to jurisdiction of Delhi Courts only.
