ÖÖÖÖÖCOMPETITION LAW GUIDELINES FOR THEÖ)ATAÖ&UELÖ&ORUMÖ-EETING
The Aviation Fuel Forum (the “Meeting”) is a trade association activity of the International Air Transport Association ("IATA"). The Meeting does
not enjoy immunity from the U.S. antitrust laws nor does the Meeting enjoy antitrust immunity from any other jurisdiction. Accordingly,
IATA is publishing these Competition Law Guidelines to ensure that discussions at the Meeting and related activities will be conducted in strict
compliance with all applicable competition laws.
Statement of Policy
The purpose of the Meeting is to provide a forum for legally permissible discussion by air carriers, aviation fuel suppliers and other parties of
subjects of mutual interest relating to the supply of aviation fuel around the world. The Meeting shall be conducted in strict compliance
with United States antitrust laws, the competition rules of the European Union, and the competition laws of all other relevant juris-
dictions.

Procedural Guidelines
1. All business of the Meeting shall be conducted at regularly scheduled sessions of the Meeting or through the activities of duly designated
committees. Informal sessions of delegates to take final action on agenda items are prohibited. All discussions or conversations of Meeting
participants, including during breaks and scheduled or non-scheduled social activities connected with the Meeting or committee meetings,
must follow these Guidelines.
2. Sessions of the Meeting shall be conducted only in accordance with written agendas. Such written agendas shall be reviewed in advance
by IATA counsel familiar with the U.S. antitrust laws, European competition laws, and other competition laws, to assure that the agenda items
are in compliance with these laws. These agendas will be distributed in advance of the Meeting. Any document presented at the time of the
Meeting shall be similarly reviewed by the antitrust counsel before it is distributed.
3. Each Meeting session shall be attended by an antitrust/competition law compliance attorney familiar with antitrust/competition laws and
designated by and employed or retained by IATA. This compliance attorney shall address the Meeting at the opening of the Meeting,
offering appropriate admonitions and guiding remarks concerning antitrust/competition law compliance, and shall remain present during the
Meeting to advise on antitrust/competition questions. In addition, each Member airline or Partnership Programmes member may be
accompanied at any Meeting by a lawyer of its choice.
4. Detailed minutes of each Meeting shall be kept, including indications of a Member airline or a Partnership Programmes member absenting
him/herself from the Meeting for a particular agenda item. Such minutes shall be reviewed by the attending compliance attorney prior to
circulation to attendees.
5. Terms of reference for or work assignments to committees shall be in writing and shall be approved by an IATA antitrust/competition law
attorney prior to any committee undertaking any work or taking any action. Committee meetings shall be conducted pursuant to written
agendas and these agendas as well as detailed minutes of any committee meetings and any committee reports, recommendations, or other
work product shall be submitted to IATA for antitrust/competition review.
Prohibited Agreements and Activities
1. The following types of agreements, whether expressed or implied, are strictly PROHIBITED as Meeting or committee activities:
a. Any collective agreements among airlines, or among fuel suppliers, or between airlines and fuel suppliers, concerning the price to be paid
by them for fuel or the terms and conditions on which fuel will be bought or sold. The Meeting may draft model contract provisions as
assistance to members, but there shall be no obligation, express or implied, on any party to make use of such model provisions. The
Meeting may address government-controlled activities as explained by the antitrust/compliance attorney;
b. Any agreements which are intended to, or which in operation are likely to, harm non-participants, including without limitation agreements
with the intent or effect of excluding non-participants from access to facilities; and
c. Any agreement allocating any market, territory, customer, or supplier, or groups thereof.
2. Recognizing that the existence of an unlawful agreement or concerted practice may be inferred from circumstances, including information
exchanges, discussions or disclosures of the following types of information except where such information has otherwise been made
public are PROHIBITED at the Meeting or committee meetings:
a. Individual company prices or other terms of sale or purchase;
b. Individual company price differentials, price mark-ups, discounts, allowances or credit terms;
c. The prices, terms and conditions contained or to be contained in any individual arrangement for the sale and purchase of fuel between
any airline and any supplier;
d. Any individual carrier’s intentions with regard to the purchase of fuel from any particular supplier;
e. Any individual supplier's intentions with respect to the sale of fuel to any particular carrier;
f. Individual company costs of production or distribution, cost accounting formulas or methods of computing costs;
g. Individual company figures on sources of supply, production, inventories, sales or capacity;
h. Matters relating to individual competitors, suppliers or customers, in particular in respect of any action that might have the effect of
excluding them from the market;
i. Information as to future plans of individual companies for the production, purchase, distribution or marketing of particular products, includ-
ing proposed territories of suppliers or customers;
j. Any individual supplier's or customer's future intentions concerning the price, marketing, purchase or production of fuel, intentions to enter
into or withdraw from fuel sales at any airport, geographic market, or country, or concerning new technology;
k. Exchange of historical market information, particularly information less than one year old which would permit the ascertainment of any of
the above company specific information.
