Notes and Assumptions:
1. Delivery: FOB China option.
2. Spare parts are not included in the current scope.
TrinaStorage's Standard Commercial Terms & Conditions
This proposal is subject to the following caveats and assumptions:
1. This proposal is made based on TrinaStorage's standard terms and conditions.
2. This proposal is subject to the contract. TrinaStorage reserves the right to vary any element of this proposal until definitive legal documentation is signed by contractual
parties.
3. Should the proposal include any third-party services, such applicable third-party terms and conditions will be passed through to you.
4. The proposal is valid for acceptance for a period of 30 days from the date of the proposal.
5. In the event that you wish to cancel TrinaStorage's service(s) (or any part thereof) early, applicable termination charges as per TrinaStorage's standard terms and
conditions shall apply, including all third-party charges (if applicable).
6. This proposal is subject to the local regulatory and legal restrictions. If regulatory compliance requires that changes be made to TrinaStorage’s services, the price is likely
to change, and you will be advised of the impact.
7. Any agreed changes to TrinaStorage’s service post-contract will be handled via the agreed contract change control process.
8. The contracting entity can be any branch of Trina depending on the location of the project.

Our Terms and Conditions
Pricing Assumptions and Caveats
1. Prices are quoted in US Dollars.
2. All pricing is indicative and based on pricing information available at the time of preparation of this proposal and is subject to change for any reason including changes to
technical or service design or prices of third-party suppliers.
3. The price is based upon the solution described being provided in its entirety. In the event that only individual elements of the proposal are required, TrinaStorage reserves
the right to amend its pricing accordingly.
4. Pricing based on delivery on Q3 2025.
5. The suggested payment terms shall be paid by Telegraphic Transfer (TT) in percentage in accordance with the following milestones:
- 20% down payment is to be paid when placing the order.
- 40% upon completion of Factory Acceptance Test (FAT).
- 30% upon delivery based on incoterm agreement.
- 10% upon substantial completion/Commissioning.
6. Any recurring or on-going charges will be invoiced annually in advance during the contract term. Any amounts paid in advance shall be non-refundable, save where
TrinaStorage is in breach of the contract.
7. All charges and any other sums quoted under this proposal and any resulting contract are exclusive of any applicable taxes and duties as imposed by the relevant taxing
authorities in the countries where goods and services are to be delivered or rendered, including but not limited to sales, value-added, excise, other governmental taxes and
charges, import export taxes, surcharges, and any other taxes, which shall be charged in accordance with the relevant laws and be paid by you. All withholding taxes, levies
and similar payments imposed on sums due to TrinaStorage shall be borne and paid for by you, in addition to the sums due to TrinaStorage.
