This authorization is granted under the following terms and conditions:

1. Scope of Authority:
The authorized signatory is permitted to sign only those documents expressly
instructed by the undersigned. These documents shall include, but are not limited to,
the types of documents listed above. The authorized signatory is not permitted to
sign any documents outside of this scope without additional written approval from
the undersigned.
2. Confirmation of Instructions:
All instructions to the authorized signatory shall be provided in writing (email or
formal letter). No document shall be signed without the specific written
authorization of the undersigned confirming the content and purpose of the
document.
3. Limitations of Liability:
The authorized signatory shall not be held personally liable for any consequences
arising from the issuance of documents, provided that the signatory acts in good
faith and strictly follows the instructions as provided by the undersigned. The
undersigned assumes full responsibility for the legal and operational validity of the
documents issued under this authorization.
4. Review and Approval Process:
The undersigned agrees to provide a final review of all documents requiring
signature at least [insert number of days] prior to signing. The authorized signatory
shall only proceed with signing once explicit written approval is provided by the
undersigned.
5. Indemnification:
The undersigned agrees to indemnify and hold harmless the authorized signatory

The undersigned remains ultimately responsible for the content and legal validity of
all documents signed by the authorized signatory. The undersigned will ensure that
all instructions are accurate, complete, and compliant with applicable laws.
This letter shall remain in effect until further written notice from the undersigned.
