DISCLAIMER

1. Directorate of Town & Country Planning, Department of Housing & Urban


Development (HUD), Punjab (the “Authority/HUD”) proposes to undertake the exercise of
GIS Based Master Plans cum Zonal Development Plans of Cluster Ludhiana (the “Project”).
For this purpose, the Authority has mandated Punjab Infrastructure Development (the
“PIDB”) to undertake the bidding process on its behalf for the selection of the Consultant to
undertake the said project.
2. The information contained in this Request for Proposal (the “RFP”) or subsequently
provided to Bidder(s), whether verbally or in documentary or any other form, by the
Authority/PIDB or any of its employees or advisors, is provided to Bidder(s) on the terms
and conditions set out in this RFP and such other terms and conditions subject to which such
information is provided.
3. This RFP is not an agreement and is neither an offer nor invitation by the
Authority/PIDB to the prospective Bidders or any other person. The purpose of this RFP is to
provide interested parties with information that may be useful to them in the formulation of
their Bid/Proposal for qualification pursuant to this RFP and for no other purpose.
4. This RFP includes statements, which reflect various assumptions and assessments
arrived at by the Authority/PIDB in relation to the Project. Such assumptions, assessments
and statements do not purport to contain all the information that each Bidder may require, nor
shall it be assumed that such information or statements shall remain unchanged.
5. This RFP may not be appropriate for all persons, and it is not possible for the
Authority/PIDB, its employees or advisors to consider the investment objectives, financial
situation and particular needs of each party who reads or uses this RFP. The assumptions,
assessments, statements, and information contained in this RFP may not be complete,
accurate, adequate, or correct. Each Bidder should, therefore, conduct its own investigations
and analysis and should check the accuracy, adequacy, correctness, reliability and
completeness of the assumptions, assessments, statements, and information contained in this
RFP and obtains independent advice from appropriate sources.
6. Information provided in this RFP to the Bidder(s) is on a wide range of matters, some
of which may depend upon interpretation of law. The information given is not intended to be
an exhaustive account of statutory requirements and should not be regarded as a complete or

authoritative statement of law. The Authority/PIDB accepts no responsibility for the accuracy
or otherwise for any interpretation or opinion on law expressed herein.
7. The Authority/PIDB, its employees and advisors make no representation or warranty
and shall have no liability towards any person, including any Bidder, under any law, statute,
rules or regulations or tort, principles of restitution or unjust enrichment or otherwise for any
loss, damages, cost or expense which may arise from or be incurred or suffered on account of
anything contained in this RFP or otherwise, including the accuracy, adequacy, correctness,
completeness or reliability of the RFP and any assessment, assumption, statement or
information contained therein or deemed to form part of this RFP or arising in any way with
qualification of Bidders for participation in the Bidding Process. The Authority/PIDB also
accepts no liability of any nature whether resulting from negligence or otherwise howsoever
caused arising from reliance by any Bidder upon the statements contained in this RFP.
8. The Authority may, in its absolute discretion but without being under any obligation
to do so, through PIDB, update, amend or supplement the statement, information, assessment
or assumptions contained in this RFP.
9. The issuance of this RFP does not imply that the Authority is bound to select or to
appoint the Selected Bidder or Consultant, as the case may be, for the Project and the
Authority/PIDB reserves the right to reject all or any of the Bid(s) and cancel the process of
procurement initiated by it thereof.
10. The Bidder shall bear all costs associated with or relating to the preparation and
submission of its Proposal including but not limited to preparation, copying, postage,
delivery fees, expenses associated with any demonstrations or presentations which may be
required by the Authority/PIDB, or any other costs incurred in connection with or relating to
its Bid. All such costs and expenses will remain with the Bidder and the Authority/PIDB
shall not be liable in any manner whatsoever for the same or for any other costs or expenses
incurred by a Bidder in preparation or submission of the Bid, regardless of the conduct or
outcome of the Bidding Process.
11. This RFP outlines the Authority/PIDB’s expectations in relation to the Proposal to be
submitted by the Bidder. No legal or other obligation shall arise in Authority/PIDB’s name
unless and until the Contract Agreement identified by the Authority/PIDB has been formally
and validly executed and any conditions to the effectiveness of such Contract Agreement
have been fulfilled.

PART I: INSTRUCTIONS TO THE BIDDER (ITB)

1. INTRODUCTION
1.1 Department of Housing and Urban Development (HUD), Punjab is entrusted with the
responsibility of ensuring systematic and planned growth of urban areas providing adequate
infrastructure, amenities, and services to the citizens. The Department is mandated to frame
policies, prepare plans and schemes for the growth of the urban areas as well as creation of
investment opportunities by accelerating economic growth of cities and towns. The
Department has two wings: Directorate of Town & Country Planning and Special Urban
Development Authorities.

1.2 Directorate of Town & Country Planning, Department of Housing and Urban
Development (HUD), Punjab (the “Authority/HUD”) proposes to undertake the exercise of
GIS Based Master Plans cum Zonal Development Plans of Cluster Ludhiana (the “Project”).
The Local Planning Areas/towns of Cluster Ludhiana for which Master Plans cum Zonal
Development Plans are to be formulated are mentioned below in the Table 1. For this
purpose, the Authority has mandated Punjab Infrastructure Development (the “PIDB”) to
undertake the bidding process on its behalf for the selection of the Consultant to undertake
the said project.

1.3 The Bidder may apply for this tender with Key Personnel Team and support staff as
mentioned in Clause No. 22: Bidders Eligibility Criteria. The Key Personnel shall be
required to give an undertaking to the effect that her/his CV shall not be used by more
than one bidder in this tender and in other Master Plan formulation related tenders in
Punjab. The undertaking will be furnished by the Key Personnel in CV as per Appendix E.
HUD while technically evaluating the bids will compare the CV data submitted by all bidders
in different clusters for any repetition of any CV. HUD shall verify the following points: -
(i) Regarding the usage of CV of the concerned Key Personnel by more than one bidder.
In case, the Key Personnel indicates her/his association with a particular bidder then her/his
CV shall be replaced with different CV by the other bidders. The Key Personnel shall provide
the information within 48 hours of communication to this effect.
(ii) If the CV of Key Personnel is submitted by one bidder in multiple clusters, the bidder
shall be asked to indicate the cluster for which it prefers to utilize the particular CV. For the
other cluster, the bidder shall be requested to submit fresh CVs within 48 hours of
communication to this effect.
(iii) In case any Key Personnel does not qualify in terms of Clause No. 22.3, the bidder
shall be requested to replace the CV within 48 hours of communication to this effect.
In case the bidder/Key Personnel fails to provide the above information within the specified
time he shall be disqualified.

1.4 The Bidder applying in this tender shall not apply with the same Key Personnel
team in other Master Plan formulation related tenders in Punjab.

1.5 Separate Technical and Financial Proposals are to be submitted for this tender as
mentioned Clause No. 22: Bidder’s Eligibility Criteria.

1.6 Office should be established with in cluster by the concerned Selected Bidder and
undertaking with respect to establishing office should be submitted with Technical Proposal.
The Consultant should submit all reports to the Office of concerned Senior Town Planner (the
“STP/Planning Agency”)

1.7 Proposals should be submitted in English.

2.2 Pre-Bid Conference


The date, time and venue of the Pre-Bid Conference shall be:

be provided through Punjab e-procurement website https://eproc.punjab.gov.in) or offline at

2.3 Authorized Representative


The Bidders may, during the Bid process, visit the HUD’s Authorized Representative as
below for seeking any clarification related to site conditions other than pre-bid queries.
However, it may be noted that only those clarifications sought as per procedure laid out in
RFP shall be answered. The HUD, or any of its representatives, shall not be responsible for
any other verbal clarifications/communications.

3. DESCRIPTION OF WORK
The major components of the assignment are Formulation of GIS Based Master Plans cum
Zonal Development Plans, Drone Survey with high resolution images. The Consultant will
carry out the drone survey in all the identified LPAs and hence prepare Existing Land Use
(ELU) along with ground truthing. The Consultant will arrange the logistics for the staff of
concerned DTP Office for verification/ checking of ground truthing. For the preparation of
Existing Land Use reports, all the survey and analysis will be performed by the Consultant.
On the basis of updated ELU, proposed Land Use (PLU) will be prepared along with final
reports.

4. AIMS & OBJECTIVES


The main aim of the assignment is to prepare GIS based Master Plan cum Zonal
Development Plan of Local Planning Areas (LPAs) as mentioned in Table 1 that will form
the basis of planned development of the town. The main objective to be addressed for
achieving such aim can be assigned as creation of the following:
• Existing Land Use (ELU) Map: ELU in the form of user friendly spatial product at
the functional scale of 1:2000 having defined layers as per Design & Standards of AMRUT
Guidelines as amended from time to time.
• Urban Database Creation: Sector wise data collection and data analysis report as per
“Design & Standards” manual for AMRUT sub scheme Formulation of GIS based Master
Plan for AMRUT Cities.

• GIS based Master Plan cum Zonal Development Plan/ Proposed Land Use (PLU)
Plan and Zonal Plan.
• The use of Drone Technology for the preparation of ELU and PLU.

5. SCOPE OF WORK
The scope of the work for formulation of GIS based Master Plans cum Zonal Development Plans
of Cluster Ludhiana will constitute of 7 stages as follows:
Stage-1: Inception Report
Stage-2: Drone Survey
Stage-3: Data Collection through primary and secondary survey
Stage-4: Preparation of Existing Land Use (ELU)
Stage-5: Vision, Conceptual Plan and Strategy Formulation
Stage-6: Draft Master Plan cum Zonal Development Plans
Stage-7: Finalization of Draft Master Plan cum Zonal Development Plans

Stage 1: Inception Report


The inception report summarizes the review of documentation, and it will cover following
components:
• Methodology of performing the project
• Date and timeline of different project stages
• Permissions required
• Review Stages
• Description of drone and camera to be used

Stage 2: Drone Survey


Drone Survey will be conducted to obtain high resolution images for master planning
purposes and will incorporate following components:
• Drone surveys at appropriate altitudes with Ultra High-Definition Camera for
capturing very high-resolution images will be carried out.
• Providing Geo-referenced high-resolution imagery with Horizontal and Vertical
Accuracy of 10 cm. (As per the Government of India guidelines namely “Formulation of
GIS based Master Plans for Small and Medium Towns: Design and Standards for

Application of Drone/ UAV Technology” issued in October 2020 or any later guidelines as
amended from time to time as issued by Town & Country Planning Organization, Ministry of
Housing & Urban Affairs, Government of India.
• Providing DSM, DTM, Contours at 1 metre interval.
• Drone used for surveying should be DGCA Approved.
• Drone image should be clear and collected only during clear sky.
• The drone should have uniform flight height as far as possible.
• DGPS/ Ground Control Point should be minimum 4 per sq.km.
• The GCP’s should be placed evenly in landscape to minimize error in scale and
orientation.
• In case Department does not get approval from competent authority regarding drone
surveys any specific areas of LPAs mentioned in RFP, then Department reserve the rights to
use any other option for survey after getting prior approval of DTCP.

Stage 3: Data Collection through Primary and Secondary* Survey

For the rest of the areas the following data from comprehensive mobility plan may
be adopted and any missing vital data is to be procured by the Consultant
3 Heritage And Conservation Properties Survey (Primary and/or Secondary)
will have to be carried out by the bidder. However, the authority will facilitate the

bidder to get the relevant data, if available with other Departments like Department
of Tourism & Cultural Affairs etc.
4 Physical Infrastructure Mapping (Through Compilation of Data/ Information
from Concerned Departments) (Primary and Secondary)
5 Environmental Surveys (Primary and/or Secondary)
Air Quality Surveys
Noise Quality Surveys
Water Quality (Surface/ Ground Water)
Biodiversity/Major Green Spaces Surveys

Note:
• *Secondary Survey relates to the latest information/ report/ data available or
documented.
• The Consultant has to use the Integrated Mobile Application to be developed under
AMRUT 2.0 sub-scheme or as specified by HUD, Punjab for ground truthing, vetting and
Attribute Data collection to incorporate inputs from Drone Technology/Satellite Imagery in
accordance with the Design & Standards documents and primary data collection for Master
Plan Formulation in an integrated manner.

Stage 4: Preparation of Existing Land Use (ELU) and Revenue Plan


The Consultant will conduct drone survey and will provide an ELU & Revenue Plan and at
1:2000 scale using high resolution drone imagery. This stage represents the initiation of Master
Plan cum Zonal Development Plan preparation. The scope of work in this stage is spatial
attribute collection, ground truthing and vetting of base maps, collection of socio- economic
data and comprehensive assessment of the existing situation and identification of the general
trends of socio-economic development at the regional level. Furthermore, the stage will
concentrate on the assessment of available data and information and accuracy of this data in
terms of quantity, quality and its adequacy for the purpose of the preparation of the intended
Master Plan cum Zonal Development Plan Therefore, the Consultant shall collect all available
data including cadastral maps duly certified by Tehsildar and conduct all necessary surveys and
researches as described in this task.
• Digitization of land use through drone survey imagery and ground verification.

• Digitization of cadastral maps duly certified by Tehsildar.


• Superimposition of Cadastral layer (showing all Khasra no. & Khasra lines) on Existing Land
Use Plan.
• Key Projects under implementation or committed.
• Infrastructure and Utilities mapping, wherever available, from concerned Government
Departments.
• Complete ELU & Revenue Plan including all spatial data to be converted to
shapefiles/ geo-database format and in AUTOCAD format also.
The ELU Plan will cover following components:
• Residential houses, residential colonies, plot boundaries etc.
• Commercial activities including retail and wholesale business, warehousing and
godowns, mandis, rural markets, etc.
• Institutional including, schools, colleges, training institute, religious, hospitals,
government offices etc.
• Industries–existing and potential, their nature, employment etc. Demarcation of
Focal points, industrial estates etc.
• Storage and Warehousing
• Utility and services like electricity lines equal to and greater than 66 KV (eg.220 KV,
440 KV), gas pipeline, water supply lines, underground tanks, mobile towers, Over Head
Reservoirs (OHR), and sewerage lines, location of Sewage Treatment Plant & Water
Treatment Plant, etc.
• Recreational facilities including parks, open spaces, mela grounds and playgrounds,
religious building (Gurudwara, Temple etc.), semi- public recreation, etc.
• Circulation network facilities including existing roads, all Revenue Rastas,
airport/railway stations and yards, road transport terminals, stands for buses and trucks,
parking, etc. The proposals related to future roads to be developed including Byepass,
arterial, sub-arterial roads etc. with details upto 60 feet wide roads, Public Transport etc.
• Agricultural use including dairies, orchards, nurseries, reserved forests, etc.
• Special Areas/ features like Cantonment, Heritage, Water Bodies, Government
Land, Drains, Canals etc.
• The Plot Boundary level, covered area, number of storeys with use, Class of
Buildings, road centre line, road edges, open plots etc. details will also be covered in ELU.

The Consultant should submit Reports in Hard Binding (No spiral bind). The Map should be
printed in A0 format and A3 in reports. All the reports should be submitted in colored format.
The soft copies should be submitted in 5 pendrives as well as 5 DVDs including word copies
of report, shape files including .mxd files. The Consultant should submit Final Copies of
Master Plan in Hard Binding (No spiral bind) and also 15 copies each in English and Punjabi
format. All the reports should be submitted in colored format. The soft copies of Final
Master Plan should be submitted in 10 pendrives as well as 10 DVDs including word copies
of report, shape files including .mxd files.
The Consultant will have to verify the work being carried out including site visits to HUD at
his own cost. The Consultant needs to verify all the features on ground with the HUD as per
requirement.

Data Analysis
Based on the above, the Consultant shall conduct the assessment of the existing situation and
identify issues, opportunities and challenges. The task shall cover with SWOT analysis (but
not limited to) the following:
• Review of all sectoral policies, strategies and plans
• Demographic characteristics
• Real Estate Market Survey and Assessment
• Regional Economic base assessment - Inventory of existing, on-going and
proposed landuse, industry and infrastructure development initiatives in the vicinity of the
proposed project area
• Study of Economic and Investments Scenario in Punjab including the trends in
economy, investment attractiveness, comparison
• Transportation sector assessment
• Infrastructure and utilities
• Slums and urban poverty
• Heritage and conservation
• Water resources and water management
• Geo-morphological studies (based on available studies and investigation)
• Water bodies and conservation
• Environmental Mapping and Strategic Environment Assessment

• Spatial planning efforts and landuse preferably landuse modeling

Stage 5: Vision and Strategy Planning


• Based on the detailed analysis and assessment of the development status and current
trends in the Project Area carried out during Stage-1, the Consultant shall develop alternative
strategies to achieve the goals and objective of the sustainable development in the Project
Area in the light of State level policies.
• In this stage, the Consultant shall carry out and identify opportunities, strengths,
weaknesses and threats of Local Planning Area.

Spatial Strategy and Preliminary Plans


Upon approval of the preferred strategy, the Consultant shall formulate the final spatial
strategy and the resultant preliminary land use plan. The preliminary land use plan shall be
prepared to the detailed level by incorporating all comments and feedback from the
Authority, however, in accordance with the provisions Punjab Regional and Town Planning
and Development Act, 1995 and rules framed under the provisions of the Act. The scale of
various maps and Land use maps shall be 1:2000. The report should contain all the future
projects identified in the notified Local Planning Area (LPA).

Stakeholder Consultations
The Master Plan shall adopt participatory approach by conducting interactive sessions.
Therefore, Consultant shall devise effective strategy to conduct consultation with
stakeholders including civil society of both urban and rural areas, agriculture community,
industrialists, traders, elected representatives, academicians, government and non-
governmental organizations. The Consultant shall assist concerned DTP office in conducting
the Think Tank meeting regarding all plans and proposals at respective Districts as per
Government of Punjab instructions issued from time to time.

Stage 6: Draft Master Plan cum Zonal Development Plan for next 20 Years
The Consultant shall prepare Draft Plans and submit to DTCP for notification as per
provision of Punjab Regional and Town Planning and Development Act, 1995. The
Consultant shall analyze all the comments and suggestions and recommend incorporating the
suitable comments and suggestions received and that may be incorporated in final Master

Plan.

Stage-7: Finalization of Draft Master Plan cum Zonal Development Plans


The Consultant shall facilitate DTCP/Department of HUD in notification of Final Master
Plan cum Zonal Development Plans as per provision of Punjab Regional and Town Planning
and Development Act, 1995.
• The representative of the Consultant may be asked by the HUD to be present in the
office as and when required.
• The relevant provisions for formulation and approval of Master Plan cum Zonal
Development Plan are as per the Punjab Regional and Town Planning and Development Act
1995.
• The Master Plan cum Zonal Development Plan report will include, but not be limited
to the following aspects mentioned in below Table 2:

Note:
• All the ELU & attributes should be based on AMRUT Guidelines as amended from time
to time.
• Drainage Plan regarding storm water management shall be finalized in consultation
with the concerned department/authority facilitated by the concerned District Town
Planner office.
• Submissions should include MS word and Excel format files also.

6. DELIVERABLES, TIMELINES AND PAYMENT SCHEDULE

• The period between submission of stage report, its processing and editing of report
as per queries raised by Competent Authority shall not be included in the period of
assignment.
• The period of inviting public suggestions, stakeholder’s consultation will not be
included in the period of assignment.
• The HUD/department will assist the Consultant in obtaining required permissions for
carrying-out surveys. The delay in obtaining permissions will not be counted in timeline of
project.
• All the work mentioned in above stage shall be verified by the concerned STP after
getting written confirmation from concerned DTP and payment for each stage shall be
subject to the approval from the Administrative Department.
• The payment shall become due on approval of the stage reports and on raising of
bills/invoice by the Consultant after the approval of the stage report. The processing time of
the payment will be 30 days for all such payments.

7. MEETINGS AND CONSULTATIONS


The Consultant shall assist DTP Office in organizing Think Tank meeting, workshops and
seminars involving concerned stakeholders/ authorities and other concerned officials for their
feedback and views during the preparation of Master Plan cum Zonal Plan and shall
document all the proceedings. The cost of such meetings will be borne by the Consultant.
The workshops will be organized at project initiation before finalization of draft proposals
and submission of draft proposals and as per the HUD need as well. All the feedback and
suggestions are to be incorporated in the draft Master Plan cum Zonal Plan proposal. In
addition to the above the Consultant may be asked to visit and make presentation before the
concerned departments and officials for their opinions and views.

8. SUPPORT BY BIDDER AFTER APPROVAL OF FINAL MASTER PLAN CUM


ZONAL DEVELOPMENT PLAN
8.1 After approval of Final Master Plan cum Zonal Development Plan & Revenue Plan,
the Bidder will provide support for 6 months from the date of approval of Final Master Plan
cum Zonal Development Plan by Competent Authority STP as mentioned in Table 3 of
Clause 6. During this period, Consultant can be asked to update the data submitted if required

and also to provide training or handholding to officials as and when required. During the plan
updation process, the Consultant shall also need to conduct workshops, discussions and make
presentations to various agencies/departments, incorporating modifications if any, as and
when required by the HUD for the any alteration/ updation of approved Master Plan.

9. PROCEDURE FOR MONITORING & REVIEW OF THE ASSIGNMENT


9.1 A Consultancy Evaluation & Review Committee (CERC) of the officials of the HUD
shall be constituted by the Department for monitoring and review of the assignment/Project.
The Bidder shall submit each of the above-mentioned deliverables as per the schedule
defined. This will be followed by a presentation to the CERC within a week, wherein, the
CERC members shall give their comments and suggestions. Subsequently, the Bidder will
incorporate also incorporate comments of CERC and all such comments and suggestions in
their next stage report.

10. GENERAL
i. The details about the Methodology and Data Outputs in respect of consultancy shall
be worked out in the bid offer by the bidder.
ii. All data collected by the Consultant shall be made available to the HUD in proper
organized format and these data shall remain the property of the HUD.
iii. The data collected and research results of the Consultancy shall not be divulged to
other agencies without the explicit approval of the HUD.
iv. All reports shall be submitted in hard and soft copy. Reports shall be in Microsoft
Word Format, maps and drawings shall be in compatible format of GIS. Monthly Progress
Report (MPR) will be submitted to the concerned STP.
v. The firm is required to establish Project Office at Ludhiana. For such office, the Key
Personnel team along with the support staff will always be present for the proper functioning
and coordination of the project.
vi. The Consultant shall deploy full time staff of Key Personnel along with their support
staff who will be available for entire duration of project and full time coordination with the
HUD.

11. METHOD OF SELECTION


11.1 Selection will be through Quality Cost Based Selection (QCBS) method done through

02 (two) stage process. In Stage 1, Technical Proposal submitted by the bidder in the
prescribed format will be opened and evaluated. Only those bidders who meet the minimum
eligibility criteria and get technical score of 65% and above, shall be eligible for opening of
their Financial Proposal. In Stage 2, Financial Bids of the technically qualified bidders shall
be opened and evaluated, and financial score shall be given.

12. METHOD OF EVALUATION


12.1 Good Governance requires the governments to be responsive to the present and future
needs of the society with an objective to fulfill the aspirations of the people it governs. The
process of governance throws numerous challenges which are expected to be resolved not
only expeditiously but also to the satisfaction of the stakeholders. The resolutions, at time,
may require the assistance of the Consultant.

12.2 As part of compliance to the methods and procedure of Public Procurement as per
Provisions of the Punjab Public Procurement Transparency Act 2019 & Punjab Transparency
in Public Procurement Rules 2022 and subsequent Amendments/ Additions therein, PIDB on
behalf of the Directorate of Town and Country Planning, Punjab intends to execute the said
Public Procurement through this RFP Document on the lines of Quality and Cost Based
Selection (QCBS).

12.3 PIDB on behalf of Directorate of Town and Country Planning, Punjab emphasizes on
Fair, Transparent Public Procurement of the said Consulting Services and with a view to
encourage Competitive Bidding amongst the Prospective Bidders and commits itself towards
Publication of final result on the website.

12.4 Prospective Bidders are advised to carefully refer and interpret the Evaluation
Methodology designed by PIDB on behalf of Directorate of Town and Country Planning,
Punjab for the said Public Procurement of Consulting Services via QCBS Mode.

12.5 Further, the Bid/Proposal (out of all valid and responsive Proposals) attaining the
Highest Combined Score, will be awarded to its Bidder.

12.6 Bidders should submit detailed response along with documentary proof for all of the
sought eligibility criteria. The eligibility will be evaluated based on the Proposal and the
supporting documents submitted. Bids not meeting the above eligibility criteria will be
rejected.

12.7 Bidders have to submit relevant documentary evidence for all parameters mentioned
in the RFP.

12.8 Providing any wrong information by the bidder will result in disqualification of the
bidder, during Evaluation, or even after Award of Consultancy Assignment, vide immediate
termination of the Contract signed for Consultancy Services being availed by the Directorate
of Town and Country Planning, Punjab. Further the Directorate of Town and Country
Planning, Punjab would be at discretion to initiate procedure of recovery of all Consultancy
Fee paid to the Successful Bidder till the date of such disqualification.

12.9 Directorate of Town and Country Planning, Punjab/ Evaluation Committee may cross
check Information provided by Bidders against any/ all parameters of evaluation by any
means of verification.

12.10 Procedure of Evaluation


Evaluation will be done on basis of 2-stage process. In Stage 1, Technical Proposal submitted
by the bidder in the prescribed format will be opened and evaluated. Only those bidders who
meet the minimum eligibility criteria and get technical score of 65% and above, shall be
eligible for opening of their Financial Proposal. In Stage 2, Financial Proposals of the
technically qualified bidders shall be opened and evaluated, and financial score shall be
given. The selection will be based on QCBS (Quality Cost Based Selection) in the ratio of
80:20 where 80% weightage is for technical score and 20% weightage are for financial score
of the bidder. The Bidder with the lowest Financial Proposal will be given highest financial
score. Interested bidders are requested to submit the following documents:

Technical Evaluation shall be done on the basis of minimum eligibility criteria mentioned in
this RFP document. The Bidders who will qualify all the minimum eligibility criteria and
score 65% or above in Technical Evaluation shall be considered to be eligible for Financial
Evaluation. Each Technical Proposal shall be assigned a Technical Marks/ Score out of a
maximum of 100 Marks. The Technical Proposal shall be evaluated by Evaluation
Committee (EC) formulated by the Department.

12.12 Financial Evaluation


The Financial proposals shall be evaluated by the on the basis of Consolidated Cost Summary
(Exclusive GST) offered by the bidder.

12.13 Composite Marks of the Bidder

• The preferred Bidder shall be the one securing the highest Composite Marks and
work shall be offered to bidder securing highest composite score.
• In the event of two or more Bidders securing the same composite marks, then HUD
reserves the right to declare the bidder whose technical marks is highest among the bidders
who have secured the same composite marks as preferred bidder.
• For the purpose of evaluation, there should be a minimum of two bidders submitting
the proposal for the bid. In case the number of bidders qualifying in the technical evaluation
is less than two, then the financial bids of the technically qualified bidders shall not be

opened and fresh or second bid shall be invited.

13. EARNEST MONEY DEPOSIT (EMD)/BID SECURITY


a) An Earnest Money Deposit (EMD) of Rs. 35,00,000/- (Rs. Thirty Five Lakhs Only)
shall be submitted through online payment at https://eproc.punjab.gov.in website.
b) PIDB shall reject any bid not accompanied by appropriate Bid Security considered the
bid as non-responsive.
c) The Bid Security may be forfeited:
• If a bidder withdraws its bid during the period of bid validity
• If the successful bidder fails to:
➢ Sign the contract within the required time frame.
➢ Furnish a performance security.

14. REFUND/ ADJUSTMENT OF EARNEST MONEY


• Earnest money of the successful bidder shall be refunded within 30 days once the
successful bidder has signed the Contract and furnished the required performance security.
• Earnest money of the unsuccessful bidder(s) shall be refunded within 30 days upon
the completion of financial evaluation.
• No interest shall be paid on Earnest Money for the period it remained with the PIDB.

15. PREPARATION OF PROPOSAL


Interested Bidders shall prepare their Technical Proposal & Financial Proposal as per
prescribed eligibility criteria provided in this document.

16. TECHNICAL PROPOSAL


The Technical Proposal should be submitted in Standard Forms provided in this RFP
document only, failing which the proposal may summarily be rejected.
Applicants shall submit the digitally signed Technical Proposal online submit at
https://eproc.punjab.gov.in website on and before the date and time.
In preparing the Technical Proposal, bidders are expected to examine the documents
comprising this RFP in detail. Material deficiencies in providing the information requested
may result in rejection of a Proposal. The Technical Proposal shall not include any financial

information.

17. FINANCIAL PROPOSAL


The Financial Proposal should be submitted exclusive of GST.
The Financial Proposal shall be submitted online only as per BOQ format uploaded in the
https://eproc.punjab.gov.in website.
While submitting the Financial Proposal, the Applicant shall ensure the following:
a) All the costs associated with the assignment shall be included in the Financial
Proposal. These shall normally cover overall cost for supply and services to Directorate of
Town and Country Planning, Punjab as per scope given in this RFP.
b) The total amount indicated in the Financial Proposal shall be without any condition
attached or subject to any assumption and shall be final and binding. In case any assumption
or condition is indicated in the Financial Proposal, it shall be considered non-responsive and
liable to be rejected.
c) Costs shall be expressed in INR only.

18. SUBMISSION, RECEIPT AND OPENING OF PROPOSALS


• Interested bidders are requested to submit Prequalification, Technical Proposal and
Financial Proposal online at https://eproc.punjab.gov.in website before the date and time
mentioned in the RFP. The evaluation shall be done on the basis of submitted documents
only.
• The tender should be submitted on e-tendering/ e-procurement through website
https://eproc.punjab.gov.in only and no other form of tender submission will be valid for
evaluation.
• Request from the bidder in respect of additions, alterations, modification, correction,
etc.of both terms and conditions or rates after opening of the tender shall not be considered.
• An online payment of a non-refundable tender document fee of Rs. 10,000/- (Rupees
Ten Thousand Only) with additional bid processing fee as applicable as per the Punjab e-
procurement portal has to be made through https://eproc.punjab.gov.in website. Any bid not
accompanied by appropriate processing/tender document fee, PIDB shall consider that bid as
non-responsive and will reject it without opening.
• Proposals must remain valid 180 days after the submission date until validity

extended by the Bidder. During this period, the Bidder is expected to keep available the Key
Personnel staff proposed for the assignment. The HUD will make the best effort to complete
the tendering process within this period. If the HUD wishes to extend the validity period of
the proposals, the Bidders may do so and those who do not agree have the right not to extend
the validity of their proposals.

19. PROPOSAL EVALUATION


19.1 General
From the time the bids are opened to the time the contract is awarded, if any Bidder wishes to
contact the Authority on any matter related to its proposal, it should do so in writing at the
address indicated. Any effort by the firm to influence the Authority in the Authority’s
proposal evaluation, proposal comparison or contract award decisions may result in the
rejection of the Bidder’s proposal.

19.2 Evaluation of Technical Proposals


The authorized Committee/ Representatives of Authority as a whole shall evaluate the
Technical Proposals on the basis of their registration, audited turnover, net worth, experience,
projects executed, project experience etc. as specified in the RFP and then technical scoring
shall be done of those fulfilling the minimum eligibility criteria.

19.3 Public Opening and Evaluation of Financial Proposals


• After the evaluation of Technical Proposal is completed, only those Bidders who have
scored 65% and above shall be communicated about the date and time for opening of
financial proposals.
• The Financial Proposals shall be opened by the Evaluation Committee in the presence
of the Bidders and/or their representatives who choose to attend. The name of the Bidder and
the proposed amount shall be read aloud and recorded when the Financial Proposals are
opened. The final evaluation will be on the basis of Composite Marks.
• The bidders will be arranged as H1, H2, H3 and so on for purpose of evaluation. The
Bidder who has got the highest Composite Score (H1) shall be invited for discussions/
clarifications for the purpose of signing a Contract Agreement which shall include a
discussion of the Technical Proposal, the proposed methodology (work plan), staffing and
any suggestions made by the firm to improve the Scope of Work. The Authority and

Consultant shall then work out final Scope of Work, staffing, staff-months, logistics, and
reporting which will be incorporated in the Contract.

20. AWARD OF CONTRACT


• The contract shall be awarded after the tendering process is complete. The Authority
shall promptly notify other consultants that they were unsuccessful.
• On award of the consultancy, the Consultant shall be required to enter into an
Agreement with Authority for the successful completion of the Consultancy as per the
Contract.
• The Award shall be rejected if it is determined that the Consultant recommended for
award has directly or through agent, engage in corrupt, fraudulent, collusive or coercive
practices in competing for the contract in question.

21. DEFECT LIABILITY PERIOD


• The Consultant will provide assistance to agency for a period of 6 months from the
date of approval of Final Master Plan cum Zonal Development Plan by Competent Authority
STP as mentioned in Table 3 of Clause 6. During this period, Consultant can be asked to
update the data submitted if required and also to provide training or handholding to officials
as and when required. The Consultant also needs to make presentations and present to other
departments if needed.
• The HUD can even ask the representative of Consultant to be present in the office as
and when required.

22. BIDDER’S ELIGIBILITY CRITERIA

between the successful bidder and the sub-contractor conducting the drone survey. In such
case, if any external agency for conducting Drone Survey is engaged by the successful
bidder, it shall incorporate the above in the sub-contracting document/agreement with the
sub- contractor.

22.2 Scoring of Technical Proposals


The Evaluation Committee as a whole, evaluates the proposals on the basis of the
responsiveness to the minimum eligibility criteria specified in the RFP. Each responsive
proposal shall be given a technical score out of total 100 marks.

Development (HUD), Punjab (the “Authority”) proposes to undertake the exercise of GIS
Based Master Plans cum Zonal Development Plans of Cluster Ludhiana (the “Project”). For
this purpose, the Authority has mandated Punjab Infrastructure Development (the “PIDB”) to
undertake the bidding process on its behalf for the selection of the Consultant to undertake
the said project.

Definitions and Interpretations


i. In this Agreement, the capitalized terms shall, unless the context otherwise require,
have the meaning ascribed thereof under the RFP.

ii. Consortium
a. The Parties do here by irrevocably constitute a consortium (“the Consortium”) for
the purposes of jointly participating in the selection process for the Consultancy.
b. The Parties hereby undertake to participate in the Bidding Process only this
Consortium and not individually and/ or through any other consortium Constituted for this
Consultancy, either directly or indirectly or through any of their Affiliates.

iii. Covenants
The Parties hereby undertaken that in the event the Consortium is declared the Selected
Bidder and awarded the Consultancy, the Parties shall enter into contract for consultancy
services (“Contract”) with the Authority and for performing all obligations as the Consultant
in terms of the Contract for the Consultancy.

iv. Role of the Parties


The Parties hereby undertake to perform the roles and responsibilities as described below: -
a. The First Party [Company Name] shall be the Members in Charge/ Lead Member of
the Consortium until the Effective Date under the Contract;
b. The Second Party [Company Name] shall be the consortium/ associate partner and
shall have the power of attorney from all Parties for conducting behalf of the Consortium

2. Each partner is jointly and severally liable in respect of the Consultant’s obligations.

vi. Member in Charge or Lead Member


Without prejudice to the joint and several liabilities of all the Parties, each Party agrees that it
shall exercise all rights and remedies under the Contract through the Member in Charge/Lead
Member and the Authority shall be entitled to deal with such Member in Charge as the
representative of all Members. Each Party agrees and acknowledges that:
a. [Representative of Company] will be official signatory on behalf of the consortium
and act as manager of the consortium and will be authorised to act for the consortium in
terms of committing it to any obligations and liabilities and to receive and act upon
instructions from the HUD and to make and receive payments;
b. Any decision (including without limitation, any waiver or consent), action, omission,
communication or notice of the Member in Charge on any matters related to the Contract
shall be deemed to binding on it.
c. Any notice, communication, information or documents to be provided to the
Consultant shall be delivered to the authorized representative of the Consultant (as designated
pursuant to the Contract) and any such notice, communication, information of documents
shall be deemed to have been delivered to all the Parties.)

vii. Representation of the Parties


Each party represents to the other Parties as of the date of this Agreement that:
a. Such Party is duly organizing, validly existing incorporation and has all requisite
power and authority to enter into this agreement;
b. The execution, delivery and performance by such Party of this Agreement has been
authorized by all necessary and appropriated corporate of governmental action and a copy of
the extract of the charter document and board resolution/ power of attorney in favor of the
person executing this Agreement on behalf of the party is annexed to this Agreement, and
will not, to the best of its knowledge:
i. Require any consent or approval not already obtained;
ii. Violate any Application Law presently in effect and having applicability to it;
iii. Violate the memorandum and articles of association, bye-laws or other

applicable organizational document thereof;

which such Party or any of its properties or assets are bound or that is otherwise
applicable to such Party; or
v. Create or impose any lines, mortgages, pledges, claims, security interests,
charges or Encumbrances or obligation to create line, charge, pledge, security interest,
encumbrances or mortgage in or on the property of such Party, except for
encumbrances that would not, individually or in the aggregate, have a material adverse
effect on the financial condition or prospects or business of such Party so as to prevent
such Party from fulfilling its obligations under this Agreement.
c. This Agreement is the legal and binding obligation of such Party, enforceable in
accordance with its term against it; and
d. There is no litigation pending or, to the best of such Party’s knowledge, threatened to
which it or any of its affiliates is a Party that presently affects, or which would have a
material adverse effect on the financial condition or prospects or business of such Party in the
fulfillment of its obligation under this agreement.

viii. Authorized Representation


The parties agree that, who is employed with consortium partner, or his/her nominee shall be
the authorized representative of the consortium, to do on behalf of the Consortium, all such
acts, deeds and things as are necessary or required in connection with or incidental to
submission of the Consortium’s proposal for an the Consultancy including but not limited to
signing and submission of all application, proposal and other document, participating in pre-
bid and other conferences and providing information/ responses to the authority, representing
the consortium in the matters before the authority, signing and execution of all contracts and
undertakings consequent to acceptance of the consortium’s proposal and generally dealing
with the Authority in all matters in connection with or relating or arising out of the
Consultancy.

ix. Termination
This Agreement shall be effective from the date hereby and shall continue in full force and

x. Miscellaneous
a. This Joint Bidding Agreement shall be governed by laws of India.
b. The Parties acknowledge and accept that this Agreement shall not be amended by the
Parties without the prior written consent of the Authority.

A. WHEREAS the HUD proposes to undertake the exercise of Formulation of GIS


Based Master Plan cum Zonal Development Plan of Cluster Ludhiana for which the
Consultant is required to be engaged having requisite an experience and expertise.

B. AND WHEREAS with an objective to seek above, HUD through Punjab


Infrastructure Development Board (“PIDB”) undertook the process of selection of a suitable
Consultant through competitive bidding, after issuing a Request for Proposal (the “RFP”)
dated inviting Bids from prospective Bidders, containing interalia the minimum
qualification for a Bidder and the technical parameters as per AMRUT Guidelines including
the terms and conditions for scrutiny of the documents submitted to it. Upon detailed
evaluation of the submitted Bids, the PIDB accepted the Financial Proposal of the
Selected Bidder issued a Letter of Award (“LoA”) dated _________ to the Selected
Bidder requiring interalia the execution of this Agreement within 30 (thirty) days of issuance
thereof.

C. AND WHEREAS the Selected Bidder acknowledges and confirms that it has
undertaken due diligence and audit of all aspects of the Scope of Work including technical,
financial, and legal due diligence and based on its independent satisfaction hereby accepts the
Award of Work granted and agrees and undertakes to provide the requisite consultancy as per
the terms of RFP and this Agreement.

NOW THEREFORE the parties hereto hereby agree as follows:

hereto shall be deemed to form an integral part of this Contract:

II. GENERAL CONDITIONS OF CONTRACT

1. GENERAL PROVISIONS
1.1 Definitions
Unless the context otherwise requires, the following terms whenever used in this Contract
have the following meanings:
(a) "Applicable Law" means the laws and any other instruments having the force of law
in India;
(b) “Applicable Permits” shall mean all clearances, permits, authorisations, consents, and
approvals required to be obtained or maintained by the Consultant under Applicable Law, in
connection with the Services during the subsistence of this Contract;
(c) "Contract" means the Contract signed by the Parties, to which these General
Conditions of Contract (GCC) are attached, together with all the documents listed in such
signed Contract;
(d) “Contract Price” means the price to be paid for the performance of the Services, in
accordance with Clause 6;
(e) “Effective Date” means the date on which this Contract comes into force and effect
pursuant to Clause GCC 2.1;
(f) "Member", in case the Consultant consist of a JV/Consortium of more than one entity,
means any of these entities, and "Members" means all of these entities; “Member in Charge”
means the entity specified in the SCC to act on their behalf in exercising all the Consultant’s
rights and obligations towards the Authority under this Contract;
(g) "Party" means the Authority or the Consultant, as the case may be, and Parties means
both of them;
(h) "Personnel" means persons hired by the Consultant or by any Sub-consultant as
employees and assigned to the performance of the Services or any part thereof;
(i) "SCC" means the Special Conditions of Contract by which these General Conditions
of Contract may be amended or supplemented;
(j) "Services" means the work to be performed by the Consultant pursuant to this
Contract as described in Appendix A; and
(k) "Sub-consultant" means any entity to which the Consultant subcontracts any part
of the Services in accordance with the provisions of Clauses 3.5 and 4.

1.2 Interpretation
In this Agreement, unless the context otherwise requires,
(a) references to any legislation or any provision thereof shall include amendment or re-
enactment or consolidation of such legislation or any provision thereof so far as such
amendment or re-enactment or consolidation applies or is capable of applying to any
transaction entered into hereunder;
(b) references to laws of India or Indian law or regulation having the force of law shall
include the laws, acts, ordinances, rules, regulations, bye laws or notifications which have the
force of law in the territory of India and as from time to time may be amended, modified,
supplemented, extended or re-enacted;
(c) references to a “person” and words denoting a natural person shall be construed as a
reference to any individual, firm, company, corporation, society, trust, government, state or
agency of a state or any association or partnership (whether or not having separate legal
personality) of two or more of the above and shall include successors and assigns;
(d) the table of contents, headings or sub-headings in this Agreement are for convenience
of reference only and shall not be used in, and shall not affect, the construction or
interpretation of this Agreement;
(e) the words “include” and “including” are to be construed without limitation and shall
be deemed to be followed by “without limitation” or “but not limited to” whether or not they
are followed by such phrases;
(f) any reference to any period of time shall mean a reference to that according to Indian
Standard Time;
(g) any reference to day shall mean a reference to a calendar day;
(h) reference to a “business day” shall be construed as reference to a day (other than a
Sunday or a statutory holiday as declared by the Government of Punjab, (in which the project
is located)) on which banks in the State of Punjab are generally open for business;
(i) any reference to month shall mean a reference to a calendar month as per the
Gregorian calendar;
(j) the words importing singular shall include plural and vice versa;
(k) references to any gender shall include the other and the neutral gender;
(l) save and except as otherwise provided in this Agreement, any reference, at any time,
to any agreement, deed, instrument or document of any description shall be construed as
reference to that agreement, deed, instrument or other document as amended, varied,

supplemented, modified or suspended at the time of such reference; provided that this Sub-
Article (s) shall not operate so as to increase liabilities or obligations of the Authority
hereunder or pursuant hereto in any manner whatsoever;
(m) any agreement, consent, approval, authorization, notice, communication, information
or report required under or pursuant to this Agreement from or by any Party shall be valid
and effective only if it is in writing under the hand of a duly authorized representative of such
Party, as the case may be, in this behalf and not otherwise;
(n) the Recitals and Appendices to this Agreement and the Request for Bids (“RFP”)
forms an integral part of this Agreement and will be in full force and effect as though they
were expressly set out in the body of this Agreement;
(o) references to Recitals, Articles, Clauses, Sub-clauses, Provisos or Appendices in this
Agreement shall, except where the context otherwise requires, mean references to Recitals,
Articles, Clauses, Sub-clauses, Provisos and Appendices of or to this Agreement; reference to
an Annex shall, subject to anything to the contrary specified therein, be construed as a
reference to an Annex to the Appendix in which such reference occurs; and reference to a
Paragraph shall, subject to anything to the contrary specified therein, be construed as a
reference to a Paragraph of the Appendix or Annex, as the case may be, in which such
reference appears.

1.3 Priority of Agreements and Articles


This Agreement, and all other agreements and documents forming part of or referred to in
this Agreement are to be taken as mutually explanatory and, unless otherwise expressly
provided elsewhere in this Agreement, the priority of this Agreement and other documents
and agreements forming part hereof or referred to herein shall, in the event of any conflict
between them, be in the following order:
(a) this Agreement; and
(b) all other agreements and documents forming part hereof or referred to herein;
(c) the LoA issued to the Selected Bidder;
(d) written addenda to the Bid;
(e) bid document or RFP; and
(f) the Bid or Proposal of the Selected Bidder.

1.4 Subject to provisions of this Agreement, in case of ambiguities or discrepancies


within this Agreement, the following shall apply:
(a) between two or more Articles or Clauses of this Agreement, the provisions of specific
Articles or Clauses relevant to the issue under consideration shall prevail over those in other
Articles or Clauses;
(b) between the Articles or Clauses of this Agreement and the Appendices, the Articles or
Clauses shall prevail.

1.5 Law Governing the Contract


This Contract, its meaning and interpretation, and the relation between the Parties shall be
governed by the Applicable Law of contract, supplemented by general conditions and special
conditions annexed to this contract.

1.6 Language
This Contract has been executed in English, which shall be the binding and controlling
language for all matters relating to the meaning or interpretation of this Contract.

1.7 Notices
Any notice, request or consent made pursuant to this Contract shall be in writing and shall be
deemed to have been made when delivered in person to an authorized representative of the
Party to whom the communication is addressed, or when sent by registered mail to such Party
at the address specified in the SCC.

1.8 Location
The Services shall be performed at such locations as are specified in Appendix A and, where
the location of a particular task is not so specified, at such locations, whether in the
Government’s country or elsewhere, as the Authority may approve.

1.9 Authorized Representatives


Any action required or permitted to be taken, and any document required or permitted to be
executed, under this Contract by the Authority or the Consultant may be taken or executed by
the officials specified in the SCC.

1.10 Taxes and Duties


Unless otherwise specified in the SCC, the Consultant, Sub-consultants and their Personnel
shall pay such taxes, duties, fees and other impositions as may be levied under the Applicable
Law, the amount of which is deemed to have been included in the Contract Price.

1.11 Performance Security


a) The Consultant shall, for the performance of its obligations during the Agreement
Period hereunder, provide to the HUD on the date of signing of this Agreement, an
irrevocable and unconditional guarantee from a Bank for a sum equivalent to 10% of the
Contract Price as per the Appendix F of the Agreement. The Performance Security shall
remain valid and in force till 06 months after the expiry of the Agreement.
b) In case of delay in the deployment of Personnel for services to the HUD by the
Consultant within the time fixed or in the event of repudiation of the contract, the HUD
reserves the right to encash and appropriate from the Performance Security.
c) In case the Consultant fails to deliver a milestone within the scheduled timelines as
mentioned in RFP, the HUD may recover from the bidder the liquidated damages to a sum
equivalent to 0.5% (half percent) of total Contract Price, which the Consultant has failed to
deliver within the period fixed for delivery for each week or part thereof during which
delivery is in arrears subject to an overall ceiling of 10% of the total Contract Price which
shall be encash and appropriate from the Performance Security.
d) Upon any encashment and appropriation from the Performance Security, the
Consultant shall, within 15 (fifteen) days thereof, replenish, in case of partial appropriation,
to the original level of the Performance Security, and in case of appropriation of the entire
Performance Security provide a fresh Performance Security failing which the Authority may
at its discretion, terminate this Agreement.

2. COMMENCEMENT, COMPLETION, MODIFICATION AND


TERMINATION OF CONTRACT
2.1 Effectiveness of Contract
This Contract shall come into effect on the date the Contract is signed by both Parties.

The Consultant shall begin carrying out the Services after the date the Contract becomes
effective.

2.3 Expiration of Contract


Unless terminated earlier pursuant to Clause 2.6, this Contract shall terminate with
completion of the consultancy in terms of conditions of this agreement to the full satisfaction
of the Authority.

2.4 Modification
Modification of the terms and conditions of this Contract, including any modification of the
scope of the Services or of the Contract Price, may only be made by written agreement
between the Parties.

2.5 Force Majeure


2.5.1 Definition
For the purpose of this contract "Force Majeure" means any event or circumstance or
combination of events or circumstances beyond the reasonable control of either Party
including:
i) Acts of God and nature including
• typhoon, flood, earthquake, fire, drought, landslide, unusually severe weather
condition or other natural disaster; and
• plague or epidemic or quarantine conditions arising therefrom;
ii) Air crash, shipwreck, train wrecks or failures or delays of transportation;
iii) Strikes, lockouts, work-to-rule actions, go-slows or similar labour difficulties other
than Governmental Force Majeure that in any way have an effect on the project;
iv) War, hostilities (whether war be declared or not), invasion, and act of foreign
enemies.

2.5.2 No Breach of Contract


The failure of a Party to fulfill any of its obligations under the contract shall not be
considered to be a breach of, or default under this Contract insofar as such inability arises
from an event of Force Majeure, provided that the Party affected by such an event (a) has
taken all reasonable precautions, due care and reasonable alternative measures in order to

carry out the terms and conditions of this Contract, and (b) has informed the other Party as
soon as possible about the occurrence of such an event.

2.5.3 Extension of Time


Any period within which a Party shall, pursuant to this Contract, complete any action or task,
shall be extended for a period equal to the time during which such Party was unable to
perform such action as a result of Force Majeure.

2.5.4 Payments
During the period of their inability to perform the Services as a result of an event of Force
Majeure, no additional payment will be given however a time extension in the project may be
given.

2.6 Termination
2.6.1 By the Authority
The Authority may terminate this Contract, by not less than thirty (30) days’ written notice of
termination to the Consultant, to be given after the occurrence of any of the events specified
in paragraphs (a) through (d) of this Clause 2.6.1 and sixty (60) days in the case of the event
referred to in (e):
(a) if the Consultant do not perform their obligations under this Contract, within thirty
(30) days of receipt after being notified;
(b) if the Consultant become insolvent or bankrupt;
(c) if, as the result of Force Majeure, the Consultant are unable to perform a material
portion of the Services for a period of not less than sixty (60) days; or
(d) if the Consultant, in the judgment of the Authority has engaged in corrupt or
fraudulent practices in competing for or in executing the Contract.
For the purpose of this clause:
“corrupt practice” means the offering, giving, receiving or soliciting of anything of value to
influence the action of a public official in the selection process or in contract execution.
“fraudulent practice” means a misrepresentation of facts in order to influence a selection
process or the execution of a contract.
(e) if the Authority, in its sole discretion and for any reason whatsoever, decides to
terminate this Contract.

2.6.2 By the Consultant


The Consultant may terminate this Contract, by not less than thirty (30) days' written notice
to the Authority, such notice to be given after the occurrence of any of the events specified in
paragraphs (a) and (b) of this Clause 2.6.2:
(a) if the Authority fails to pay any money due to the Consultant pursuant to this Contract
and not subject to dispute pursuant to Clause 7 hereof within forty-five (45) days after
receiving written notice from the Consultant that such payment is overdue; or
(b) if, as the result of Force Majeure, the Consultant are unable to perform a material
portion of the Services for a period of not less than sixty (60) days.

2.6.3 Payment upon Termination


Upon termination of this Contract pursuant to Clauses 2.6.1 or 2.6.2, the Authority shall
make the following payments to the Consultant:
(a) remuneration pursuant to Clause 6 for Services satisfactorily performed prior to the
effective date of termination;
(b) except in the case of termination pursuant to paragraphs (a) and (b) of Clause 2.6.1,
reimbursement of any reasonable cost incident to the prompt and orderly termination of the
Contract.

2.6.4 Failure and Termination


In case of delay in the conduct of Consultancy services within the time fixed or in the event
of repudiation of the contract, the Authority reserves the right to recover damage for Breach
of contract as indicated below:
"To recover from the Consultant as agreed liquidated damages including administration
expenses and not by way of penalty, a sum equivalent to 0.5% (half percent) of total Contract
Price, which the Consultant has failed to deliver within the period fixed for delivery for each
week or part thereof during which delivery is in arrears subject to an overall ceiling of 10%
of the total Contract Price".

3. OBLIGATIONS OF THE CONSULTANT

The Consultant shall perform the Services and carry out their obligations hereunder with all
due diligence, efficiency and economy, in accordance with generally accepted professional
techniques and practices, and shall observe sound management practices, and employ
appropriate advanced technology and safe methods. The Consultant shall always act, in
respect of any matter relating to this Contract or to the Services, as faithful advisers to the
Authority, and shall at all times support and safeguard the Authority's legitimate interests in
any dealings with Sub-consultants or third parties.

3.2 Conflict of Interests


3.2.1 Consultant Not to Benefit from Commissions, Discounts, etc.
The remuneration of the Consultant pursuant to Clause 6 shall constitute the Consultant’s
sole remuneration in connection with this Contract or the Services, and the Consultant shall
not accept for their own benefit any trade commission, discount or similar payment in
connection with activities pursuant to this Contract or to the Services or in the discharge of
their obligations under the Contract, and the Consultant shall use their best efforts to ensure
that the Personnel, any Sub-consultants, and agents of either of them, similarly shall not
receive any such additional remuneration.

3.2.2 Consultant and Affiliates not to be Otherwise Interested in Project


The Consultant agrees that, during the term of this Contract and after its termination, the
Consultant and its affiliates, as well as any Sub-consultant and any of its affiliates, shall be
disqualified from providing goods, works or services (other than the Services and any
continuation thereof) for any project resulting from or closely related to the Services.

3.2.3 Prohibition of Conflicting Activities


Neither the Consultant nor its Sub-consultants nor the Personnel shall engage, either directly
or indirectly, in any of the following activities:
(a) during the term of this Contract, any business or professional activities which would
conflict with the activities assigned to them under this Contract; or
(b) after the termination of this Contract, such other activities as may be specified in the
SCC.

The Consultant, its Sub-consultants, and the Personnel of either of them shall not, either
during the term or within two (2) years after the expiration of this Contract, disclose any
proprietary or confidential information relating to the Project, the Services, this Contract, or
the Authority's business or operations without the prior written consent of the Authority.

3.4 Insurance to be taken out by the Consultant


The Consultant (a) shall take out and maintain, and shall cause any Sub-consultants to take
out and maintain, at its (or the Sub-consultants', as the case may be) own cost but on terms
and conditions approved by the Authority, insurance against the risks, and for the coverage,
as shall be specified in the SCC; and (b) at the Authority's request, shall provide evidence to
the Authority showing that such insurance has been taken out and maintained and that the
current premiums have been paid.

3.5 Consultant’s Actions Requiring Authority’s Prior Approval


The Consultant shall obtain the Authority’s prior approval in writing before taking any of the
following actions:
(a) entering into a subcontract for the performance of any part of the Services,
(b) appointing such members of the Personnel not listed by name in Appendix C (“Key
Personnel and Sub-consultants”), and
(c) any other action that may be specified in the SCC.

3.6 Reporting Obligations


The Consultant shall submit to the Authority the reports and documents specified in
Appendix B in the form, in the numbers, and within the periods set forth in the said
Appendix.

3.7 Documents Prepared by the Consultant to be the Property of the Authority


All plans, drawings, specifications, designs, reports and other documents and software
submitted by the Consultant in accordance with Clause 3.6 shall become and remain the
property of the Authority, and the Consultant shall, not later than upon termination or
expiration of this Contract, deliver all such documents and software to the Authority, together
with a detailed inventory thereof. The Consultant may retain a copy of such documents and

software. Restrictions about the future use of these documents, if any, shall be specified in
the SCC.

4. CONSULTANT’S PERSONNEL & OFFICE


4.1 Description and Deployment of Personnel & Setting off Office
a) The titles, agreed job descriptions, minimum qualifications and estimated periods of
engagement in the carrying out of the Services of the Consultant’s Key Personnel are
described in Appendix C. The Key Personnel and Sub-consultants listed by title as well as by
name in Appendix C are hereby approved by the Authority.
b) The Consultant shall ensure the Deployment of the different teams of Key Personnel
in other Master Plan formulation related tenders in Punjab. The teams shall not be common in
any manner.
c) The Consultant shall set up an office in the awarded cluster within 15 days of issuance
of Letter of Award, before the signing of Agreement.

4.2 Removal and/or Substitution/Replacement of Personnel


a) No changes shall be made in the Key Personnel. In case it becomes incumbent to
change any one of Key Personnel, the Consultant shall forthwith provide as a replacement a
person of equivalent or better qualifications with approval of the Authority.
b) If the Authority finds that any of the Personnel have (i) committed serious misconduct
or has been charged with having committed a criminal action, or (ii) have reasonable cause to
be dissatisfied with the performance of any of the Personnel, then the Consultant shall, at the
Authority's written request specifying the grounds thereof, forthwith provide as a replacement
a person with qualifications and experience acceptable to the Authority.
c) In the event, the Key Personnel of the Consultant proceeds on leave for 5 working
days in continuity, the Consultant would the responsible to make the temporary arrangement
for replacement of a Key Personnel with immediate effect with respect to the date of start of
his leave. During the term of Agreement if substitution becomes necessary for reason of ill
health or because any Key Personnel prove to be unsuitable, the Consultant shall propose
other staff of at least the same level of qualification for approval by the HUD within 07
working days.
d) The Consultant shall have no claim for additional costs arising out of or incidental to
any removal and/or replacement of Personnel.

e) The Authority shall not consider substitution/replacement of the Key Personnel by the
Consultant except for reasons incapacity, health issues, death, or resignation by the Key
Personnel and which is beyond the control of the Consultant. Such substitution shall
ordinarily be limited to one Key Personnel subject to equally or better qualified and
experienced personnel being provided to the satisfaction of the Authority. As a condition to
such substitution, except for the reasons mentioned above, for first time substitution of any
Key Personnel, a sum of Rs. 50,000/- for substitution of each key personnel shall be deducted
from the Performance Security. In case of a second time substitution of the same Key
Personnel, a sum equal to 1% of Performance Security shall be deducted from the payments
due to the Consultant. Deduction will not be done if, the substitution/replacement is for the
reasons related to incapacity, health issues, death, or resignation by the Key Personnel and
which is beyond the control of the Consultant.

5. OBLIGATIONS OF THE AUTHORITY


5.1 Assistance and Exemptions
The Authority shall use its best efforts to ensure that the Government shall provide the
Consultant such assistance and data as specified in the SCC.

5.2 Change in the Applicable Law


If, after the date of this Contract, there is any change in the Applicable Law with respect to
taxes and duties which increases or decreases the cost of services rendered by the Consultant,
then the remuneration and reimbursable expenses otherwise payable to the Consultant under
this Contract shall be increased or decreased accordingly and corresponding adjustments shall
be made to the ceiling amounts referred to in Clause 6.2.

5.3 Services and Facilities


The Authority shall make available to the Consultant, the Services and Facilities listed under
Appendix E.

6. PAYMENTS TO THE CONSULTANT


6.1 Lump Sum Remuneration
The Consultant’s total remuneration shall not exceed the Contract Price and shall be a fixed
lump sum including all staff costs, Sub-consultants’ costs, printing, communications, travel,

accommodation, and the like, and all other costs incurred by the Consultant in carrying out
the Services described in Appendix A. Except as provided in Clause 5.2, the Contract Price
may only be increased above the amounts stated in clause 6.2 if the Parties have agreed to
additional payments in accordance with Clause 2.4.

6.2 Contract Price


The price payable in local currency is set forth in the SCC.

6.3 Payment for Additional Services


For the purpose of determining the remuneration due for additional services as may be agreed
under Clause 2.4, a break-up of the lump-sum price is provided in Appendix D.

6.4 Terms and Conditions of Payment


Payments will be made to the account of the Consultant and according to the payment
schedule stated in the SCC. First payment shall not be released till the performance
guarantee is executed by the Consultant. Subsequent payments shall be made in accordance
with the conditions listed in the SCC on submission of an invoice by the Consultant.

7. SETTLEMENT OF DISPUTES
7.1 Amicable Settlement
The Parties shall use their best efforts to settle amicably all disputes arising out of or in
connection with this Contract or its interpretation.

7.2 Dispute Settlement


Any dispute between the Parties as to matters arising pursuant to this Contract that cannot be
settled amicably within thirty (30) days after receipt by one Party of the other Party's request
for such amicable settlement may be submitted by either Party for settlement in accordance
with the provisions specified in the SCC.

III. SPECIAL CONDITIONS OF CONTRACT

GCC Amendments of and Supplements to Clauses in the General Conditions of


Clause Contract
1.1 All terms and words not defined herein shall, unless the context otherwise
requires, have the meaning assigned to them in the RFP.
1.5 This Contract shall be construed and interpreted in accordance with and
governed by the laws of India, and the courts at concerned Cluster shall have
exclusive jurisdiction over matters arising out of or relating to this Contract.
1.9 The Authorized Representatives are:

3.2.3 For a period of two years after the expiration of this Contract, the Consultant
shall not engage, and shall cause their Personnel as well as their Sub-consultants
and their Personnel not to engage, in the activity of a purchaser (directly or
indirectly) of the assets on which they advised the Authority under this Contract,
nor shall they engage in the activity of an adviser (directly or indirectly) of
potential purchasers of such assets. The Consultant also agrees that their affiliates
shall be disqualified for the same period of time from engaging in the said
activities.
3.4 The Consultant shall ensure to cover the following risks and take the necessary
coverages in this regard:
(a) Third Party motor vehicle liability insurance as required under Motor Vehicles
Act, 1988, in respect of motor vehicles operated in India by the Consultant or
their Personnel or any Sub-consultants or their Personnel, for the period of
Consultancy;

(b) Professional liability insurance, with a minimum coverage equal to total contract
value for this consultancy; and
3.7 The Consultant shall not use these documents for purposes unrelated to this
Contract without the prior written approval of the Authority.
6.2 The amount in Indian currency is Rs. ________________.
6.4 Payments shall be made according to the provisions of the RFP.
7.2 Dispute Settlement
Any Dispute or differences whatsoever arising between the parties out of or
relating to the implementation, meaning and operation or effect of this agreement
or its execution or the breach thereof shall be settled by arbitration in concerned
Cluster. The parties agree that the sole arbitrator shall be appointed by the
Authority. Parties hereto will raise no objection to the arbitration on the ground
that the Arbitrator is a government servant that he had to deal with matters to
which the contract relates or that in the course of his duties as Government
servant he has expressed views on all or any of the matters in dispute or
difference. It is a term of this agreement that in the event of any difficulty arising
by reason of death, resignation, retirement, inability or refusing to act as
arbitrator or if the award is set aside by any court for any such reason of
procedure, it will be lawful for the Authority to appoint another person as
arbitrator in place of the outgoing arbitrator. In every such case it shall be lawful
for the new arbitrator to act upon the record of the proceedings as existent at that
stage of the arbitration or to commence proceedings de-novo as the arbitrator in
his discretion may decide. The provisions of Indian Arbitration and Conciliation
Act, 1996 and any modification thereon shall govern the proceedings. The
contract and the arbitration shall be governed by Indian Law only. The Award
made in pursuance thereof shall be binding on the parties. The fee and other
charges payable to the Sole Arbitrator will be shared equally by Parties.
The Civil Courts in concerned Cluster alone shall have jurisdiction to entertain
any suit or matter arising out of this Agreement.

APPENDIX F - Form of Bank Guarantee for Performance Security

WHEREAS:

(A) (the “Selected Bidder/Consultant”) and


, Department of Housing & Urban Development, Punjab (the “HUD”) have entered into an
Agreement dated (the “Agreement”) whereby the HUD has agreed to take
services from the Consultant subject to and in accordance with the provisions of the
Agreement.

(B) The Agreement requires the Consultant to furnish a Performance Security to the HUD
in a sum of Rs. (Rupees only) (the
“Guarantee Amount”) as security for due and faithful performance of its obligations, under
and in accordance with the Agreement, during the Agreement Period (as defined in the
Agreement).

(the Bank”) have agreed to furnish this Bank Guarantee by way of Performance Security.

NOW, THEREFORE, the Bank hereby, unconditionally and irrevocably, guarantees and
affirms as follows:

1. The Bank hereby unconditionally and irrevocably guarantees the due and faithful
performance of the Consultant’s obligations during the Agreement Period, under and in
accordance with the Agreement, and agrees and undertakes to pay to the HUD, upon its mere
first written demand, and without any demur, reservation, recourse, contest or protest, and
without any reference to the Consultant, such sum or sums up to an aggregate sum of the

Guarantee Amount as the HUD shall claim, without the HUD being required to prove or to
show grounds or reasons for its demand and/or for the sum specified therein.

2. A letter from the HUD, under the hand of an Officer not below the rank of
________________ that the Consultant has committed default in the due and faithful
performance of all or any of its obligations under and in accordance with the Agreement shall
be conclusive, final and binding on the Bank. The Bank further agrees that the HUD shall be
the sole judge as to whether the Consultant is in default in due and faithful performance of its
obligations during the Agreement Period under the Agreement and its decision that the
Consultant is in default shall be final, and binding on the Bank, notwithstanding any
differences between the HUD and the Consultant, or any dispute between them pending
before any court, tribunal, arbitrators or any other HUD or body, or by the discharge of the
Consultant for any reason whatsoever.

3. In order to give effect to this Guarantee, the HUD shall be entitled to act as if the Bank
were the principal debtor and any change in the constitution of the Consultant and/or the
Bank, whether by their absorption with any other body or corporation or otherwise, shall not
in any way or manner affect the liability or obligation of the Bank under this Guarantee.

4. It shall not be necessary, and the Bank hereby waives any necessity, for the HUD to
proceed against the Consultant before presenting to the Bank its demand under this
Guarantee.

5. The HUD shall have the liberty, without affecting in any manner the liability of the
Bank under this Guarantee, to vary at any time, the terms and conditions of the Agreement or
to extend the time or period for the compliance with, fulfilment and/ or performance of all or
any of the obligations of the Consultant contained in the Agreement or to postpone for any
time, and from time to time, any of the rights and powers exercisable by the HUD against the
Consultant , and either to enforce or forbear from enforcing any of the terms and conditions
contained in the Agreement and/or the securities available to the HUD, and the Bank shall not
be released from its liability and obligation under these presents by any exercise by the HUD
of the liberty with reference to the matters aforesaid or by reason of time being given to the
Consultant or any other forbearance, indulgence, act or omission on the part of the HUD or of

any other matter or thing whatsoever which under any law relating to sureties and guarantors
would but for this provision have the effect of releasing the Bank from its liability and
obligation under this Guarantee and the Bank hereby waives all of its rights under any such
law.

6. This Guarantee is in addition to and not in substitution of any other guarantee or


security now or which may hereafter be held by the HUD in respect of or relating to the
Agreement or for the fulfilment, compliance and/or performance of all or any of the
obligations of the Consultant under the Agreement.
Notwithstanding anything contained hereinbefore, the liability of the Bank under this
Guarantee is restricted to the Guarantee Amount and this Guarantee will remain in force until
the Effective Date or compliance of the conditions specified in paragraph 8 below and unless
a demand or claim in writing is made by the HUD on the Bank under this Guarantee, no later
than 6 (six) months from the date of expiry of this Guarantee, all rights of the HUD under this
Guarantee shall be forfeited and the Bank shall be relieved from its liabilities hereunder.

7. The Performance Security shall cease to be in force and effect on Effective Date upon
submission of Performance Security by the Consultant.

8. The Bank undertakes not to revoke this Guarantee during its currency, except with the
previous express consent of the HUD in writing and declares and warrants that it has the
power to issue this Guarantee and the undersigned has full powers to do so on behalf of the
Bank.

9. Any notice by way of request, demand or otherwise hereunder may be sent by post
addressed to the Bank at its above referred Branch, which shall be deemed to have been duly
authorised to receive such notice and to effect payment thereof forthwith, and if sent by post
it shall be deemed to have been given at the time when it ought to have been delivered in due
course of post and in proving such notice, when given by post, it shall be sufficient to prove
that the envelope containing the notice was posted and a certificate signed by an officer of the
HUD that the envelope was so posted shall be conclusive.

10. This Guarantee shall come into force with immediate effect and shall remain in force

and effect for the entire Agreement Period.

11. This guarantee shall also be operatable at our


branch at Chandigarh, from whom, confirmation regarding the issue of this guarantee
or extension/ renewal thereof shall be made available on demand. In the contingency of this
guarantee being invoked and payment there under claimed, the said branch shall accept such
invocation letter and make payment of amounts so demanded under the said invocation.

12. The guarantor/ bank hereby confirms that it is on the SFMS (Structural Finance
Messaging System) platform & shall invariably send an advice of this Bank Guarantee to the
designated bank of HUD. The details are as following:
