PRIVATE CONTRACT FOR THE SALE OF A USED VEHICLE

In the municipality of TEXCOCO, STATE OF MEXICO; at 12:00 hours, on the 21st day of the month
December of the year 2018; being present.

ElC. ASIPC S.A DE C.V. (JULIO CESAR HEREDIA), hereinafter for the purposes of
this contract shall be referred to as 'THE SELLER' and on the other hand, C. FRANCISCO RAMÍREZ
MARTÍNEZ, hereinafter referred to as 'THE BUYER', who in accordance
according to the provisions of articles 7.30, 7.31, 7.32, 7.33, 7.38, 7.43, 7.52, 7.366, 7.532, 7.533,
7.535, 7.539, 7.552, 7.562, 7.563, 7.564, 7.568, 7.571, 7.573, 7.580, 7.598, 7.599 and others
relatives and applicable of the Civil Code of the State of Mexico in force; agree to celebrate the
this purchase and sale contract is governed by the following:

STATEMENTS
FIRST.- "THE SELLER" declares to be of legal age, with address on the street of
MONTE ALBAN exterior number 65, RECURSOS HIDRÁULICOS neighborhood, of the municipality of
CULIACÁN, State of SINALOA, identifying with VOTER ID, issued
by NATIONAL ELECTORAL INSTITUTE, with folio number 1279050599303.

SECOND.- "THE BUYER" states that they are of legal age, residing at the street
NEIGHBORHOOD CAM, Nezahualcoyotl neighborhood, municipality of Texcoco, State of Mexico
identifying with VOTING CREDENTIAL, issued NATIONAL INSTITUTE
ELECTORAL with folio number 4648093573968.

THIRD.- "THE SELLER" is the current owner of the vehicle, in accordance with the invoice.
number C39362, issued by SUBASTAS VENTURA S.A. DE C.V., on date JULY 14 OF
2016a name of C.JUAN PABLO BARRETO AYALA with the following characteristics:

circulation UF40005, State registrations of SINALOA, circulation card 6788536, 4
doors, WHITE color, and includes the payment receipts of the Property Tax,
the fiscal years 2015, 2016, 2017, 2018.

FOURTH.- Both parties declare and acknowledge that they have the legal capacity to enter into the
present contract, in terms of article 7.38 of the Civil Code of the State of Mexico in force.

OBJECT OF THE CONTRACT.- The object of this contract is, in terms of articles 7.65
fraction I and 7.66 of the referred Civil Code, the sale of the vehicle mentioned in the declaration
THIRD of this contract, with the characteristics and particularities indicated.

For the reasons stated, and based on the aforementioned legal provisions, and as it is suitable to
their interests, it is the desire and will of the contracting parties to enter into this contract,
subject to the following:

CLAUSES
FIRST. Based on the provisions of articles 7.532, 7.533, and 7.599 of the Civil Code of the State
of Mexico (he) C.ASIPC S.A. DE C.V. (JULIO CESAR HEREDIA)
transmits the property through this contract to C. FRANCISCO RAMÍREZ MARTÍNEZ,
who acquires for themselves the vehicle described in the THIRD declaration of this instrument.

SECOND. "THE BUYER" expresses his agreement to the physical and mechanical conditions.

subsequent presentations will not give rise to any claim, except as provided by

THIRD. The sale price of the vehicle is $170,000.00 (ONE HUNDRED SEVENTY THOUSAND)

FOURTH. "THE BUYER" expresses their acceptance of the value of the vehicle, and "THE
"SELLER" the payment method expressed in the previous clause.
This unit is used and sold in the condition it is found, regarding engine, transmission,
suspension and bodywork.

FIFTH. "THE SELLER" states that the vehicle subject to this contract...
as described above is free of encumbrances and up to date on the payments of the
taxes and vehicle control fees indicated in the THIRD declaration. At the signing of
this contract, the payment receipts described above are delivered and, in any case,
"THE BUYER" is not exempt from the obligation to cover the corresponding authority any
debt that arises prior to the date of the sale of the vehicle subject of this contract.

SIXTH. 'THE SELLER' undertakes to deliver the vehicle that is the subject of this contract,
December 21, 2018. "THE BUYER", after having reviewed at their own account
he/she owns the vehicle, receives it in accordance and as well as the documentation described in the declaration
THIRD.

SEVENTH. "THE SELLER", by reason of the celebration of this contract, assigns the
rights that derive from the acquisition of the vehicle mentioned in declaration THIRD of
this contract, to the 'BUYER' in everything that legally and factually corresponds to him and this
acquires the obligations inherent to said vehicle.

EIGHTH. "THE BUYER", from the date of delivery of the vehicle, will be responsible for
keep up to date the taxes and fees for vehicle control that arise from it
requires the property transfer procedure to be carried out before the relevant tax authority,
within the 15 business days following the transfer in accordance with article 47 section III
of the Financial Code of the State of Mexico and Municipalities, in effect.

NOVENA. 'THE SELLER' disclaims any civil or criminal liability that may arise.
resulting from the use, handling, or operation of the vehicle subject to this contract starting from the
delivery date of the same, presenting it for this purpose, before the corresponding tax authority and within
from the term of 15 days following the date of the sale in accordance with article 47 section III of
Financial Code of the State of Mexico and Municipalities, in effect.

Consequently, in terms of Article 7.366 of the Civil Code of the State of Mexico, 'THE
SELLER" Responds for the sanitation in the case of eviction.

TENTH. Both parties, in terms of Article 7.52 of the Civil Code of the State of Mexico,
they declare that in the celebration of this contract, there is no error, deceit, violence, or bad faith that
could invalidate it.

ELEVENTH. For everything related to the interpretation and fulfillment of obligations

arising from this contract, the parties agree to submit to the jurisdiction and competence of
the courts of the STATE OF MEXICO (TEXCOCO), renouncing any Organs
jurisdiction to which they were entitled by reason of domicile, residence, or any other nature.

OBSERVATIONS
.

After reading the content of this contract, the parties agree to be bound by all its
terms and conditions, which constitute a complete and exclusive expression of your will
free of any vice, and they sign in agreement in two copies, being at 14:00 hours on the date
and the place indicated in the preamble of this contract.
