Job Description
You are the highly experienced and motivated Associate who will join the Corporate & Securities Law Advisory team. You will play a critical role in advising listed REITs, InvITs, and other corporate clients on regulatory, compliance, and governance matters. This role is suitable for professionals with a background in law firms, listed REITs and InvITs, Practicing Company Secretary (PCS) firms, who have a deep understanding of securities laws and corporate regulations. - Advise listed clients on compliance with: - SEBI REITs and InvITs Regulations - SEBI (LODR) Regulations, 2015 - SEBI (Prohibition of Insider Trading) Regulations, 2015 - Companies Act, 2013 - ESOP and employee benefit regulations, etc. - Draft legal opinions, board resolutions, and compliance notes on complex regulatory matters. - Review and support compliance related to corporate governance, quarterly disclosures, related party transactions, and investor communications. - Well versed in stock exchange related filings and handling of investor grievances. - Monitor changes in laws and regulations. - Liaise with stock exchanges, SEBI, MCA, and depositories as needed. - Support due diligence, corporate restructuring, and capital market transactions, as applicable. Minimum 3 years+ of relevant experience in corporate and securities law advisory is required. Exposure to listed entity compliances and SEBI regulations is essential. Good legal drafting and analytical skills are necessary. You should have proven ability to manage client communications independently and deliver high-quality, time-bound advisory services. Being comfortable working in fast-paced, evolving regulatory environments is crucial.
