DEED OF ABSOLUTE SALE OF CONDOMINIUM UNIT
KNOW ALL MEN BY THESE PRESENTS:
This DEED, made and executed this ______ of ______________ 2019 in
__________________ by:
______________________and ____________________ Filipino, married, with
residence and postal address at _________________________, hereinafter
referred to as the SELLERS,
-and-
_________________________ and ________________________, Filipino,
______________, of legal age, with residence and postal address at
_________________________, hereinafter referred to as the BUYERS,
WITNESSETH:
WHEREAS, SELLERS are the legal and registered owner of
_________________________________________________________, more or
less, and one (1) assigned parking slot covered byCondominium
________________________________of the Registry of Deeds for Taguig
City;
WHEREAS, BUYERS offered to buy and the SELLERS agreed to sell the said
condominium unit as well as any and all rights and interest appertaining
thereto under the Master Deed with Declaration of Restriction (the “Master
Deed”), as amended, the Articles of Incorporation and the By-Laws of the
Condominium Corporation;
NOW, THEREFORE, for and in consideration of the foregoing premises and
subject to the terms and conditions herein set forth, the BUYERS buy and the
SELLERS sell, transfer and convey, by way of absolute sale, unto the
BUYERS, their successors and assigns, the said condominium unit as well as
any all rights and interest appertaining thereto under the Master Deed, as
amended, the Articles of Incorporation and By-Laws of the Condominium
Corporation.
1. The purchase price for the said condominium unit and assigned
parking slot shall be TWELVE MILLION PHILIPPINE PESOS (PHP
12,000,000.00) to be paid through a Manager’s Check drawn against
the deposit account of the SELLERS with BDO Unibank, Inc. – Julia
Vargas Branch.
2. SELLERS warrant that the title to the said condominium unit is free
and clear of any and all liens and encumbrances, except the restrictions
contained in the Master Deed, as amended, as annotated and inscribed
at the back of Condominium Certificate of Title No. 1881-P.
3. BUYERS accept and bind themselves to all conditions and restrictions
embodied in the Mater Deed, as amended, the Articles of
Incorporation and By-Laws of the Condominium Corporation, and
agrees to faithfully observe and comply with the House Rules and
Regulations of the Condominium Corporation and any amendment or
supplement thereto.
4. The SELLERS undertake that they, their heirs, successors and assigns
shall warrant and defend the title to the real property subject of this
Deed against all claims of all persons or entities. The SELLERS also
guarantee the right of the BUYERS to take possession of the property
subject of this agreement upon the signing and execution of this
agreement and will defend the latter against all judicial or
administrative actions for eviction.
5. The BUYERS hereby acknowledge that they have examined the said
condominium unit and accept the same and that they took possession
and occupy the above mentioned property on __________________ at
______ AM/PM.
6. In addition to the consideration above, the capital gains tax (6% of
selling price), documentary stamps tax, value-added tax (VAT), if any,
broker’s fee (5% of selling price), registration fee, legal and notarial fee
(1% of the selling price) and other incidental expenses in the
registration of the sale and title transfer shall be for the account of the
BUYERS.
7. The association dues and utilities shall be for the sole account of the
SELLERS until the execution of this Deed of Absolute Sale.
8. The Agreement shall be binding and valid upon the parties herein and
their heirs, agents, representatives, and assigns.
