                                    AFFIDAVIT
       I, CIRILO C. ZAMORA, of legal age, Filipino, married with address at Sangi,
Toledo City 6033, Cebu, Philippines, after having been duly sworn to in accordance
with law, hereby depose and state that:
      1. I am the husband of the registered owner of Transfer Certificate of Title
         No. CLOA-371 (00321261) containing an area of 28,176 sq.m. located at
         Barangay Canlumampao, Toledo City, Cebu, Philippines.
      2. My wife, Bienvenida Zamora was identified and awarded as a farmer
         beneficiary under the Comprehensive Agrarian Reform Program (CARP) of
         the Department of Agrarian Reform (DAR).
      3. My late father cultivated the land as he was a tenant of the Genoveva
         Villalon the landowner prior to the coverage of DAR. After the land was
         awarded to my wife on May 10, 2007, we succeeded the tillage of my
         father. We tried planting different crops, fruit bearing trees and other
         vegetation to make the land productive. However, our family’s money,
         efforts and resources were not sustained by our agricultural activities
         because the fertility and productivity of the oil is not economically viable.
         My wife and I found out that the land is not conducive anymore for
         agricultural production.
      4. As certified by the ___________, the quality of the soil is acidic because of the
         wastes from the mining activities by Carmen Copper Corporation which
         greatly affected the soil environment. The mining wastes significantly
         reduced the number and species of soil organisms which resulted to the
         deterioration of soil quality and reduction in agricultural productivity due
         to nutrient depletion and organic matter losses. The land has now ceased
         to be economically feasible and sound for agricultural purposes.
      5. My family and I were getting frustrated as we cannot maximize the
         agricultural productivity of the land and since the title of the land is now
         beyond the 10-year prohibitory period prescribed by R.A. 6657 as
         amended by R.A. 9700, I thought of offering the land for a Joint Venture
         Agreement for a housing project. By then, the land would have greater
         economic value for residential purposes in Toledo City. I was also aware
         that farmer beneficiaries may enter into a joint venture for a housing
         project.
      6. Thus, when I learned that PrimaryHomes, Inc. was looking for a land to
         develop as a housing project, on my own initiative, I personally went to
         the office of Primary Homes, Inc. and offered to them the land for a joint
         venture.
       7. It took awhile for PrimaryHomes, Inc. to decide on the Joint Venture but
          upon knowing that Toledo City needs housing projects, they agreed to a
          Joint Venture Agreement.
       8. It is in good faith that I am entering into a Joint Venture Agreement with
          PrimaryHomes Inc. and that the land has greater economic value for
          residential purposes as it no longer economically feasible and sound for
          agricultural purposes.
