This Offer of Employment Agreement constitutes the entire agreement for


the duration of the Overseas Assignment and supersedes any other
agreements, commitments, understandings and/or representations not
specifically incorporated in this Agreement. This agreement may be
altered, amended or supplemented only by a written instrument signed by
both the expatriate and OFFSHORE ENERGY SOLUTIONS DENMARK. The Employee
agrees to proceed to Denmark and to undertake diligently and faithfully
the duties for the term of this engagement and will act in all respects
according to the instructions of the Company through the Head of Human
Resource Department or any other duly authorized officer.

To confirm the recent screening processes for empowering out workforce


in our recent upgrade here in DENMARK, which were conducted by the
Screening Department of OFFSHORE ENERGY SOLUTIONS DENMARK, This
Expatriate Offer Letter is subject to obtaining any appropriate permits
for Work/Employment and Residence in Denmark, as well as your
acceptance of the Terms and Conditions outlined in this letter. Please
review this summary of the terms and conditions of your offer. If you
accept this offer, we are pleased to offer you an initial position as
the:
POSITION: PROJECT GUIDANCE AND COUNSELOR

JOB LOCATION: COPENHAGEN, DENMARK

STARTING DATE: 1ST APRIL 2025. On this date, you are to report at 8:00
a.m. to the Human Resources Department, where you will be provided with
packet containing information on OFFSHORE ENERGY SOLUTIONS DENMARK.
Benefits, facilities, and seravices as well to attend an orientation
program before job commencement.

Should you accept this job offer, per Company policy you'll be eligible
to receive the following beginning on your hire date.

 Salary: Monthly Net starting salary of 7,320 (USD) exclusive of any


taxation(TAKE-HOME AFTER TAX DEDUCTION). All payment of Salary after
assumption of duty in DENMARK shall be into through your preferred
means in DENMARK. This is in line with the DENMARK Expatriate
Financial Statutory Laws.
 Job Description: (Your job profile will be duly stated on your
compulsory 2 weeks orientation training/program which will equip you
with the basic knowledge of the Project at hand and familiarize you
with the equipments at your disposal).
 Performance Bonuses: Up to three percent of your annual net salary,
paid quarterly by your choice of cheque or direct deposit.
 Contract Duration: 2 Years (Renewable after a satisfactory
performance)
 Training Period: The Employee will be on Training for the first 3
months. Subsequently and depending on the Employee´s performance,
the Employee will be confirmed and join with the Rest of New
Companys Project Team. The months of the Training period will form
part of the first year of the Contract period whereas all Salaries
and Entitlements shall be duly settled within this Period.
 Pension: If you are eligible, the Employer will auto-enroll you
into a pension scheme, in accordance with the Employer’s pension
auto-enrolment obligations. Full details of the scheme will be
provided when you are enrolled, including the minimum contribution
level that you will be required to make and you have the right to
opt out if you do not want to join the scheme. While participating
in the scheme, you agree to worker pension contributions being
deducted from your salary. The scheme is subject to its rules as may
be amended from time to time, and the Employer may replace the
scheme with another pension scheme at any time.
 Relocation Allowance: The Employer covers all the general moving
expenses. Packing possessions, hauling items across your country to
Denmark, and enlisting unpacking services all add up. If you resign
from the Company voluntarily for any reason or are terminated by the
Company for Cause (as defined under the Company's Executive
Severance and Change in Control Plan) on or prior to the first year
anniversary of the Start Date, you will be responsible to repay to
the Company 100% of the relocation one-time payment.
 Family Friendly Rights: We provide maternity pay and leave in
accordance with current statutory requirements. All employees who
are pregnant while working for us are entitled to maternity leave of
up to 52 weeks provided they comply with notice requirements.
Currently employees are entitled to statutory maternity pay where
they have worked for us for six months at the fifteenth week before
their baby is due. Employees who are pregnant are also entitled to
take reasonable time off work, without loss of pay, to attend ante-
natal care. We carefully consider any requests to work flexibly and
fully comply with the statutory scheme. Qualifying employees may
make a formal request to alter the time at which they work, their
hours of work or may ask to work from home.
 Benefits: OFFSHORE ENERGY SOLUTIONS DENMARK provides benefits for
all employees, which includes the following.
 Child daycare assistance
 Provides Family/Dependents Visa for Eligible Family Members
 Education assistance
 Health, dental, life and disability insurance
 Sick leave
 Vacation and personal days (OFFSHORE ENERGY SOLUTIONS DENMARK
have 30 working days annual leave (which is additional to
public/religious holidays), which can be taken at any time during
the year (subject to approval). During any of your vacation
OFFSHORE ENERGY SOLUTIONS DENMARK. shall pay for your flight
ticket. All Employees will receive USD 3,205.00 Take home for
each leaves Period. Employer for each Inter-continental trip
shall pay USD 1,720.00 flat rate travel/entertainment allowance
to employee. Travel shall be by business class.
 Accommodation (Three-Bed-Room Apartment for married staffs and
Two-Bed-Room Apartment for single staff, this accommodation is
free)

 Transportation (Free Transportation, from home to place of work
every day)

JOINING US:

1. VISA: All International Applicant should note that OFFSHORE ENERGY


SOLUTIONS DENMARK shall duly secure their Visa/Family Visa from the
Home office of the DENMARKN Immigration Services here in COPENHAGEN
DENMARK for every applicant coming from outside DENMARK.

2. WORK PERMIT: On your arrival, OFFSHORE ENERGY SOLUTIONS DENMARK


shall secure your work permit papers from the HOME OFFICE here in
DENMARK which will enable you to live and work legally here in DENMARK.

3. FLIGHT TICKET: Your flight ticket shall also be sent to you, a week
before your departure. You are to provide a working and valid postal
address where your ticket shall be delivered through a courier service
agent, inclusive of the Hardcopy of your Offer Letter and Certificate
of Employment.

4. ACCOMMODATION: OFFSHORE ENERGY SOLUTIONS DENMARK. provides


accommodation to all foreign nationals at the Company’s staff estate in
NIRAS, DENMARK. Employees are entitled to take meals free of charge at
the General Staff canteens. Dietary options, Customized cooks and
Dieticians are available options.

5. ORIENTATION PROGRAM: Candidates are advised to arrive a week before


job commencement date in order to attend the orientation seminar. Note
there will no be further interview as your appointment is basically on
the information, which you have provided on your resume before
screening. There will be a routine check of your credentials on arrival
by the Human Resource Department to confirm validity.

6. REIMBURSEMENT: You are to bear the cost of processing your Alien


Professional Assessment Scheme from the Accredited Attorney and
OFFSHORE ENERGY SOLUTIONS DENMARK will duly reimburse you of all the
expenses you incurred only on sight of your valid Alien Professional
Assessment Scheme legalization documents to show seriousness in joining
the team not later than Five (5) working days after submission of
employee’s expense report and receipts. The First Six months upfront
salaries shall be paid in advance before CONSULTANTS/EMPLOYEE embark on
journey to assume duty to enable you take care of pressing needs at
your home country.

7. SAFETY AND SECURITY: Safety and Security of personnel


(Local/Foreign) and Facilities on Job Locations and communities are no
small issues, and have been seriously considered to ensure and assure
hitch free operations. All operations on Job Location are designed to
adhere strictly to the Health Safety and Environment (HSE) Policy as
applicable in the Company Sector. All expatriates are entitled to a
free and mandatory safety courses on Job Locations to be delivered by
qualified safety and environment experts.

8. MEDICAL AND HEALTH CARE: Employer will provide the employee with
comprehensive Health care for the time of contract, and follow-on care
for injuries suffered during the time of contract for employee and
family.

9. COMMUNICATION AND INTERNET FACILITIES : Laptop Computer, Intel
Pentium M Processor, 1 GB RAM, 48XCD-RW, 20GB Hard Drive, Floppy Drive,
Integrated Network Adapter, Internal 86K Modem, Spare Battery and
Necessary Software’s. 24 hours Internet access is also available. The
Company will also provide the employee with one land line phone at home
and one mobile phone both will have a reasonable credit amount each
month.

10.ALLOWANCE/ENTITILEMENTS:Hazard/Inconveniences:USD360.00
(Monthly),Car Maintenance: USD300.00 (Monthly), House & Furnishings:
USD 2,000.00 (Yearly),Entertainment & Recreation:USD285.00(Monthly),
Travel & Events: USD550.00(Monthly)

11. FORCE MAJEURE: Not withstanding anything herein stated, neither


party should be considered in default in the performance of its
obligations under this Agreement as a result of Force Majeure.
The term "Force Majeure" shall include but not limited to Act of God,
War, Nationwide strike, Lockout, Riot and Civil commotion. A strike or
Lockout embarked upon by only the Employee’s personnel shall not be
deemed to be included in this term. If an interruption of work occurs as
a result of "Force Majeure" for up to seven (7) days, 70% of the basic
daily fees shall be paid as standby. However, if such suspension
results in Employee not being able to perform its duties for more than
seven (7) days, then DHM may at its option elect to continue the
implementation of this Agreement at adjusted standby rates to be
negotiated by HSM and Employee or to terminate the contract.

12. CONTINUING EDUCATION: The Employer is committed to the continuation


of educational endeavors within the realm of your expertise. The
Employer will schedule the educational seminars for the advancement of
the employee in the practice. Should the employee desire to attend an
educational offering unrelated to the practice sufficient course
information should be submitted to the Employer for review and
approval. The Employer will cover the cost inclusive transportation,
lodging, and meals for Continuing Education at one week for the purpose
of Continuing Medical Education.

13. PROFESSIONAL MEMBERSHIPS: Memberships to Professional organizations


are not a condition of employment, however it is expected certain key
organizations and certifications should be achieved from time to time
by the Employee as evidence of both professional advancement and
continuing education. The Employer will review memberships to such
organizations and corporate funding will be allocated through an
application process. Submit the require documentation for the
requested organization including the nature of the membership and
associated fees.

14. EQUAL RIGHTS AND NON DISCRIMINATION: During the performance of this
Agreement, the Employer assures that no otherwise qualified person
shall be excluded from participation or employment, denied program
benefits, or be subjected to discrimination based on race, color,
national origin, sex, age, or disability, under any program or activity
funded by this contract, as required by Civil Rights Act, as amended,
and the Age Discrimination Act, and all implementing regulations of the
Department of Labor. Protected traits include, but are not limited to,
race, color, national origin, religion, sex, age, disability, and
veteran status.

15. DRUG/SUBSTANCE ABUSE POLICY: The Employer is committed to providing
a safe work environment and to fostering the well-being and health of
its employees. That commitment is jeopardized when any employee
illegally uses drugs on or off the job, comes to work under their
influence, possesses, distributes or sells drugs in the workplace, or
abuses alcohol on the job. Violations of this policy are subject to
disciplinary action up to and including termination.

16. CONVICTIONS: It is a condition precedent of employment under this


Contract and of continued employment that you do not have any criminal
convictions (other than minor motoring offences), and if you are or
have been convicted of any criminal offence you must report this
immediately to your Human Resource Manager.

17. ENFORCING THE TERMS AND CONDITIONS OF THE EMPLOYMENT CONTRACT: This
Employment Agreement which includes all the terms and conditions of the
contract or described in the guidelines for employees, must be
completed and signed by the employee. Additional provisions may be
added as long as they do not contradict the terms and conditions
mentioned above.

Current SKILLED ALIEN ACCREDITATION CERTIFICATE is required prior to


employment and will be verified by the Ministry of Employment and
Labour. It is the responsibility of the employee to process his/her
current Skilled Alien Accreditation Certificate and submit a copy of
the document prior to gainful employment. Failure to procure this
documentation as current will necessarily result in immediate cessation
of Appointment until Accreditation certificates has been approved.
Payment for Certification fees will be the responsibility of the
Employee and will be duly reimbursed by the Employer. Current copies of
these documents shall be kept on file for immediate review at all
times. The Employer has no authority to intervene and it is the
responsibility of the Employee to complete the Skilled Alien
Accreditation Certificate Payment for Skilled Alien Accreditation
Certificate will be issued to this agency by the corporation. The
following are included Prescriptive authority, controlled substances
registration fees and DEA licensure verification.

The employee must complete and sign the employment contract and send it
to the Accredited Attorney with copies of your Academic credentials to
complete the Alien Professional Assessment Scheme pursuant to their
role under the Immigration and Refugee Protection Regulations.

MINISTRY OF EMPLOYMENT ALIEN PROFESSIONAL ASSESSMENT SCHEME

OFFSHORE ENERGY SOLUTIONS DENMARK CONTRACT APPOINTMENT LETTER


In compliance with The Danish Agency for Labour Market and Recruitment
(STAR), every skilled alien professional employed in Denmark must first
complete the Alien Professional Assessment Scheme and be issued with
the Skilled Alien Accreditation Certificate / Card duly endorsed by the
Ministry of Employment. Issuing the Skilled Alien Accreditation
Certificate / Card from the Ministry of Employment simply notifies the
Danish Immigration Service that you have successfully completed the
Alien Professional Assessment Scheme being the eligibility criteria for
issuing Work / Dependent Visa (Entry Permit / Residence and Work Permit
/ Family Residence Permit). Ministry of Employment maintains a system
of records titled employer application and accredited files for alien
workers. Under the Alien Professional Assessment Scheme, the following
are verified:

Applicant’s qualifications: solid educational background, technical


portfolio and proven experience.

Applicant’s specific skills set and social responsibility.

Applicant’s financial status: remuneration packages (income,


accommodation, medical and other benefits).

Applicant’s employment will not adversely affect the wages and working
conditions of similarly employed local Danish citizens.

the EU/EEA, in order to apply for a visa/work/residence permit in
Denmark, which makes it possible for you to learn Danish and pass the
