(the "Contract"). Once you have had the opportunity to consider this Contract please feel free to contact me or a
member of our Talent Acquisition Team, and we will be pleased to clarify any issues that you have identified.
This offer is made subject to the following conditions, and will be withdrawn in the event that any of these
conditions are not satisfied:
• Acceptable background check results. You must provide your consent for any security and background
checks to be conducted by or on behalf of the UAE authorities or DP World as either may deem
appropriate;
• You being deemed to have the appropriate standard of health pursuant to a medical examination as required
by the UAE authorities;
• DP World being able to obtain and maintain the necessary documentation for your entry and residence in
the UAE, and for your employment by DP World ;
• Receipt of two references from your previous employer(s) which DP World considers satisfactory.
By accepting this offer, you confirm that you are able to accept this job and carry out the work that it would involve
without breaching any legal restrictions on your activities, such as post-termination restrictions which may have
been imposed on you by a current or former employer.

(1) Drydocks World - Dubai FZCO, whose registered address is P.O.Box 8988, Dubai, UAE. (the "
Company")
AND
(2) HARESH BISAI, a Indian national, holder of passport W5282592, with date of birth 14-Aug-1999 ("
You")
(hereinafter collectively referred to as the "Parties" or individually as a "Party")
AND
WHEREAS:
The Company employs the Employee on the following terms and conditions.
1. Job Title and : You will be employed in the position of ELECTRICIAN - MARINE and will

5. Annual Travel : You may be entitled to annual flight tickets during your Employment in
accordance with the Company's policy as may be in place from time to time.
6. Insurance : During Employment, the Company shall provide you with medical insurance as
well as personal accident and life insurance in accordance with the Company's
policies and as may be amended from time to time.

7. Leave : You shall be entitled to 22 working days' leave per year of service to be calculated
on a pro-rated basis where you commence/leave Employment part way through
the annual leave year. You will also be entitled to public holidays as may be
announced by the Government of Dubai from time to time. In addition to the
annual leave entitlement set out above, you will be entitled to other leaves in
accordance with Company policy.
8. Duration, : This Contract will continue for a fixed term period of 12 months' until
Notice and __________________ ("Expiry Date"), subject to the remaining terms of this
Termination Contract.
9. Standard : The Terms (at Schedule A) are incorporated by reference into this Contract.

SCHEDULE A
STANDARD TERMS AND CONDITIONS OF EMPLOYMENT
1 Definitions
In this Contract, the following expressions shall mean:
"Contract" means this contract entered into by you and the Company and includes the Standard Terms and
Conditions of Employment (the "Terms") at Schedule A.
"Employment" means your employment with the Company under this Contract;
"Executive Regulations" means the accompanying executive regulations to the Labour Law as issued by the
Ministry of Human Resources and Emiratisation and as may be amended from time to time;
"Group" means the Company and the Group Companies; DP World business units and Dubai World;
"JAFZ" means Jebel Ali Free Zone;
"Labour Law" means UAE Federal Labour Law (Law No. 8 of 1980) as amended from time to time;
"Line Manager" means your immediate line manager as specified in this Contract; and
"UAE" means United Arab Emirates.
The headings to the clauses are for convenience only and shall not affect the construction or interpretation of
this Contract.
2 Appointment
2.1 The validity of this Contract is at all times subject to sponsorship being obtained for you and your
Employment continuing to be permitted by the appropriate authorities in the UAE and upon you continuing to
hold a valid residence visa and employee work permit and all other requisite permissions and approvals from
the appropriate authorities as may be necessary.
2.2 The requirements and responsibilities of your role will be developed in discussions with you and, if not already
presented, outlined in a job description. The Company reserves the right to amend your existing job title and/or
reporting line from time to time subject to business requirements.
2.3 Your normal working hours shall be determined in accordance with the prevailing labour laws in the location
at which you are based and the applicable policies of the company and shall be communicated to you by your
Department.
2.4 Where you are required to work overtime, and eligible to be paid for such work, your entitlement to overtime
shall be determined in accordance with the Labour Law and the Executive Regulations. If you are not eligible
for overtime, you will not be entitled to any overtime pay for additional hours worked.
3 Duration of the Employment
3.1 Your Employment, shall be for fixed term period as detailed above, subject to clauses 4 and 11,

4 Probation
4.1 Your first three months of service shall be probationary. On completion of the probationary period in a
manner which is satisfactory to the Company, you will become a permanent employee.
4.2 In the event that the Company is not fully satisfied with your performance at any time during or at the end of
the probationary period, you will be advised of this in writing. Either the probationary period may be extended
by up to a further three months at the Company's entire discretion or you may be dismissed in accordance with
the notice provision set out in clause 4.3 below.
4.3 Your Employment can be terminated by the Company at any time during your probationary period by giving a
minimum of fourteen calendar days' prior written notice. In the event that you wish to terminate your
Employment during the probationary period, you are required to give to the Company prior written notice as
follows:
a) One months' notice if you are resigning to join another employer in the UAE;
b) Fourteen calendar days' notice if you are resigning so as to leave the UAE; and
c) Fourteen calendar days' notice if you are resigning for any other reason.
4.4 In the event that you (i) resign from your Employment during the probationary period in order to join a new
employer in the UAE or; (ii) leave the UAE and then return within a period of three months' in order to take up
new employment, you will cooperate with the Company as directed so as to recover your recruitment costs as
borne by the Company from your new employer, in accordance with the Labour Law.
4.5 You confirm (to the extent not already known to the Company) that you have not left your former UAE
employer during the probationary period and are therefore not subject to any repayment obligations regarding
your recruitment costs incurred by your former employer, pursuant to the Labour Law.
5 Location
5.1 During Employment, you will be based at the offices of Drydocks World - Dubai FZCO.
5.2 Due to the nature and responsibilities of your role, there may be occasions when travel to other business
locations may be required. By signing this Contract, you agree to travel on the Company's business (both
within the UAE and abroad) as may be required for the proper performance of your duties.
6 Remuneration
Your annual basic salary will be reviewed, but not necessarily increased, on an annual basis. Where
appropriate, any changes will be confirmed to you in writing.
7 Gratuity
7.1 Where applicable, you may be entitled to an end of service gratuity payment upon termination, in accordance
with the Labour Law and the Company's policy and noting the relevant commencement date as set out in
clause 3.2 above.
7.2 Any calculation will be assessed / made with reference to your seniority during each year of service in
accordance with the Company policy.
8 Deductions
8.1 The Company reserves the right at any time, during the Employment, or in any event on termination, in
accordance with the Labour Law, to set off or deduct or withhold from your remuneration or any other sums
due to you in respect of any monies owed by you to any Group Company including but not limited to:
a) any loans or overpayments made to you by any Group Company;

b) any unaccounted-for expense advances that have not been promptly repaid to the Company;
c) any expenses incurred by the Company as a result of repairing damage to or loss of any Group
Company's property caused by you and any losses suffered by any Group Company as a result of
any negligence or breach of duty by you.
8.2 The Company also reserves the right at any time, to withhold from your remuneration or any other sums due to
you a penalty of an amount to be determined by the Company in the event that you fail to comply with
instructions to provide updated documents (such as passport) in a timely fashion.
9 Expenses
The Company shall reimburse you in respect of all expenses reasonably incurred by you in the proper
performance of your duties, in accordance with the Company's Travel and Expenses Policy subject to you
providing such receipts or other evidence as the Company may require.
10 Medical and Sickness Benefits
10.1 You may be required to undergo Company sponsored annual medical examinations, the results of which will
be disclosed to the Company, in the following circumstances:
a) if so directed by the Company on a periodic basis; and
b) where, in the Company's sole opinion, your state of health to fulfil the requirements of the job is in
question.
10.2 You hereby agree to consent to such medical examinations and further agree that any report produced in
connection with such examination may be disclosed to the Company and the Company may discuss the
contents of the report with the relevant medical practitioner.
10.3 You shall be entitled to a leave of absence by reason of sickness, injury or other incapacity, in accordance with
the Labour Law, provided that you comply with the notification requirements set out in the Company's Sick
and Medical Leave Policy.
11 Termination and Renewal of Employment
11.1 Subject to clause 4.3 above, this contract will be limited and non-renewable following the Expiry Date, hence,
the Company may extend the contract base on the completion of the assigned project, however the duration of
the contract shall not be more than 3 years from the commencement date.
11.2 Notwithstanding clause 11.1, either Party may terminate this Contract at any time prior to the Expiry Date by
providing the other with 1 months' notice in writing.
11.3 Notwithstanding the foregoing, the following applies:
a) the period of notice may be waived either in whole or in part by mutual agreement;
b) the Company may terminate this Contract at any time summarily and without any notice or pay in lieu
in the event of any of the reasons provided for in the Labour Law.
11.4 The Company reserves the right to suspend you for a reasonable period of time of up to thirty days pending
any investigation by it into any allegations of misconduct and/or gross misconduct which may have been
raised against you at any time during Employment, or for longer pending the outcome of any criminal
proceedings in connection with your Employment . In these circumstances, the Company reserves the right to
suspend all or part of your pay for the period of any investigation, in accordance with the Labour Law.
11.5 During any period of notice of termination (whether given by the Company or yourself), the Company shall be
under no obligation to assign any duties to you and shall be entitled to exclude you from its premises.
11.6 On the termination of your Employment (howsoever arising) or on either the Company or you having served

notice of such termination, you shall forthwith deliver to the Company all materials and other property of or
relating to the business of the Company or of any Group Company which may be in your possession or under
your control.
12 Company Policies and Rules
You are required to comply with the Company's policies and rules issued from time to time in the conduct of
its business. Copies of these policies are available in the Company Policies and on its Intranet. In the event of
any conflict between this Contract and the Company's policies, the former shall prevail.
13 Health and Safety
It is your duty to take reasonable care of your own health and safety and for all others who may be affected by
your acts or omissions. It is also your responsibility to report to your Line Manager anything which you
perceive to be a hazard.
14 Severability
If it is determined by a court of competent jurisdiction that any provision of this Contract is invalid or
unenforceable under applicable law, such provision shall be ineffective only to the extent of such invalidity or
unenforceability, without invalidating the remainder of the Contract. The parties intend that, if a court of
competent jurisdiction finds any provision of the Contract overly restrictive or unenforceable as written, it will
reform such provision to the least extent necessary and, as so reformed, will enforce such provision to the
maximum degree permitted under applicable law.
15 Non Waiver of Rights
Any delay by the Company in exercising any of its rights under the Contract shall not constitute a waiver of
such rights.
16 Rights of third parties
Nothing in this Contract is intended to confer on any person who is not a party to this Contract any right to
enforce any term of this Contract.
17 Data Protection & Monitoring
17.1 You consent to the Company and the Group holding and processing both electronically and manually, the data
(including sensitive personal data and information contained in e-mail and e-mail attachments) it collects,
stores and/or processes, which relates to you for the purposes of the administration of your Employment and
management of the Company's business. You also agree to the Company and the Group forwarding this data
for storage, processing, and/or other administrative or business purposes (including through data transfers out
of the UAE) and you consent to the Company and/or the Group disclosing your personal data (including
sensitive personal data) to third parties where such disclosure is for the legitimate business purposes of the
Company or the Group or is necessary for administrative (including but not limited to data processing)
personnel, management, legal and/or regulatory purposes. You have the right to withdraw your consent to the
processing of your personal data pursuant to this clause. If you withdraw your consent, the Company will no
longer process your personal data for that purpose and as a consequence, may not be able to perform this
Contract.
17.2 To ensure regulatory compliance and for the protection of its employees, clients/customers and business, the
Company reserves the right to use, and you agree for the Company to use, surveillance equipment to monitor,
intercept, review and access your telephone log, internet usage, voicemail, e-mail and other communication/IT
facilities, devices and IT equipment provided by the Company which you may use during your employment.
You also agree that this clause shall extend to circumstances where you utilise a personal device for the
purposes of accessing the Company's IT network. The Company will use this right of access reasonably but it
is important that you are aware that all communications and activities on its equipment or premises cannot be
presumed to be private.

18 General Provisions
18.1 You warrant and represent that the particulars contained in any curriculum vitae supplied, qualifications
confirmed and all other representations (whether verbal or in writing) made to the Company in relation to your
Employment or in connection with this Contract are true and not misleading.
18.2 This Contract constitutes the entire agreement between the Parties and supersedes and extinguishes all
previous agreements, promises, assurances, warranties, representations and understandings between them,
whether written or oral, relating to its subject matter.
18.3 On termination of your employment for whatsoever reason, you agree to co-operate with the Company to
cancel your work permit, residence visa and any other official documents procured for you by the Company
for purposes of the Employment.
18.4 Any amendment to this Contract must be made in writing in order to be legally valid. Each Party declares
having received a copy of this Contract duly signed by both Parties.
18.5 Any word in this Contract which denotes the singular shall where the context permits include the plural and
vice versa and references to the male gender shall also include the female gender unless the context otherwise
requires.
19 Choice of law and submission to jurisdiction
19.1 This Contract shall be governed by and interpreted in accordance with the laws in force in the Emirate of
Dubai and any other applicable laws or regulations of JAFZ.
19.2 The Parties hereto hereby submit to the exclusive jurisdiction of the Courts of the Emirate of Dubai with
regard to any claims or matters arising under or out of this Contract and acknowledge that no right of action
exists in any other jurisdiction including, without limitation, the jurisdiction of any Group Company or any
jurisdiction where you are required to undertake activities pursuant to this Contract.

SUMMARY – Band 1 (FTC)
This summary is to provide an indication of your existing benefits on your current DP World Band. Please
familiarize yourself with our HR policies for full details of these benefits.
Overtime: You will be entitled to overtime payment only if you are covered under
the specific provisions in the UAE Labour Law.
Annual Travel: The Company will provide you with the one return Economy Class
excursion air ticket for you between Dubai and the nearest
international airport of your point of origin, home country after 2
calendar years.
Gratuity: Gratuity entitlement will be as per UAE Labour Law.
Medical Insurance: You will be covered for the medical insurance. Please refer to the
Medical User Guide for more information.
Please note that the Company may amend its policies from time to time. Any changes which the
Company may make will not apply retroactively. In particular, changes to the way the Company may
calculate Gratuity will apply from the specified date of the policy change. Any Gratuity accrued prior to any
such changes will not be impact

CONFIDENTIALITY OBLIGATIONS AND RESTRICTIVE COVENANTS
In connection with your employment contract (the "Employment Contract") with Drydocks World - Dubai FZCO ("
Drydocks World Dubai") you are required to give a number of additional undertakings (in addition to the
undertakings set out in the Employment Contract) to Drydocks World Dubai. This letter sets out these additional
undertakings.
Confidential Information
The information that you are required to keep confidential (the "Confidential Information") is any information
concerning (i) the business of Drydocks World Dubai, its parent companies, its subsidiaries and its affiliated companies
(whether domestic or foreign) (together, the "Group"); and (ii) any person having any dealing with any member of the
Group in circumstances in which such member of the Group is subject to a duty of confidentiality in relation to this
information.
Confidential Information may include (but is not limited to):
• processes, techniques, or methods;
• specifications;
• developments;
• records;
• formulae;
• prices;
• legal, financial and accounting information;
• employee wage and salary information and/or information relating to employee conditions of employment;
• technical, sales and marketing information;
• business development information;
• customer, client and supplier details and information;
• computer programs, files, procedure and reference manuals; and
• and any other information communicated to you in circumstances where it is evident that such information is
confidential, whether or not created by you in the course of your employment.
During the period of your employment with Drydocks World Dubai and for an indefinite period after the termination of
your employment, you must not, without the prior written consent of Drydocks World Dubai, unless required by virtue
of the operation of any applicable law or by order of any competent court or governmental agency (of which you must

promptly notify Drydocks World Dubai):
1. directly or indirectly disclose or divulge Confidential Information at any time or in any manner to any person,
except in the course of the proper performance of your employment duties;
2. use Confidential Information except in the manner directed by Drydocks World Dubai from time to time. In
particular, you must not use Confidential Information for your own benefit or the benefit of another party;
3. make any notes or memorandum in relation to Confidential Information other than in the course of performing
your duties or otherwise for the benefit of Drydocks World Dubai; or
4. undertake any external communication in relation to Confidential Information (including, but not limited to,
speaking with the press, or presenting at external seminars or conferences).
You undertake to take all reasonable measures to protect and preserve Confidential Information against unauthorised
disclosure or use and, in particular, to take all practical steps to ensure that only those persons who are authorised by
Drydocks World Dubai are given access to such Confidential Information.
All documents files, manuals and other materials (in whatever form or media) relating to the business or affairs of any
member of the Group which are acquired, prepared or created by you during your employment (whether or not such
documents files, manuals or other materials contain, in whole or in part, any Confidential Information) shall be the
property of Drydocks World Dubai and shall be surrendered to Drydocks World Dubai (together with all copies of the
same) on demand at any time and, in any event, upon termination of your employment.
Please note that breach of confidentiality in the UAE is a crime, and that Drydocks World Dubai may file criminal
complaints against you for any misuse of its Confidential Information.
Intellectual Property
Any inventions, discoveries, ideas, or original works ("Intellectual Property") which you have conceived, developed,
improved, discovered or made or which you assisted in conceiving, developing, improving, discovering or making in
the course of and during the period of your employment which directly or indirectly relate to Drydocks World Dubai's
business or the Confidential Information, shall, as part of your continued duties, be immediately and fully disclosed by
you to Drydocks World Dubai.
You acknowledge and agree that Intellectual Property shall automatically be the sole and exclusive property of
Drydocks World Dubai to the fullest extent permitted by law. To the extent that it does not vest in Drydocks World
Dubai automatically, you agree to assign and hereby assign to Drydocks World Dubai the ownership of all right, title
and interest in the Intellectual Property. Drydocks World Dubai at its sole discretion may apply for registration of the
Intellectual Property, including but not limited to patent applications for any developed invention. At the request of
Drydocks World Dubai, you shall execute all necessary deeds and documents and take all necessary actions to register

and to vest in Drydocks World Dubai (or its nominee) any such Intellectual Property.
Restrictive Covenants
You agree that in consideration of your employment and other valuable consideration, and in order to protect the
Confidential Information and business connections of the Group to which you have access to as a result of your
employment, you covenant that you will not during your employment and for a period of 6 months after the termination
of your employment in the Emirate of Dubai, either on your own account or as a consultant to, or as a partner, agent,
trustee, employee, shareholder, member or director of any person:
1. solicit, induce or attempt to induce any director, manager or employee of any member of the Group, to
terminate his or her employment with such member of the Group whether or not that person would in doing
so commit a breach of that person's contract of employment;
2. approach, induce, solicit or persuade any client or customer of any member of the Group to cease doing
business with such member of the Group or reduce the amount of business which that person or entity would
normally do with such member of the Group;
3. within the Emirate of Dubai, compete directly or indirectly with Drydocks World Dubai, or take a position
with any direct competitor of any member of the Group in any other country which is similar to any position
held at any time at Drydocks World Dubai (the "Non-Compete Undertaking");
4. be involved with the provision of goods or services to (or otherwise have any business dealings with) any
customer of the Group with which you had contact which is in competition with the Group; or
5. do or say anything which is harmful to the goodwill of any member of the Group.
You acknowledge that your failure to comply with the above obligations may result in your employment being
immediately terminated and may also entitle Drydocks World Dubai to take legal action against you for breach of these
obligations. You also acknowledge that the value of the remuneration and benefits referred to in your Employment
Contract have been assessed and are dependent upon you giving the above undertakings. You consider these
undertakings and restraints to be fair and reasonable and for the proper preservation of the goodwill of the business of
Drydocks World Dubai.
These undertakings and restraints are separate, distinct and severable so that the unenforceability of any restraint
does not affect the enforceability of other restraints. You acknowledge in particular that in the event that you breach
any of the aforementioned restrictive covenants, you shall be liable to pay to DP World an amount equal to 6 months of
your Annual Base Salary (as defined in your Employment Contract) as compensation for the damages that will be
incurred by Drydocks World Dubai as a result of the breach. Drydocks World Dubai reserves the right to claim further
compensation in the event that the damages incurred are greater than the compensation provided by you under this
clause.
This letter shall be governed by and interpreted in accordance with the laws in force in the Emirate of
