CLINIQON RCM PRIVATE LTD is excited to extend a conditional offer of employment to you for the position of
Home Health Senior Medical Coder with employment start date of 22-January-2024 supporting our
(Operations Department) business unit pursuant to the terms and conditions set forth in this letter. You
will have an opportunity to play a vital role in our continued growth and we look forward to having you join
our dynamic team. If you accept this offer of employment by signing and dating this letter, this letter shall
constitute your employment agreement with the Company and the principal terms and conditions of your
employment.

This job offer is contingent upon the following:


▪ Your successful completion and certification of all training resulting in a desired performance level
as outlined in the Training Agreement, while maintaining good standing by adhering to CLINIQON
RCM PRIVATE LTD. policies and procedures during training.
▪ Your attendance in the prescribed onboarding and training course is a mandatory and non-
negotiable condition of this employment offer. Requested leaves, absences and tardiness will not
be allowed. Failure to comply with this expectation will result in actions including but not limited to
rescission of this conditional employment offer and termination of employment.
▪ Our securing positive work references from your previous and current employers.
▪ Your submission of all the required legal documents and information outlined in the offer Letter
Addendum that was issued with this conditional offer letter. Your submission of these required items
must be completed within 1 (one) week of signing this offer letter. Failure to comply with these
requirements will result in actions including butnot limited to delays in processing payroll once you
have started and possible rescission of this conditional employment offer and termination of
employment.

JOB DESCRIPTION:

• Analyze patients’ charts carefully.


• Utilize specialized medical classification software to assign diagnosis codes.
• Assign codes to diagnose using ICD-10-CM codes following the PDGM guidelines by CMS.
• Enter coding information in an online program.
• Ensure codes are accurate and sequenced correctly in accordance with government and
insurance regulations.
• Follow up with the provider on any documentation that is insufficient or unclear.
• Communicate with other clinical staff regarding documentation.
• Search for information in cases where the coding is complex or unusual.
• Be updated about new coding rules as codes change from time to time.
• Manage detailed specifically coded information.
• Maintain patient confidentiality and information security.
• Ensure that all codes are current and active.

• Meet daily Coding, OASIS, and POC review production.
• Ensure that Coding, OASIS, and POC documentation is clinically accurate while providing
support throughout the review process.
• Maintain continuing education requirements.
• Perform other related tasks that may be assigned from time to time by the immediate
supervisor.

1. Probation Period
You shall be hired on probation for the initial 6 (six) months of your employment, during which time you
shall be evaluated in accordance with reasonable standards which shall be made known to you at the time
of your engagement. You shall be considered a regular employee after the 6 (six) months probation period
and upon your qualification with said standards.

2. Salary
Your monthly basic salary will be given every end of the month and subject to any deductions that the
Company is authorized or required by law. Any additional payments are entirely at the Company’s
discretion and will not, even in the case of repetition, serve to establish any claim against the Company.
Corresponding deductions for absences will apply.

3. Entitlements

During your Employment Period, you will be entitled to the following allowances which will be paid on a
monthly basis

▪ Internet Allowance of Rs 1,000.00 and Electricity Allowance of Rs 1000.00


▪ Retention Bonus of Rs 10,000 (non-taxable) is provided upon reaching one year of
service with the company. Additional Rs. 5,000 every year thereafter until the 4th year of
service. A different amount of retention bonus is given in the 5th year.
▪ Yearly Performance Appraisal - An increase on the basic pay is dependent on the
performance achievement for the year.
▪ Overtime pay if applicable to your position.

4. Benefits

• 13 Days Paid Leaves per calendar year. Birthday leave is also given. Paid Leaves can be
availed upon Regularization.

▪ Family Leave benefit as prescribed per law for Paternity and Maternity Leaves

The scope and coverage of the Company’s benefits are not permanent and may change from year to year
subject to the company’s discretion and prerogatives.

5. Working Schedule
You agree to devote your full time and best efforts to the business concerns and official affairs of the
Company. In doing so, you shall perform your duties to the best of your abilities competently, efficiently
and diligently.

Your work schedule is from 6:30AM to 3:30PM IST, Monday to Friday.

Full time is defined to mean the regularly established working hours of the Company, plus such overtime
as may be required by the Company. You hereby waive the right to compensation for time lost due to
absences, tardiness and any other causes.

You agree to work on a schedule as outlined by your business unit, and your rest days are permanent
weekends off. Operations follow US Holidays and not India Holidays. The Company reserves the right to
modify your shift according to business requirements. Any change in your work schedule, will be
communicated to you prior to its effectivity.

Due to the need to accommodate several on-boarding and training classes, the Company may require
you to complete your training on a schedule that does not correspond to the work schedule you will have
once you transition to your operations environment.

Work schedule adherence will be enforced as part of your employment requirements.

CLINIQON RCM PRIVATE LTD. defines compensable work schedule hours as:

• All time during which an employee is required to be on duty and to be at a prescribed work place
ready to perform the defined accountabilities of the job; and
• All time during which an employee is required or permitted to work.

As a result, your adherence to a defined work and attendance schedule is a critical part of your
performance expectations as an employee.

6. Employee Agreement on Confidentiality, Non-Solicitation and Protection of Company Assets


By signing this offer letter, you agree to be bound by the Employment Agreement on confidentiality, non-
solicitation and protection of Company Assets, attached hereto as Annex “A”.

7. CLINIQON RCM PRIVATE LTD Rules and Regulations


Upon your employment, you shall be required to observe and follow all the rules and regulations set out
by CLINIQON RCM PRIVATE LTD. You hereby recognize CLINIQON RCM PRIVATE LTD’s right to
impose disciplinary measures or sanctions, based on these rules and regulations and any other
amendments or supplements thereto.

CLINIQON RCM PRIVATE LTD may from time to time, and, after such issuance, discontinue, amend or
change, certain personnel policies, procedures and/or practices as may be determined by the Company.
You agree that such policies, procedures, and/or practices will, when promulgated and issued, form an
integral part of the terms and conditions of your employment agreement with the Company and, as such,
you agree to comply with the same.

8. Separation from the Company


The Company reserves the right to terminate your employment for cause after complying with the due
process requirements. Except in case of termination due to an authorized cause, the Company shall have
no obligation to you other than payment of the portion of your salary for services rendered to the
Company up to and including the effective date of such termination.

Should you have unpaid or pending obligations to the Company, monetary or otherwise, you expressly
agree and authorize the Company to make necessary deductions from the salary, bonuses and any other
amounts or benefits that may be due you, to effect settlement or payment of your obligations through
other legal means should the salary, bonuses and any other amounts or benefits due you be sufficient to
cover your unpaid or pending obligations.

In the event that you decide to resign from CLINIQON RCM PRIVATE LTD, you agree to provide a
written notice to CLINIQON RCM PRIVATE LTD at least Sixty (60) Days before the intended date thereof.
During this period, you shall ensure a proper turn-over of all your duties and responsibilities to other
employees, including any and all company records, documents, properties, equipment and other materials
in your possession and custody.

Failure on your part to submit the two months notice as required by law, and as stipulated in this
conditional agreement, may constitute a breach of your legal obligation, for which the Company reserves
the right to proceed against you for civil, criminal and/or administrative remedies.

10. Conflict of Interest


You shall refrain from engaging in any activity which will be prejudicial to the interest of the Company or
which will interfere with the performance of your job, whether within or outside the office hours.
Furthermore, you will not accept any other employment, position, appointment, or engagement during
the period of your employment with the Company, without the prior written approval of CLINIQON RCM
PRIVATE LTD, whether personal or official activities, that will constitute potential conflict of interest
between the Company and you.

11. Accountability
You agree that all records, documents and properties of the Company or its clients in your custody shall
be immediately surrendered, if requested during employment period, and the termination thereof,
whether or not requested.

You also agree that you shall be held solely responsible, accountable for all funds and properties that are
entrusted to you or otherwise come into your possession by reason of your position and in the exercise of
your duties. Accordingly, you are obligated to return any excess, and restore any shortage to the
Company immediately upon your discovery thereof or when demanded by CLINIQON RCM PRIVATE
LTD.

12. Email/ Personal Computer


The General Manager or his duly authorized representative shall be allowed access to your Company-
assigned personal computer and/or E-mail Account for whatever purpose during the duration of your
employment with the Company, this being expressly understood that such equipment/ account is owned
by CLINIQON RCM PRIVATE LTD.

13. Training Bond


In the event that you voluntarily terminate your employment [i.e., when you resign from CLINIQON RCM
PRIVATE LTD. within the initial Six (6) Months of employment, you shall reimburse the Company for the
actual costs incurred for your Onboarding and Training. You agree that the costs of your Onboarding and
Training shall constitute a charge on any and all amounts due to you from the Company and in the event
that you are made liable for the actual costs and expenses, you hereby authorize the Company to
automatically deduct or offset the same against amounts which may be payable to you by the Company
or any of your moneys or other properties which for any reason, are presently or may hereafter come into
the possession of the Company, or any of its subsidiaries or affiliates. Such amounts serve as liquidated
damages to recompense the Company on its tangible and intangible investments on your Onboarding
and Training. You acknowledge that the costs and expenses which the Company shall incur for the
Onboarding and Training amounts to Ten Thousand Rupees (Rs 10,000.00), consisting among others of
sourcing assessments, background screenings, Onboarding expenses, and applicable training curricula
and materials costs.

You also agree that in the event that CLINIQON RCM PRIVATE LTD sponsors you to a local and/or
international external training, conventions or seminars, the Company has the option to enforce equitable
reimbursement of the cost of such training in the event of your resignation within a specified period of

time in accordance with CLINIQON RCM PRIVATE LTD.’s policy.

14. Severability
Any provision of this Agreement that is invalid, illegal or unenforceable in any jurisdiction shall be
automatically reformed and construed as valid, operative and enforceable to the maximum extent
permitted by law, or if no reformation is permissible, shall be ineffective to the extent of such invalidity,
illegality or unenforceability without invalidating or rendering unenforceable the remaining provisions of
this Agreement, and any such invalidity, illegality or unenforceability shall not, of itself, affect the validity,
legality or enforceability of such provision in any other jurisdiction.

15. Headings
Any subject headings of clauses and/or Sub-Clauses of this letter are included for purposes of
convenience only and shall not affect the construction of interpretation of any of the provisions of this
letter.

EMPLOYEE AGREEMENT

FOR PROTECTION OF COMPANY CONFIDENTIAL INFORMATION

In exchange for the opportunity for employment with CLINIQON RCM PRIVATE LTD. and any of its related
entities, successors, and assigns (collectively "Company") and because I will have access to and learn
Company confidential information as a result of such employment, I agree to the following:

1. Obligations to Prior Employers. I agree that I will not bring to the Company any trade secrets or
property that belongs to any prior employer of mine, and I will not use or disclose such trade
secrets or property in performing work for the Company. I further agree that I will not violate any
valid contractual commitments which I made with any prior employer.

2. Confidential Information of This Company. I acknowledge that during my employment with the
Company, the Company will provide me access to confidential or internal proprietary information
owned by the Company regarding the Company, its customers and suppliers, and its and their
business operations, including, without limitation, the following materials and internal
information (whether or not reduced to writing and whether or not patentable or protected by
copyright): inventions, processes, formulae, programs, technical data, financial information,
customer and prospect lists, information about customers and/or prospects, suppliers, vendors,
key employees, mailing and email lists, trade secrets, and any confidential, internal, or other
information owned by and relating to the Company's or its customers' business (collectively
"Confidential Information"). I promise to maintain the confidentiality of all such information.

3. Misappropriation. During my employment and thereafter, I promise not to disclose or use, or


induce or assist in the disclosure or use of, any Confidential Information except for the benefit of
the Company. In addition, at no time after I leave the Company will I seek to obtain or
misappropriate any of the Company's Confidential Information from any current or former
Company employee or any other source.

4. Return of Property. I agree not to remove any Confidential Information from Company premises
without express permission, and I agree to return all Confidential Information and other property
and items of value to the Company, such as address lists, laptop computer, keys, and credit cards,
immediately at the time my employment terminates for any reason.

5. Customers - Non-Competition/Non-Solicitation. During my employment, I agree that I will not do


anything that would cause the Company to lose business from a customer, and I will not compete
in any manner with the Company. I further agree that within One (1) Year after termination of my
employment with the Company for any reason, I will not, directly or indirectly, either on my own
behalf or on behalf of any other person or entity, disclose or use any Confidential Information to
attempt to persuade, encourage, induce, or solicit any customer of the Company to cease to do
business or to reduce the amount of business which any customer of the Company has
customarily done or contemplates doing with the Company, or to expand its business with a
competitor of the Company.

6. Employees - Non-Solicitation. I further agree that, both during employment with the Company
and for a period of one (1) year after termination of employment with the Company for any

reason, I will not, directly or indirectly, either on my own behalf or on behalf of any other person
or entity, attempt to persuade, encourage, induce, or solicit any person who is an employee of the
Company to terminate such employment, or commence any employment or consulting
relationship with any other employer or entity.

7. Geographical Limitations of Post-Employment Restrictions. I understand and acknowledge that


the post-employment restrictions stated in Clause 5 and 6 of this Agreement shall apply within
India and, to the extent allowed by law, any place where the Company and/or its affiliates operate.

I have read and understood the terms and conditions mentioned in this letter of employment and I
hereby confirm unconditional acceptance of the same.
