CONSTITUTION

ARTICLE 1: NAME.
a) The name of the group shall be LUKHUNA SELF HELP GROUP (LSHG)
b) Address:-516 - 50205, Webuye.

ARTICLE 2: LOCATION OF THE GROUP


Physical address is Lukhuna,Webuye West Sub- County,Bungoma County KENYA.

ARTICLE 3: CONTACT PERSONS

ARTICLE 4: OBJECTIVES.
1. To Promote and ensure the well- being of its members
2. To share ideas among its members.
3. To promote development among its members to ensure average living standards.
4. To promote individual members through loaning basis
5. To encourage and participate in economic activities (Trade) individually or as a
group.
6. To establish social funds to help the needy and bereaved members.
7. To associate and network with likeminded persons or group organizations.

ARTICLE 5: ACTIVITES.
1. Skill training initiatives.
2. Pig rearing
3. Business
4. Merry-go round / Welfare Services
5. Networking and Collaboration

ARTICLE 6: MEMBERSHIP.
a) He /She must be a Kenyan Citizen aged 18 years and above and of good conduct.
b) He /She must pay kshs. 700/= registration fee and a monthly subscription as
regularly decided by the group
c) He /She must pay kshs. 100/= fortnightly OR kshs. 1000/= as maximum Share
contribution monthly
d) He /She must pay kshs. 50/= fortnightly OR kshs. 100/= monthly contribution
towards social fund.
e) He /She must participate actively in the group’s activities.
f) A member shall be expelled from the group in case of misconduct
g) He /She must adhere to the group’s core values:-Honest, commitment,
innovation and self-drive.

ARTICLE 7: OFFICE BEARERS


The group’s office-bearers shall be:-
1. a) Chairperson b) Deputy Chairperson c) Secretary d) Deputy Secretary
e) Treasurer f) Project Coordinator.
2. The tenure of office shall be three (3) years
3. The office bearers:-
a) Must be active before they are re-elected
b) He/she may be re-elected
c) An office bearer can be removed from office in case of misconduct.

ARTICLE 8: DUTIES OF OFFICE BEARERS


a) THE CHAIRPERSON
The chairperson shall:-
-Preside over all meetings of the group
-Be the executive head and spokesperson of the group.
-Be a signatory of all the financial transactions

b) THE DEPUTY-CHAIRPERSON
-Shall assume all duties of the chairperson in his/her absence.
-Arranges venues of meetings
-The M.C of the day
-Shall act as a Welfare Representative

c) THE SECRETARY
The secretary shall:-
-Deal with all the correspondence of the group
-Issue notices convening all the meetings
-Be responsible for taking minutes and keeping records
-Be a witness to all financial transactions

d) THE DEPUTY- SECRETARY


-Shall perform all duties of the Secretary in his/her absence.
-Shall act as the time keeper
-Collect all fines and hand them to the treasurer

e) THE TREASURER
The treasurer shall:-
-Receive and disburse all monies belonging to the group and shall issue receipts for
all the monies received.
-Ensure that proper books of accounts are kept.
-Prepare financial statements which shall be presented at all annual general meetings.
-Be a witness to all financial transactions

f) PROJECT COORDINATOR
The Project Coordinator shall:-
-Be responsible for collaborating all the activities of the group
-Initiate and implement projects in the area

ARTICLE 9: MEETINGS
a)There shall be four(4) classes of meetings:-
-Committee Meetings (CM)
-Action meetings (AM)
-Annual general meetings (AGM)
-Special general meetings (SGM)
b) Meeting Procedures
-Preliminaries
-Roll call/attendance
-Matters arising
-Weekly Savings
-Table banking
-Discussion of the day’s agenda
-A.O.B
-Adjournment
f) The quorums for the Action, SGM and AGM is 2/3 while executive committee
meetings is 1/2.

ARTICLE 10: FUNDS.


a) Sources of funds
The group shall get its funds from:-
i) Members fees iv) Fines vii) Property Sales vii)
Profits
ii) Subscriptions v) Borrowing viii) interest on loans
iii) Grants vi) Donations ix) shares
b) The funds of the group shall be kept in the Bank
c) Expenditure
The group funds shall be used for:-
i) Administrative costs iii) Lending v) Dividends
ii) Project investment iv) Social funds
-Lending to members shall be done after every two weeks. Any other expenditure
shall be done as need arises
-The committee shall authorize all payments with the approval of the executive.
-The books of accounts and documents relating thereto and a list of members of the
group shall be available for inspection after every three months.

d) Savings
-Shares shall be used for the purposes of business and personal use
-Shares shall be between 1-5 maximum with one single share equivalent to kshs.

-Shares shall be counted by two money counters, recorded by the record keeper
and kept in the bank under the custody of the box keeper (Treasurer)

e) Loans
1. Terms and conditions of loan facilities by the group to members shall be
developed by the executive committee (E.C)
2. A member who desires to borrow money from the group shall be in
consideration of the prevailing economic environment complete the prescribed
application in duplicate upon paying an application fee of kshs 20/=.
3. The applicant MUST have saved for at least four (4) consecutive weeks
(1 month)
4. The applicant MUST have two (2) guarantors who must be active members of
the group if the amount borrowed is three times more than his/her shares
5. The applicant MUST HAVE A GOOD loan repayment record with the group
6. Any borrowing by the member must not exceed three (3) times the total value
of a member’s paid up shares.
7. No member should guarantee more than two borrowers at any one time.
8. The borrowed sum shall be charged a simple interest of 10% of the balance
9. Loans are payable within one month (30) days from the date of disbursement
10. The amount of loan given to the member will depend on the conditions
specified above and availability of funds. In this connection, the decision
made by the committee in charge of loans will be paramount and final.
11. Shall the loanee default to pay the loan and/or interest within 60 days; the total
amount shall be recovered from the loanee’s share contribution plus that of
his/her guarantors if the loanee’s net contribution is inadequate.
12. Members savings cannot be used as collateral - ( security) in the event of
a group loan.
f) Welfare/ Social Fund
In case a member dies, the group will calculate how much money should be given
to the heir using the following principles
-DEATH OF A MEMBER – He/she will be given own share plus kshs 2000/=
from Welfare/Social funds.
-DEATH OF A CHILD OF A MEMBER - kshs 2000/= from Welfare/social
funds.
-SPOUSE OF A MEMBER - kshs 2000/= from Welfare/social funds.
-ACCIDENT/SICKNESS - Each member to contribute kshs. 100/=
-CELEBRATION - Each member to contribute as per needs

f) Profits
a. Dividends shall be given in accordance with the profits accrued from the
investment at the end of the financial (cycle) year during the general meeting.
b. If a member leaves the group because he/she has no alternative, the group will
calculate the amount he/she is paid using the laid down guidelines in the by-
laws.

ARTICLE 11: ELECTIONS


Elections shall be held at the end of every three years at the Annual general meeting
or end of cycle and:-
-By –elections whenever falls a vacancy.
-Voting will be by secret –ballot
-Elections will be presided over by a member nominated by the meeting.
-The quorum for the meeting will be two thirds (60%) of the members
-The Patron, opinion/spiritual leaders shall be observers during the elections.

ARTICLE 12: GROUP BY LAWS


The group by laws shall emanate from all sub – items mentioned herein and shall
carry penalties.
They include but not limited to the following:-
a) Expulsion from the group
The reasons from which a person should be expelled from the group are as follows
-Not able to follow the rules set by the group
-Failure to repay the loan after the grace period has elapsed
-Cannot be able to attend three (3) consecutive meetings
-Misconduct
b) Fines
The following table lists the fines that can be charged by offences committed by
members.

ARTIARTICLE 13: AMMENDMENTS


Amendments to this constitution must be approved by not less than two thirds (60%)
majority of members at a special or annual general meeting of the group.

ARTICLE 14: DISSOLUTION


-Must be done at the general meeting.
-It can only take place after all the assets and liabilities have been shared out
proportionally
-A member shall benefit according to his/her shares/investments
-A recognized auditor shall be hired to audit books of accounts and assets/liabilities.
-The SSDO/official shall be consulted for approval of the dissolution, 14 days after
the auditor’s
report.

MINUTE 1/ 26/1/25 PRELIMINARIES

The meeting was opened by prayer from Margaret Nasimiyu then followed by self-introduction lead
by the chairperson.

MINUTE 2/9/1/25 READING AND CONFIRMATION OF THE PREVIOUS MINUTES

The secretary read the minutes where members confirmed that they are the real minutes that were
true. Batton Wafula proposed while Ezekiel Wanyonyi seconded the minutes.

MINUTE 3/9/11/23 MATTERS ARISING


The meeting was informed by the group officials that plans for registering and opening of the group’s
bank account are ready for it was the day of this meeting that it will be deliberated.
MINUTE 4/9/11/23 GROUP REGISTRATION
Members decided to register the group in the ministry of social services in order to participate fully in
its activities legally. They agreed to contribute towards the process of registration and at the same
time gave the mandate the group officials to proceed and register the group immediately after this
meeting.

MINUTE 5/9/11/23 OPENING OF GROUP BANK ACCOUNT


The committee thought it wise for the group to have a Bank account number. Those who were in the
meeting had several suggestions on which bank to open and therefore they resolved to vote for the
preferred bank. The results were as follows:
 Equity 2votes
 KCB 2 votes
 Cooperative bank 13 votes
As a result cooperative bank was the preferred bank to the members.
The two signatories can withdraw from bank account but the treasurer is mandatory others are as the
appear in in the table below.
