CONSTITUTION

OF
THAYU WOMEN
GROUP
1. NAME OF THE GROUP

 The group shall be officially known as THAYU WOMEN GROUP

2. LOCATION

 Physical Location: Muigai-Inn, Kalimoni Ward


 Postal Address: P.O. Box 799, Ruiru

3. PURPOSE OF THE GROUP

 To empower women socioeconomically through structured savings and investment.


 To provide financial and moral support through welfare contributions.
 To create a safe and supportive environment that promotes unity, development, and
economic independence among women.

4. GOALS

 To encourage disciplined saving and responsible borrowing.


 To engage in sustainable income-generating activities such as poultry farming and merry-
go-rounds.
 To build a strong network of women for mutual empowerment.
 To uplift the living standards of members through collective action.

5. CORE VALUES

 Unity – Embracing a spirit of togetherness and collective responsibility.


 Respect – Valuing each member's dignity, opinions, and contributions.
 Transparency – Promoting accountability in all financial and administrative matters.
 Discipline – Adhering to the constitution and group norms.
 Commitment – Active and consistent participation in group affairs.

 Merry-Go-Round
 Poultry Keeping
 Capacity Building
 Community Engagement.
7. MEMBERSHIP

Eligibility Criteria:

 Must be a woman aged 18 years and above.


 Must be a permanent resident of Muigai-Inn.
 Must possess a valid National ID card.
 Must be of sound mind and approved by existing members.

Registration Requirements:

 A one-time, non-refundable registration fee of Ksh 3,000.


 Agreement to adhere to the constitution and values of the Group.

Membership Obligations:

 Monthly savings contribution: Ksh 1,500


 welfare contribution: Ksh 500
 Timely attendance and payment of dues.
 Active participation in group activities.

Membership Rights:

 Right to vote, be elected, and participate in decision-making.


 Right to access internal loans and group welfare.
 Right to inspect financial records upon written request.
 Right to exit the group with due refund (as per Clause 10).

8. WELFARE CONTRIBUTIONS

 Each member shall contribute Ksh 500 where there is need.


 The fund shall support bereavements and hardships affecting members.
 Disbursement is subject to approval by office bearers.
 Only members in good standing are eligible for welfare assistance.

9. MEETINGS

 Regular meetings shall be held on the 2nd Sunday of every month.


 Special meetings may be called by the Chairperson or upon request by 1/3 of members.

Meeting Agenda Includes:

 Review of financial reports and loan updates.


 Progress on poultry and other income-generating projects.
 Welfare status and disbursements.
 Disciplinary cases.
 Election matters when due.
Quorum:

 At least 50% of registered active members must be present to constitute a quorum.

10. MEMBER WITHDRAWAL

 A member intending to leave must give written notice.


 20% of their total savings will be retained by the Group as administrative costs.
 The remaining 80% will be refunded within 30 days, less any outstanding loans or
penalties.

11. MEMBER DISCIPLINE

 Fines for misconduct:


o Absenteeism without apology: Ksh 100
o Disruptive behavior: Ksh 50
o Phone usage during meetings: Ksh 30
 Serious offences may lead to suspension or expulsion, as decided by the Disciplinary
Committee.
 A member has the right to appeal any disciplinary action.

12. OFFICE BEARERS AND DUTIES

a) Chairperson

 Provides leadership and presides over all meetings.


 Oversees implementation of resolutions.
 Represents the group in external engagements.
 Signs documents and ensures unity among members.

b) Vice Chairperson

 Assists the Chairperson and steps in during their absence.


 Coordinates group projects and maintains order.
 Encourages discipline and member engagement.

c) Secretary

 Prepares meeting agendas and records minutes.


 Manages all group correspondence and documents.
 Keeps an updated list of members and attendance records.

d) Treasurer

 Collects and records all financial transactions.


 Prepares monthly and annual financial statements.
 Maintains group bank account and ensures safe custody of funds.
e) Members

 Participate in meetings, elections, and group activities.


 Abide by the constitution and respect group leadership.
 Ensure timely payments of savings and welfare.

13. TERM OF OFFICE

 Office bearers shall serve for a 3-year term.


 They are eligible for re-election only once (maximum of two terms).
 To qualify, a candidate must be a fully paid-up member for at least one year.

14. FINANCIAL MANAGEMENT

Sources of Income:

 Registration fees
 Monthly savings and welfare contributions
 Penalties and fines
 External donations or support

Use of Funds:

 Member loans
 Welfare and emergency support
 Operational costs
 Investment in group projects (e.g., poultry)

15. GROUP ASSETS

 All assets are jointly owned by the Group.


 Inventory shall be maintained by the Treasurer.
 In case of dissolution, assets will be shared based on individual savings ratios.

16. RECORD KEEPING

 Maintained by the Secretary and Treasurer.


 Records include:
o Membership register
o Savings and loan logs
o Welfare contributions
o Meeting minutes
o Project updates

17. ELECTIONS
 Held every 3 years under supervision of a member-appointed election committee.
 May be conducted via secret ballot or open vote.
 Results shall be final unless contested within 7 days.

18. DISPUTE RESOLUTION

 A Disciplinary Committee of 3 impartial members shall handle disputes.


 If unresolved, external mediation may be sought upon member agreement.
 All outcomes must be documented and signed.

19. AMENDMENT OF THE CONSTITUTION

 Requires approval by two-thirds majority of members present.


 Must be done in a meeting with at least 70% quorum.
 May only occur once every 3 years unless necessitated by law or crisis.

20. INDEMNITY

 The group bears collective responsibility for decisions and liabilities.


 No member shall be individually liable for group debts or legal claims.

21. DISSOLUTION

 May be dissolved by mutual agreement of all active members.


 Requires a 90-day written notice and settlement of all debts.
 Any remaining funds or assets shall be distributed according to each member’s savings
contributions.
