THE CONSTITUTION OF NYAWITA AMAZING GRACE SELF HELP

GROUP

Articles;
01. NAME
The name of the Organization is NYAWITA AMAZING GRACE SELF HELP GROUP
02. ADDRESS
The address of the organization shall be P.O. Box 1171 – KISUMU.
03. LOCATION
The registered office of the organization will be ST. PETERS ACK NYAWITA
04. AIMS AND OBJECTIVES
a. To empower and equip adults, youth and people living with disabilities ( PWD ) within the
community to take control of their lives through pioneering approaches to promote economics
skills and opportunities in the business sector including small and micro / medium
entrepreneurship initiatives
b. To provide and build capacity for skilled development in various business ventures both
individually and collectively
c. Establish table banking initiatives through formation of Merry-Go-Rounds.
d. Collaborate and support other organizations with programmes which promote self-sustenance
and self sufficiency
05. MEMBERSHIP

Recruitment of members takes into account the following;

 Open to community members who are adults, youth ( 18 – 35 years ) and people living
with disabilities ( PWD )
 Payment of membership and annual contributions as agreed by Group Members
 Must understand mission, vision and objectives of the organization
 Be able to attend meetings, if unable should inform office bearers early
06. MEMBERSHIP FEES

Membership fees shall be charged as follows;


Youths – 300
Adult – 300
People living with disabilities ( PWD ) – 300
07. MEMBERSHIP PRINCIPLES

 Membership is official upon payment of full membership fees or as agreed upon by the
group members
 Any member who fails to pay the required fees due to illness or any other good and
reasonable course shall be allowed to keep membership until he/she recovers, otherwise
he/she shall be struck of the members register. The office bearers in consultation with
other members may at its discretion re-instate such a member on payment of outstanding
arrears
 Any member who fails to attend a meeting should inform the office bearers in good time
and so with an apology indicating reasons
 Any member who fails to attend a meeting without an apology shall be fined Ksh. 20/-
 Any member who fails to attend 3 consecutive meetings with or without an apology shall
be asked to show cause why he / she should not be struck of the members register as it
shall be deemed that the said member is not interested in the group activities and growth.
08. ORGANIZATIONAL STRUCTURE
The organization shall have a structure, which includes various office bearers duly elected by
members and these are;
i. The chairman
ii. Secretary
iii. Treasurer
iv. Organizing Secretary
Duties and responsibilities of office bearers

The chairman

 Preside over all meetings


 Represent the group in various programmes
 Institute committees as necessary to address matters arising from the group’s operations
 Signatory to group accounts, financial transactions and documentation
 Maintain group agenda
 Ensure monitoring and evaluation of group activities
 Resolve meetings and committees
 Enable / ensure accessibility to and auditing of organizational financial transaction and
documents
The Secretary

 Keep minutes of all meetings, member register and relevant group records
 Issue notices convening all meetings and arrange meeting points
 In charge of all aspects of communication within the group and outside
 Maybe a signatory to financial transactions as need may arise
 Perform any other duties assigned by the chairman or group members
The Treasurer

 Custodian of group funds and records of all transactions


 Deposit and withdraw group funds in a bank approved by all members
 Undertake audit of financial transactions
 Prepare financial report and analysis as required
 Ensure funds, expenses and other budgetary items are sound and updated in a timely
manner
 Perform any other duties assigned by the chairman or group members
Organizing secretary

 Mobilize members for activities


 Plan group activities together with other office bearers
 Undertake field visits to monitor activities and identify challenges to be addressed by
group members
 Plan and coordinate group activities
 Perform any other duties assigned by the chairman or group members
09. TENURE OF OFFICES AND VACANCIES

Office bearers shall be elected and hold office for one year, they maybe re-appointed for other
terms by group members

10. ELECTIONS

a) Conducted every one year


b) Voting will be by balloting
c) Names of office bearers shall be proposed without a secret ballot
d) A non-member will not vote during elections
11. DISQUALIFICATION OF OFFICIALS / MEMBERSHIP

Official or member shall cease to be a member if

He / she resigns via notice / through a written notice


He / she is incapable / incompetent in carrying out official duties
He / she is incapacitated by prolonged illness or is of unsound mind
Upon conviction of any offense and is sentenced to more than 6 months without the
option of a fine
He / she dies
12. MEETINGS
There shall be 3 types of meetings
o REGULAR MEETINGS
Convened once a week by the chairman who’ll preside over it or in his / her absence a
designated member shall preside

o SPECIAL MEETINGS
Convened at any time a pressing issue arises but must have the presence of the chairman
and two thirds of members
o ANNUAL GENERAL MEETINGS
Convened at the end of every year and must be attended by all office bearers and
members. Reports of financial accounts, budget proposal and reviews among others shall
be present in this meeting.
13. MEETING GUIDELINES

 Agenda of the meeting and meeting point shall be communicated to members seven days
in advance
 Meeting shall be conducted in; Kiswahili, English and Luo if necessary
 Members are expected to be punctual, act with decorum and offensive language or
gestures shall not be tolerated.
 Resolutions shall be made by unanimous decisions in case of no unanimous agreement,
then the chairperson will have an extra vote in order to break the tie
 In absence of the chairperson, members present will elect a person to preside over the
meeting
14. FUNDS

Sources
The group depends on its own self-initiated fund-raising activities, membership subscription,
table banking initiatives and donations.
Custody of funds
The funds of the group shall be banked in a bank approved by members
Withdrawal of funds
Any withdrawal shall bear the signatures of approved signatories
Payments of funds
No payment shall be made out of the bank without approval of the office bearers after they have
consulted group members.
Any office bearer or signatory to the funds who shall have misappropriated funds will be
suspended and their powers as signatories revoked.
Expenses of funds
 Funds shall only be used for purposes of developing group activities
 A majority of members must vote to authorize usage of said funds for emergency
purposes or proper causes
 Funds can also be used for reasonable operational expenses by approved and designated
office bearers
15. DISSOLUTION OF THE GROUP
i. The organization shall not be dissolved except once it has attained its vision, mission and
objectives
ii. In cases where a section of members feels the need to dissolve the group, they are entitled
to;
 Resign
 Request for a special meeting where the modalities of their resignation shall be
discussed
 Members wishing to dissolve the group shall not force other members to follow
suit as those not willing to dissolve the group still maintain the right to continue
on with the groups vision, mission objectives
16. ARBITRATION

In cases of any differences that can not be ressolved within the group, the group may refer the
matter to the office of social services for arbitration.
