TERMS AND CONDITIONS
Article - 1: Scope
The scope of work is restricted to supply, packing, forwarding of Equipments as per agreed BOQ, drawings
and technical specifications.
Article - 2: Offer Validity
Sellers Offer is valid for 30 days from the date of the Offer after expiry of which it will be subject to
confirmation/ revision, if any from Sellers end.
Article 3: Taxes, Duties and Statutory Variations
All taxes and duties shall be extra at actual. All sort of statutory variation including change, addition, deletion,
abolition, repeal or reclassification due to change in Law and/ or directive of authorized agency shall be
exclusively to the Buyers account.
Article - 4: Terms of Payment
Twenty Percent (40%) of Contract Price as interest free advance along with purchase order.
Sixty Percent (60%) with 100% duties and taxes against proforma invoice after inspection before dispatch.
Article - 5: Testing Charges/ Inspection
The necessary Routine /Acceptance Tests as per the latest IS/IEC with its latest amendments will be carried
out at Schneider works.
We shall arrange to give you ONE-WEEK advance intimation for deputing your representative to carryout the
necessary pre- dispatch inspection of the equipment(s) if so desired by you. Expenses incurred on account of
Inspection (i.e. fooding, lodging and logistics) for the product / equipment shall not be in the scope of
Schneider Electric Infrastructure Limited.
All routine tests will be done as per IS. No special type test has been offered. All inspection related charges
shall like boarding, travel shall into customer scope.
Article - 6: Completion Period
The Supplier shall complete the ex-works delivery in 12 to14 Weeks from the date of drawing
approval/manufacturing clearance.
Article - 7: Drawing submission schedule
Document / Drawing for approval shall be submitted within 2-3 weeks from the date receipt LOI / PO or along
with the advance
Article - 8: Overall Limitation to Liability
Notwithstanding anything in the Contract to the contrary and to the extent permitted by applicable law, (a) in
no event shall either Party, its officers, directors, or employees be liable for any form of incidental,
consequential, indirect, special or punitive damages of any kind, or for loss of revenue or profits, loss of
business, loss of information or data, or other financial loss, whether such damages arise in contract, tort or
otherwise, irrespective of fault, negligence or strict liability or whether such Party has been advised in advance
of the possibility of such damages; and (b) the maximum liability of the Seller for any and all claims, losses,

damages, costs and expenses arising from or on connection with this Contract shall not exceed the amounts
actually received by the Seller under this Contract.
Article - 9: Warranty
We warranty the panels against faulty design, bad quality of material, bad workmanship for a period of 12
months from the date of commissioning OR 18 months from the date of dispatch, whichever is earlier.
Article - 10: Freight and Transit Insurance
The FREIGHT and TRANSIT INSURANCE shall be extra at actual.
Article - 11: Supervision of Erection and Commissioning
Advance intimation of at least 7-10 days is required for supervision at Site. Supervision charges shall be Rs
15000/- per man day. Travel expense (to and fro) and stay charges at actual and to be borne by the
purchaser.
