Terms and Conditions
Life Circle Health Services Pvt. Ltd. acting through its authorised representative (from now on referred to as 'Life Circle' which expression shall unless repugnant to
the context mean and include its successors, afliates, subsidiaries Franchisees, legal representatives and assignees), of the one part. and 'Client' as per the
details mentioned in this form under "Client Information" (from now on referred to as “'Client'”) of the other part.

'Life Circle' enables Home Nursing, Professional Caregiving and allied medical services to the person(s) who need such services (hereafter referred as 'Patient')
through 'Caregiver'(s) and 'Nurse'(s) who are independent service provider (hereinafter referred to as “Caregiver").
The signatory of “Client Enrollment and Agreement Form: Home Nursing & Professional Caregiving Services” has approached Life Circle with a request to provide
services as per the scope mentioned in this agreement.
A. The scope of Services: Life Circle shall facilitate the services of Caregiver for various health and paramedical and allied services and details of services are
provided `Service Scope' mentioned in Section -3 of Client Enrollment and agreement form and further elaborated in Client Information booklet attached with this
enrollment agreement.
B. Patient's/Client's Responsibilities: 1. Provide a safe and secure environment at Patient's home for Caregiver to operate. The Patient/Client shall take full
responsibility and care to ensure that there is no verbal, mental or physical harassment or abuse of the Caregiver at Patient's location including not exposing them to
any hazardous and infectious work environment. 2. Treat Caregiver as paramedical professional and not utilise him/her for jobs outside the scope of work (Further
described in Patient Information booklet). 3. Keep Life Circle representative informed about any misconduct or failure of the Caregiver to comply with the
undertaking mentioned in Patient Information Booklet. 4. Take full responsibility for the safety and safekeeping of Patient's goods and belongings. 5. Allow only Life
Circle authorised personnel and Caregivers entry into Patient's home. 6.Register the Caregiver with the local police station as an additional precautionary
measure7. Not to lend money or make unauthorized payment to the Caregiver or Life Circle staff. 8. Provide Caregiver tools and equipment to carry out his/her job
including “Personal Protective Equipment” like disposable gloves, masks, apron, etc. to care for the Patient. 9. Inform Caregiver and Life Circle medical team if the
Patient is suffering from any infectious disease like TB, HIV/AIDS, Hepatitis which can adversely affect the health of the Caregiver or the medical team. 10. Provide
immediate medical attention to Caregiver in case of any sickness or accident and inform Life Circle representative without any delay. 11. Not to keep the Caregiver
against her/his wishes. Retaining Caregiver against her wishes construes illegal detention, and only the Client will be responsible for any contingencies arising
from the behavior of the Client or any harm done to the Caregiver. 12. Provide food and accommodation for Live in Caregiver (Further described in Patient
Information Booklet).
C. Services Charges & payment: 1. Life Circle charges one time, non-refundable, enrolment fees.2. Life Circle collects payment in advance for providing services.
3. For Long-term engagement, all invoices would be done as per the invoice cycle. The Client is required to make the payment on or before the due date. Delay in
payment would entail interest at the rate of 15 percent per annum and may also lead to suspension of service. 4. For Fixed Period engagement, the Invoice would be
raised for the complete duration of the Service. 5. Invoices will be sent by email only. 6. All payment by the client should be made in favour of Life Circle authorised
Home Healthcare Service Provider. 7. Life Circle's representative is not encouraged to accept cash payment for the services and any payment made to Life Circle
staff is done on Client's risk. 7. Life Circle's staff are not allowed to receive partial payment against the invoice. Clients are requested to make full payment as per
the Invoice value. 8. Upon realization of payment, Life Circle, will email the payment receipt to the Client.9. In case of Cheque dishonor, Life Circle would collect
Rs. 500.00 as a penalty over and above invoice value. 10. Service Charge would under go annual increase of 12% on the base price.
D. Agreement Termination: 1. This Agreement will be in force from the date signed until terminated by either party. 2. The Client may terminate the Agreement at any
time, without cause, but with seven days prior written notice (e.g. e-mail, letter, etc.) to Life Circle or payment in place of the notice. In case, the Client terminates
the Agreement with less than seven days prior notice, Life Circle would retain seven days advance payment and refund the balance amount. 3. The agreement
would automatically terminate in case of unfortunate demise of the Patient. In such cases, Life Circle would retain one-day advance payment (instead of seven
days) and refund the balance amount. The Client cannot keep the Professional Caregiver at Patient's home after the demise of the Patient. 4. The Client may
terminate the Agreement if Life Circle is not able to provide Services as per the scope mentioned in the agreement. In such cases, Life Circle would refund advance
payment to the Client for days services not rendered to the Patient. 5. This Agreement will automatically terminate (without giving any notice) if payment not
received from the Client for Service renewal.6. Life Circle would terminate the agreement, in case, the Client has not fullled the obligation as mentioned in this
agreement and the patient information booklet. In such cases, Life Circle would retain seven days advance payment of the Client and refund the balance amount to
the Client. 7. Payment refund, if any, shall be done within 15 working days of Agreement termination. All payment would be made by NEFT/A/c payee cheque
in favor of the Client or Patient only.
E. Disclaimer/Waiver/Hold Harmless/Limitation of Liability: 1. The Client's use of Life Circle services shall be at his/her own risk. Additionally, Life Circle does not
exercise direct control or discretion over Caregivers while working at Patient's home and disclaims all responsibilities for Caregiver's conduct or omissions. The
Client shall be solely responsible for their safety and the safety of patient's goods. 2. The Client may note that Life Circle has no quality control over third-party
products & services such as drugs, diagnostics, etc. and shall not be responsible or liable for products or service quality deciency. 3. By signing this agreement,
the Client waives and releases Life Circle and its directors, agents, employees, ofcers, attorneys, representatives and afliated entities from all liability, including
but not limited to liability arising from negligence or the actions of the Caregiver. In case of any negligence or misconduct or criminal act, the Client shall be at liberty
to take appropriate legal action against the Caregiver. 4. Neither party to this Agreement shall be liable to another party to this Agreement for consequential,
incidental, exemplary, punitive, special or indirect damages of any kind.
F. Condentiality, Non-Solicitation, And Theft of Caregiver Services: The Client will not enter into any direct or indirect negotiation and agreement with the Caregiver
and shall not try to establish a direct relationship with Caregiver independent of this Agreement which has the effect of bypassing/avoiding Caregiver's or Client's
obligations to Life Circle during and for six months after the expiry or termination of this Agreement. The Client agrees that if a Caregiver tries to directly contact
him/her for providing Services by bypassing Life Circle or if the Client seeks to hire or otherwise engage the Caregiver's services directly, Life Circle shall not be
responsible for Services under this Agreement. Further, violation of this clause shall constitute theft of services and the Client will be liable for payment of damages
to LifeCircle. In such situations, Life Circle shall not be responsible for Services under this Agreement and this Agreement shall stand terminated and the Client will
forfeit refund any payment etc. from Life Circle.
G. No Oral Modication: No amendment or variation to this Agreement shall take effect unless it is in writing, signed by authorised representatives of each of the
Parties.
H. Incorporated documents: Life Circle Patient Information Booklet currently in place or revised in the future are incorporated into this Agreement by this provision.
J. Disputes: Courts in Delhi alone shall have exclusive jurisdiction to adjudicate upon matters arising under this Agreement.
K. Other terms: 1. This Agreement does not create or imply any relationship between the parties beyond the services described herein. 2. The Client hereby conrms
that he has received the Patient Information Booklet and read the same and also agrees with the same which forms part of this agreement and this agreement
comes into effect on the date and place of signing the“Client Enrolment and Agreement: Home Nursing & Professional Caregiving Services”.

1. Mission
The mission of Life Circle is to be India’s leading and trusted Home Healthcare Services Platform
connecting chronically ill and bedridden Patients to nurses, caregivers and allied medical services
providers.

2. Home Healthcare worker engagement with Life Circle

A “Home Healthcare Worker” is not an employee of Life Circle but a business partner. A Home Healthcare
Worker, while working, is employed by Life Circle’s Clients. Life Circle, through its software application
and medical team, assists, Life Circle empanelled Home Healthcare Worker to search, find and provide
caregiving, nursing or allied medical services to Life Circle Clients.

3. Engaging Home Healthcare Worker for the first time

If you are engaging a Home Healthcare Worker for the first time, talk to Life Circle’s Nurse Officer about the
following aspects related to the patient. The Nurse Officer will frame a Personalized Care Plan based on them.

• Patient’s condition

• Activities of Daily Living

• Mobility assistance – use of wheelchair/walker

• Toileting needs

• Physiotherapy and exercise

• Engaging the Patient in meaningful activities

• Managing medication

• Nutrition and diet

• Challenges that the caregiver may face because of the patient’s condition

4. Role of a Life Circle Nurse Officer


Nurse officers of Life Circle are expected to train the Home Healthcare Worker if she is not aware or skilled in any
of the specific activity in the care plan. The Nurse officer shall guide, educate and support the Home Healthcare
Worker so that they build Patient-specific knowledge, skills and attitude.

During a visit, the Nurse Officer checks the patient’s vital signs, solicits feedback from the patient or the family and
the Home Healthcare Worker. The feedback informs us of the progress of the patient, care provisioning gaps of
the specific Home Healthcare Worker and the relation between the patient, her/his family and the Home
Healthcare Worker. We use these inputs to make necessary changes: in the way we guide, educate, support the

Home Healthcare Worker. The visit is crucial to keep the Home Healthcare Worker motivated, as well as meet
patient's care needs.

5. Service scope of Home Healthcare Worker - Caregiving & Nursing Services

6. Client’s responsibilities

Provide a safe and secure environment at Patient’s home for the Home Healthcare Worker to operate.

exposing them to any hazardous and infectious work environment.

• Treat the Home Healthcare Worker as a paramedical professional and not utilise them for jobs outside

Worker to comply with the undertaking mentioned in the Client Information Booklet.

and inform Life Circle representative without any delay.

Worker against her wishes construes illegal detention, and only the Client will be responsible for any
contingencies arising from the behaviour of the Client or any harm done to the Home Healthcare Worker.

• Provide food and accommodation and adequate rest to Live-in Home Healthcare Worker.

7. Service charges & payment

• Life Circle charges one time, non-refundable, enrolment fees.

• Life Circle collects payment in advance for providing services.

• For Long-term engagement, all invoices are generated as per the invoice cycle. The Client is required
to make the payment on or before the due date. A maximum of 7 days credit is provided for making the
payment.

• For Fixed Period engagement, the Invoice would be raised for the entire duration of the Service.

• Invoices will be sent by email only.

• Life Circle's representative is not encouraged to accept cash payment for the services and any
payment made to Life Circle staff is done on the Client's risk. Also, Life Circle shall levy collection charges.

• Life Circle's team are not allowed to receive partial payment against the Invoice. Clients are requested
to make full payment as per the Invoice value.

• Upon realisation of amount, Life Circle will email the payment receipt to the Client via email.

• In case of Cheque dishonour, Life Circle would collect Rs. 500.00 as a penalty over and above invoice
value.

• Delay in payment would entail late payment charges of Rs. 500/week and may also lead to suspension
of Service.

8. Home Healthcare Worker Attendance & Leaves

• Home Healthcare Workers are required to mark the attendance by giving a call from their registered
mobile number to Life circle attendance number +91 40 71012040.

• The Live-out Home Healthcare Worker needs to make the call at the beginning and end of the shift.

• The Live -In Home Healthcare Worker needs to make only one call per day. The attendance call should
be made between 6 am -11 am every day.

• In case the Home Healthcare Worker is coming late to work, please inform Life Circle Care
Coordinator by phone or email. Please also release the Home Healthcare Worker on time so that he/she
can reach her home/hostel on time.

• Leaves: We expect Home Healthcare Worker to take permission from the client and inform Care
Coordinator, in advance, if he/she wants to take leave. In the case of un-announced absence, Life Circle
tries it's best to find a comparable replacement in the shortest possible time.

• Home Healthcare Worker who are engaged for the long term with the client should be provided
weekly off. Life Circle would arrange for a replacement Home Healthcare Worker on such days.

• Outstation Journey If the client wants to take the Home Healthcare Worker on an outstation journey,
it is essential to seek the Home Healthcare Worker’s written consent and then to inform Life Circle's
representative at least two days in advance via email (support@lifecircle.in) with the details of the return
date and the destination. This communication needs to be in writing.

9. Home Healthcare Worker work shifts

10. Home Healthcare Worker’s code of conduct

The Home Healthcare Worker, employed by the Client, is expected to adhere to the following code of
conduct.

DO’s

• Should maintain good personal hygiene and grooming. They need to cut their nails and keep them
clean. They have to be Clean Shaven (for male Home Healthcare Worker) and are required to take a bath
daily and be dressed appropriately. For Female, they need to Tie-up hair adequately as bun / For Males-
Properly cut hair short.

• The Home Healthcare Worker should inform Life Circle representative and the Client immediately of
any material changes in Home Healthcare Worker’s status, which may impact Life Circle representation of
Home Healthcare Worker’s qualification; This includes positive and adverse results of any medical tests,
court proceedings etc.

• The Home Healthcare Worker should keep precise and accurate medical records of Patients.

• The Home Healthcare Worker should use hand sanitizer or hands before feeding or touching the
patient and after cleaning the patient.

• The Home Healthcare Worker r should maintain a professional relationship with household workers.

DON’T’s

• The Home Healthcare Worker should not use mobile phone expect during work-breaks.

• The Home Healthcare Worker should not to use or disclose any confidential information about the
patient or the Client to anyone (including Life Circle staff or family/friends).

• The Home Healthcare Worker should not absent from the workplace without prior approval of the
Client and intimation to the Life Circle representative.

• The Home Healthcare Worker should not allow family members or friends to visit or stay over at the
patient home or hostel without prior approval of the Client and intimation to the Life Circle
representative.

• The Home Healthcare Worker should not involve in any financial matter of the Client. They should not
borrow or lend money to the Client or his/her family members.

• The Home Healthcare Worker should not engage in/or discuss any illegal activities with the Client or
patient- i.e. use of illicit drugs, illicit medicines, theft, etc.

• The Home Healthcare Worker should not smoke, drink alcohol, use tobacco, paan etc. while serving in
the patient house.

• The Home Healthcare Worker should not discuss their issues, history and problems with the patient
and family members.

• The Home Healthcare Worker should not be late/leave early/or not show up for work without prior
intimation to the Client and Life Circle representative.

• The Home Healthcare Worker should not use the mobile phone (except in an emergency), use
headphone or listen to music while working with the patient.

• The Home Healthcare Worker should not misbehave with the patient or the family.

• The Home Healthcare Worker should not accept additional work requests without informing the Life
Circle representative.

• The Home Healthcare Worker should not solicit direct work from a client empaneled with the Life
Circle.

• The Home Healthcare Worker should not enter into any direct or indirect negotiation and agreement
with the Client and do not try to establish a direct or indirect relationship with the patient which has the
effect of avoiding Home Healthcare Worker’s or client obligations to Life Circle.

• The Home Healthcare Worker should not wear jewelry or makeup while working.

• The Home Healthcare Worker should not talk loudly or shout during work. Reply promptly to patients
and do not be shy.

• The Home Healthcare Worker should not watch TV at work.

11. Insights of working with Home Healthcare Workers

We would like to present to you few learnings and insights that we have heard from thousands of family members
to whom we have provided service in the past. I hope you find these insights useful.

• “ Caregiving is a tough job. Mental fatigue is common. Our ability to give the caregiver a sense of purpose
and advancement determines whether she continues to stay on or quit after a brief inning of work.”
• “Do not assume that Home Healthcare Worker would immediately understand the Patient, their illness and
their needs. There are things about the Patient that only you can tell them as family members. For example,
have a list that you would talk about in the first few days to the caregiver, for e.g. – Her mother-in law likes
slightly warm water for bathing – It should not be too warm. She let them know her expectations – that the
bathroom should not smell foul, the bathroom should be dry at all times.”
• “Talk to caregivers about how to handle challenging behaviour of Patients with conditions like Alzheimer’s
disease and dementia. Don’t assume the caregiver would be familiar with all the behavioural manifestations of
the disease. Talk with them about it on the first day itself.”
• “Share the tricks that you may have learnt of in the journey as a family caregiver. Make a list and keep adding
to it. Share it with the caregiver on her first day. It’ll help her feel more confident about handling the Patient.
For e.g – Sometimes, my mother-in law does not understand how to swallow liquids and food. She can hold
food in her mouth for a very long time without swallowing it. If you prompt her to speak something, she is likely
to swallow her food first. Another trick is offering her yet another morsel of food or water. This also reminds
her to swallow the previous morsel.”
• “Be specific about how much water you want your Patient to drink in a day and how much food you want them
to eat. If they refuse to eat, let the caregiver know what alternative supplements or drinks can be given.”
• “First of all, print a medicine chart and paste it on a wall or cupboard in the patient’s room. The medicine chart
should list out the medicine name, the dosage to be administered and the time of the day. If caregivers can’t
read the medicine names well, use colour codes.”
• “Prepare a timetable for the caregivers to follow. For the first 2-3 days, let them know that you are particular
about the timetable being followed. Ensure that they stick to time as much as possible. Allow caregivers
sufficient rest and ‘me time’. “
• “Print all important phone numbers that caregivers can refer to in case of an emergency. Stick this information
next to the medicine chart and timetable.”
• “Spend the first 1 or 2 days supervising caregiver and set expectations. If the first two days are managed well,
sailing through the remaining days is rather smooth.”

• “All Patients should be engaged in meaningful activities of their choice and caregivers can shoulder this
responsibility. Include specific activities in the daily timetable and ensure that caregivers adhere to it as much
as possible.”
• “Dedicate time everyday for exercise. All Patients irrespective of their condition should exercise in some way or
the other. Bedridden Patients benefit from passive movement exercises suggested by a physiotherapist.

Massage can also help. Again, set expectations on the first day. Video record the exercise regime on your
mobile and new caregivers in the future can use this recording.”
• “In case the Patient uses wheelchair or walker, ensure that the caregiver knows how to use it too. If not,
explain it.”
• “I have a miscellaneous list of things relevant to my home which I talk about on the caregiver’s first day. For e.g
– how to use the geyser, how to use the microwave, how to use the water filter, how to use the air conditioner.
Most new caregivers have not used appliances that are common in urban homes.”

12. Agreement termination

The Agreement between Life Circle and the Client will be in force from the date signed until terminated
by either party.

• The Client may terminate the Agreement at any time, without cause, but with seven days prior written
notice (e.g. e-mail or letter) to Life Circle or payment in place of the notice. In case, the Client terminates
the Agreement with less than seven days prior notice, Life Circle would retain seven days advance
payment and refund the balance amount.

• The Agreement would automatically terminate in case of an unfortunate demise of the Patient. In
such cases, Life Circle would retain one-day advance payment (instead of seven days) and refund the
balance amount. The Client cannot keep the Home Healthcare Worker at Patient’s home after the demise
of the Patient.

• The Client may terminate the Agreement if Life Circle is not able to provide Services as per the scope
mentioned in the Agreement. In such cases, Life Circle would refund advance payment to the Client for
days services not rendered to the Patient.

• This Agreement will automatically terminate (without giving any notice) if payment is not received
from the Client for Service renewal.

• Life Circle would terminate the Agreement, in case, the Client has not fulfilled the obligation as
mentioned in this Agreement and the patient information booklet. In such cases, Life Circle would retain
seven days of advance payment of the Client and refund the balance amount to the Client.

• Payment refund, if any, shall be done within 15 working days of Agreement termination. All payment
would be made by NEFT/A/c payee cheque in favour of the Client or Patient only.

13. Disclaimer/Waiver/Hold Harmless/Limitation of Liability

The Client’s use of Life Circle services shall be at his/her own risk. Additionally, Life Circle does not
exercise direct control or discretion over Home Healthcare Worker while working at Patient’s home and
disclaims all responsibilities for Home Healthcare Worker’s conduct or omissions. The Client shall be
solely responsible for their safety and the safety of the Patient’s goods.

• The Client may note that Life Circle has no quality control over third-party products & services such as
drugs, diagnostics, etc. and shall not be responsible or liable for products or service quality deficiency.

• By signing this Agreement, the Client waives and releases Life Circle and its directors, agents,
employees, officers, attorneys, representatives and affiliated entities from all liability, including but not
limited to liability arising from negligence or the actions of the Home Healthcare Worker. In case of any
negligence or misconduct or criminal act, the Client shall be at liberty to take appropriate legal action
against the Caregiver.

• Neither party to this Agreement shall be liable to another party to this Agreement for consequential,
incidental, exemplary, punitive, special or indirect damages of any kind.

14. Confidentiality, Non-Solicitation, And Theft of Caregiver Services:

The Client will not enter into any direct or indirect negotiation and Agreement with the Home Healthcare Worker
and shall not try to establish a direct relationship with Home Healthcare Worker independent of this Agreement
which has the effect of bypassing/avoiding Home Healthcare Worker’s or Client’s obligations to Life Circle during
and for six months after the expiry or termination of this Agreement. The Client agrees that if the Home Healthcare
Worker tries to directly contact him/her for providing Services by bypassing Life Circle or if the Client seeks to hire or
otherwise engage the Home Healthcare Worker’s services directly, Life Circle shall not be responsible for Services
under this Agreement. Further, violation of this clause shall constitute theft of services, and the Client will be liable
for payment of damages to Life Circle. In such situations, Life Circle shall not be responsible for Services under this
Agreement and this Agreement shall stand terminated and the Client will forfeit refund any payment etc. from Life
Circle.
