CONSTITUTION OF [NAME OF THE
ORGANIZATION]
ARTICLE 1: NAME
The name of the organization shall be [Insert Full Name], hereinafter referred to as "the
Organization."
ARTICLE 2: LEGAL STATUS
The Organization shall be a Private Voluntary Organization registered in accordance with
the Private Voluntary Organizations Act [Chapter 17:05] of Zimbabwe and shall be a body
corporate with perpetual succession, capable of suing and being sued in its own name, and
of performing all acts necessary for the proper performance of its functions and the
furtherance of its objectives.
ARTICLE 3: HEADQUARTERS
The principal office of the Organization shall be located at [insert address], Zimbabwe. The
Organization may establish branches in any part of Zimbabwe as the Executive Committee
may determine.
ARTICLE 4: VISION, MISSION AND VALUES

ARTICLE 5: OBJECTIVES
1. To provide humanitarian assistance and social support to vulnerable and disadvantaged
   communities in Zimbabwe.
2. To promote access to education, health, clean water, and sustainable livelihoods.
3. To advocate for human rights, gender equality, and community development.
4. To engage in disaster preparedness and emergency response initiatives.
5. To collaborate with government, non-governmental organizations, and international
   agencies in the furtherance of these objectives.
6. To do all such lawful things as are incidental or conducive to the attainment of the above
   objectives.
ARTICLE 6: MEMBERSHIP
6.1 Membership shall be open to any individual or organization that subscribes to the
objectives of the Organization.
6.2 There shall be the following categories of membership:
- Ordinary Members
- Honorary Members
- Institutional Members
6.3 Membership may be terminated by:
- Resignation in writing
- Death
- Conduct detrimental to the Organization, after due disciplinary process
- Failure to abide by this Constitution or decisions of the Organization
ARTICLE 7: GOVERNANCE STRUCTURE
7.1 The supreme authority of the Organization shall be the Annual General Meeting (AGM).
7.2 Between AGMs, the Organization shall be governed by an Executive Committee, which
shall include:
- Chairperson
- Vice-Chairperson
- Secretary
- Treasurer
- [Other members as determined]
7.3 The Executive Committee shall be elected by the AGM and shall serve a renewable term
of [two/three] years.
7.4 Duties of the Executive Committee include:
- Implementing resolutions of the AGM
- Managing the affairs and finances of the Organization
- Approving programs, projects, and partnerships
- Ensuring legal and regulatory compliance
ARTICLE 8: MEETINGS
8.1 Annual General Meeting (AGM): Shall be held once every year to:
- Receive and adopt annual reports and audited financial statements
- Elect Executive Committee members
- Review the Organization’s performance and set policy directions
8.2 Special General Meetings may be convened as necessary by the Executive Committee or
by a written request of one-third of the members.
8.3 Quorum:
- AGM or Special Meeting: One-third of the registered members
- Executive Committee Meeting: Half of the members
ARTICLE 9: FINANCES
9.1 The Organization may receive funding from donations, grants, fundraising activities, and
other lawful sources.
9.2 All funds shall be used solely for the furtherance of the Organization’s objectives.
9.3 The financial year shall end on the 31st of December each year.
9.4 Annual accounts shall be prepared and audited by a registered public accountant and
submitted to the Registrar of PVOs as required by law.
9.5 Signatories to the Organization’s bank account(s) shall be any two of the following:
- Chairperson
- Treasurer
- Secretary
ARTICLE 10: AMENDMENTS
10.1 This Constitution may be amended by a resolution supported by two-thirds (2/3) of
members present at a duly convened AGM or Special General Meeting.
10.2 Proposed amendments must be circulated to members at least 21 days prior to the
meeting.
ARTICLE 11: DISSOLUTION
11.1 The Organization may be dissolved by a resolution passed by at least two-thirds of
members at a Special General Meeting.
11.2 Upon dissolution, any remaining assets shall, after settlement of liabilities, be donated
to another registered PVO or charitable institution with similar objectives, as determined by
the meeting.
